HomeMy WebLinkAbout940570.tiff RESOLUTION RE: APPROVE INDEMNIFICATION AGREEMENT BETWEEN CLERK AND RECORDER AND DILLON COMPANIES, INC. , DBA KING SOOPERS, AND AUTHORIZE CHAIRMAN TO SIGN WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Indemnification Agreement between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Clerk and Recorder, and Dillon Companies, Inc. , dba King Soopers, Inc. , with terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Indemnification Agreement between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Clerk and Recorder, and Dillon Companies, Inc. , dba King Soopers, Inc. , be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is, authorized to sign said agreement. The above and foregoing Resolution was, on motion duly made and seconded, adopted by the following vote on the 15th day of June, A.D. , 1994. Lineettel? Inc. from and against any and all judgements, losses, liabilities, damages and expenses, including but not limited to attorney fees for which King Sooners may become liable as a result of claims or demands or lawsuits arising from Of connected with any operation of Party at,any King Sooper;' place of business. Also, the Party agrees to indemnify and hold harmless King Sooners against any.and ell judgements, losses, liabilities, damages and expenses as a result of claims, demands, and lawsuits brought by any person, including any person in any way acting in connection with the above-named Party and Its activities on King Sooners' premises, ass result of damage or injury which arises (torn or is connected but not limited to any damage or injury to any employee, representative agent or subcontractor or Party or any person associated wit the Party,caused by acts, negligent or otherwise, of any King Soopers' employees. It is expressly agreed that the Party and/or its insurer, if any, will not raise or assert any defenses to this Indemnification Agreement of any kind, including but not limited to defenses based on The Workmen's Compensation Act of Colorado or any portion thereof, including 'exclusive remedy' provision, with respect to any and all claims, demands and lawsuits brought by any employee, agent, representative or subcontractor of Party. Party agrees to the terms of this Indemnification Agreement as practical consideration for King Soopers allowing Party of conduct its activities at King Soopers' place of business. If this Indemnification Agreement was given for purposes of collecting signatures for a petition and/or any other purposes,:.where King Soopers, Inc.has taken a non-supportive stance, it is agreed that said petitioners will limit the numbers to two individuals; they are to remain in the parking lot not on the sidewalks or entry area in front of stores; and, no tables, chairs, placards, and other signage to promote their endeavors. This agreement is signed by W. IT.
