WHEREAS, Weld County desires to amend said Oil and Gas Lease, with the terms

NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Oil and Gas Lease dated August 5, 1974, recorded in
Book 724 at Reception No. 1645865, Weld County, Colorado, be, and hereby is,
amended as stated in the attached Amendment to Oil and Gas Lease.

This Amendment to 011 and Gas Lease (hereinafter "Amendment") is

Basin Operating Company, both Colorado corporations, with an address of 633-17th
Qi Street, Suite 1500, Denver, Colorado 80202; and by Associated Natural Gas, Inc. ,
o a Colorado corporation, with an address of 370 - 17th Street, Suite 900, Denver,
• Colorado 80202; and by Weld County Board of County Commissioners, with an

w address of P. 0. Box 758, Greeley, Colorado 80631.

N x WHEREAS, Basin Exploration, Inc. , Associated Natural Gas, Inc. , and
to Basin Operating Company are the leasehold owners, and the remaining parties
rig hereto are all royalty interest owners under that certain 011 and Gas Lease
x dated August 5, 1974, recorded in Book 724 at Reception No. 1645865, Weld
ri a County, Colorado, from Weld County, to Amoco Production Company, (hereinafter
the "Subject Lease"), which specifically covers the following described lands in
°c° H Weld County, Colorado (hereinafter the "Subject Lands") :

WHEREAS, the Subject Lease, at Paragraph "6" thereof, contains a
limited pooling and unitization clause and the parties hereto wish to amend the
_14 Subject Lease to delete the original pooling and unitization clause, and to
M N substitute a new pooling and unitization clause as set out below.

CO G" NOW THEREFORE, in consideration of the mutual covenants contained
herein and the benefits to be received by all the parties hereto, the parties
hereby covenant and agree as follows:
1. The Subject Lease shall be amended to delete, in its entirety,
the pooling and unitization provision at Paragraph "6" thereof and to substitute
and incorporate the following new pooling and unitization provision:
"6. Lessee, at its option, is hereby given the right and
power at any time and from time to time as a recurring right,
either before or after production as to all or any part of the
land described herein and as to any one or more of the formations
hereunder, to pool or unitize the leasehold estate, and the min-
eral estate covered by this lease with other land, lease or
leases in the immediate vicinity for the production of oil and
gas, or separately for the production of either, when in Lessee's
judgment it is necessary or advisable to do so, and irrespective
of whether authority similar to this exists with respect to such
other land, lease or leases. Likewise, units previously formed,
may be reformed to exclude non-producing formations or to form
separate units covering multiple producing formations, underlying
the same lands. The forming or reforming of any unit shall be
accomplished by Lessee executing and filing of record a declar-
ation of such unitization or reformation, which declaration shall
describe the unit. Any unit may include land upon which a well
has theretofore been completed or upon which operations for
drilling or reworking operations or a well shut in for want of
a market anywhere on a unit which includes all or part of this
lease shall be treated as if it were production, drilling or
reworking operations or a well shut in for want of a market under

o this lease. In lieu of the royalties elsewhere herein specified,
v including shut-in gas royalties, Lessor shall receive on produc-
tion from the unit so pooled royalties only on the portion of

o of surface acres covered by this lease and included in the unit
w bears to the total number of surface acres in such unit."

w2. The parties hereto who are royalty owners further ratify, confirm
N rx and adopt the Subject Lease, and lease the Subject Lands under the Subject Lease
.+ to the lease owners, in all matters, and, except as specifically amended hereby,

r' u force and effect.

rn u 3. The parties represent that each of them is an interest owner in
z the Subject Lease, and that no conveyance, encumbrance, or transfer has been
H made by them or is outstanding which would operate to diminish their respective
E interests in the Subject Lease or their ability to enter into this Amendment.

w 4. This Amendment shall be binding upon and effective as to the
„la; interest of each of the undersigned parties who execute the same, without regard
ul w to the execution or lack of execution of any other party whomsoever; and may be
