subject: Purchase of Services Agreement Between Weld County Supplemental
Foods Program and Custom Software Works
Enclosed for Board approval is a Purchase of Services Agreement between
the Weld County Commodity Supplemental Foods Program, and CUSTOM
Software Works.
Supplemental Foods will purchase a 1.8 version software package from
CUSTOM to automate the program for a flat fee of $400.00
Supplemental Foods will reimburse CUSTOM for training and support at the
rate of $20.00 per hour for the initial training and $40.00 per hour for
extended training/support. Supplemental Foods will also reimburse
Custom Mileage at the rate of $.20 per mile.

PURCHASE OF SERVICES AGREEMENT
THIS AGREEMENT, made and entered into this 3rd day of March, 1990, by and
between Weld County Commodity Supplemental Foods Program, herein after referred to
as "CSFP" and Custom Software Works, hereinafter referred to as "CUSTOM".
WITNESSETH
WHEREAS, CSFP will purchase the CSFP 1.8 version software package from CUSTOM,
to automate the program for a flat fee of $400.00, and
WHEREAS, CSFP is desirous of training and support that will enable CSFP staff
to utilize the software for the maximum benefit of the program, and
WHEREAS, CUSTOM has the services to provide such training and support,
NOW THEREFORE, it is mutually agreed:
1. CUSTOM will provide the following support services:
a. Software Maintenance; changes in CSFP requirements that affect
software program.
b. Software Enhancements; New program features and updates to add to
existing software.
c. CUSTOM training and support; Available to CSFP for on-site initial
training and continuous support per request of CSFP.
2. CSFP will reimburse CUSTOM for training and support at the rate of $20.00
per hour for the initial training and $40.00 per hour for extended
training/support. CSFP will also reimburse CUSTOM mileage at a rate of
$0.20 per mile.
ASSURANCES
1. CUSTOM agrees that it is an independent contractor and that its officers,
employees, and clients do not become employees of Weld County and
therefore are not entitled to any employee benefits as Weld County
employees, as a result of the execution of this Agreement.
2. Weld County, the Board of County Commissioners of Weld County, its officers
and employees , shall not be held liable for injuries or damages caused by
any negligent acts or omissions of CUSTOM or its employees, volunteers, or
agents while performing functions as described in this Agreement. CUSTOM
shall indemnify, defend and hold harmless Weld County, the Board of County
Commissioners or Weld County, its officers and employees for any loss
occasioned as a result of the performance of this Agreement by its

employees, volunteers, clients and agents. CUSTOM shall provide workers'
compensation insurance for all employees of CUSTOM engaged in the
performance of this Agreement, as required by the Colorado Workers '
Compensation Act. Likewise, CSFP, by and through the Board of Weld County
Commissioners, shall provide adequate liability and workers ' compensation
insurance for all its employees, volunteers and agents engaged in the
performance of this Agreement.
3. No officer, member, or employee of Weld County and no member of their
governing bodies shall have any pecuniary interest, direct or indirect, in
the approved Agreement or the proceeds thereof.
4. CUSTOM understands that monitoring and evaluation of the performance of
this Agreement shall be conducted by the Weld County Division of Human
Resources and the results provided to the Board of County Commissioners of
Weld County.
5. CUSTOM and CSFP assure compliance with Title VI of the Civil Rights Act of
1986, and that no person shall , on the grounds of race, creed, color, sex
or national origin, be excluded from participation in, be denied the
benefits of, or be otherwise subjected to discrimination under the approved
Agreement.
IN WITNESS WHEREOF, the parties hereto have duly executed the Agreement as of
the day, month, and year first above written.
