SAS Institute Inc. License Agreement No. 16515
AMENDMENT
TO THE
INSTITUTE PROGRAM PRODUCTS MASTER LICENSE AGREEMENT
Customer name and address; Weld County Information Systems, 915 10th St., Greely, CO 80632.
WHEREAS, SAS Institute Inc. (hereinafter "the Institute") and the Customer desire to modify the
License Agreement referenced above, in consideration of further benefits to each;
NOW THEREFORE, it is mutually agreed to amend said License Agreement as follows:
7. Nondisclosure of Proprietary Property.
Insert the following at the end of the first paragraph:
"Notwithstanding anything contained herein to the contrary, Contractors/Consultants
performing work for the Customer on the Customer's premises may access the licensed
IPPS (hereinafter "Software") pursuant to the terms and conditions of this Agreement.
Customer will use its best effgrts not to permit anyone having access to the Software to
(a) modify, reverse engineer or decompile the Software; (b)mask, modify,or suppress any
copyright notices or other proprietary rights notices, or fail to properly label any authorized
copy; or (c) use the Software outside the United States or Canada, or timeshare, rent, or
otherwise use the Software except as specifically permitted in this Agreement. The
Customer agrees that it will indemnify the Institute from ail damages and for any liability
incurred by the Institute arising from or related to use of the licensed Software by such
Contractor/Consultants in a manner inconsistent with the terms and conditions of this
Agreement or the Institute's proprietary rights."
Insert the following additional Section:
"18. Responsibility for Payment.
Notwithstanding anything to the contrary contained herein, the Institute hereby agrees
to invoice SCT Software and Resource Management for payment of all charges,
including any applicable taxes,associated with Software licensed under this Agreement.
Upon receipt of payment, the institute will provide a full term authorization code to
Customer to extend the expiration date for the Software through the end of the license
period.
Customer understands and acknowledges that nonpayment of any license fees,or other
charges,including upgrade charges or applicable taxes, may result in an interruption in
Customer's use of the Software. The Institute shall have no obligation to notify
Customer in the event of nonpayment of any changes by SCT nor shall the Institute
have any obligation under this Agreement with regard to disruptions in service caused
by SCT's nonpayment. In the event of nonpayment by SCT, Customer shall be
responsible for any outstanding charges. Customer shall also be responsible for
promptly notifying the Institute in the event SCT is no longer responsible for payment
of all charges hereunder and for providing the Institute with the then-current invoice
contact and address."

Except as herein modified, all terms and conditions of the Institute Program Products Master License
Agreement shalt remain in full force and effect.

Re: Licensing Documents
Dear Mr. Warden:
On July 25, 1994, I sent you duplicate originals of an Amendment to Institute Program Products Master
License Agreement Number 16515 which were to be executed and returned to the Institute. To date,these
documents have not been returned to the Institute. This is to notify you that if the signed documents are
not received by November 30, 1994, they are no longer valid.
Please be advised that the current License Agreement executed between the parties does not permit access
of the licensed software by SCT Software and Resource Management. If the subject Amendment is not
signed and returned by November 30, such access by SCT Software and Resource Management would
constitute a breach of the License Agreement.
