HomeMy WebLinkAbout920777.tiff RESOLUTION RE: APPROVE PURCHASE OF SERVICES AGREEMENT BETWEEN WELD COUNTY HEALTH DEPARTMENT AND LARIMER COUNTY DEPARTMENT OF HEALTH AND ENVIRONMENT AND AUTHORIZE CHAIRMAN TO SIGN WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with a Purchase of Services Agreement between the Weld County Health Department and the Larimer County Department of Health and Environment, commencing July 1, 1992, and ending June 30, 1993, with the further terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Purchase of Services Agreement between the Weld County Health Department and the Larimer County Department of Health and Environment be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is, authorized to sign said agreement. We ster 920777 CC- ' � LtiiME 1 PURCHASE OF SERVICES AGREEMENT THIS AGREEMENT, made and entered into this /T Yh day of Lit{ittjt, 1992, by and between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Health Department, hereinafter referred to as "Weld County", and Larimer County Department of Health and Environment, hereinafter referred to as "Larimer County". WITNESSETH WHEREAS, Weld County and Larimer County are allocated funds from the state pursuant to Section 25-1-516, Colorado Revised Statutes 1973, for use in supporting local health services, and WHEREAS, the State provides support on a per capita basis for regional health services, and WHEREAS, Weld County and Larimer County desire to share regional services in environmental health and community health services; NOW, THEREFORE, in consideration of the premises and mutual covenants contained herein, the parties hereto covenant and agree as follows: 1. TERM: This Agreement shall be in effect for the period July 1, 1992 through June 30, 1993. 2. RESPONSIBILITIES: a. Larimer County will provide, when requested, technical services to Weld County in the areas of insect and rodent control training and consultation, industrial hygiene training and consultation. b. Larimer County and Weld County will share environmental equipment when appropriate. c. Larimer County and Weld County will work cooperatively on regional air and water problems. d. Larimer County and Weld County will work cooperatively on regional encephalitis surveillance, monitoring, evaluation and control methods. Protocol will be followed to help facilitate the regional effort. The annual plan will be reviewed and evaluated prior to each year's mosquito season. e. Larimer County and Weld County will provide environmental health service to each other during disasters and environmental emergencies. f. Larimer County and Weld County will share program and activity information, procedure and protocols regarding environmental health and community health services. 920777 g. Larimer County and Weld County will share resources in the area of health education. The resources will include workshops, exchange of inservice and educational materials. h. Weld County will provide technical consultant responsibilities under the Clinical Laboratory Improvement Amendment (CLIA) for Larimer County. i. Larimer County and Weld County will meet, at least quarterly, to discuss progress and effectiveness of the regional effort. 3. FUNDING: a. Larimer County agrees to reimburse Weld County for laboratory services on a cost basis for the term of the Agreement. b. Larimer County will reimburse Weld County for technical consultant services under CLIA as outlined in a separate contractual agreement. 4. ASSURANCES: a. Larimer County and Weld County agree that both are independent contractors, and officers and employees of each county do not become employees of the other and are not entitled to any employee benefits as employees of the other county as the result of the execution of this Agreement. b. Weld County, the Board of Commissioners of Weld County, its officers and employees, shall not be held liable for injuries or damages caused by any negligent acts or omissions of Larimer County, or its employees, volunteers, or agents while performing its duties as described in this Agreement. Larimer County shall indemnify, defend and hold harmless Weld County, the Board of County Commissioners of Weld County, its officers and employees for any loss occasioned as a result of the performance of this Agreement by Larimer County, its employees, volunteers,and agents. c. It is agreed that no person shall, on the grounds of race, color, sex, religion, age, national origin, or individual handicap, by excluded from participation in, be denied the benefits of, or be subject to discrimination under any provision of this Agreement. d. No portion of this Agreement shall be deemed to constitute a waiver of any immunities the parties or their officers or employees may possess, nor shall any portion of this Agreement be deemed to have created a duty of care with respect to any persons not a party to this Agreement. e. No portion of this Agreement shall be deemed to created an obligation on the part of the County of Weld, State of Colorado, to expend funds not otherwise appropriated in each succeeding year. f. If any section, subsection, paragraph, sentence, clause or phrase of this Agreement is for any reason held or decided to be unconstitutional, such decision shall not affect the validity of the remaining portions. The parties hereto declare that they would have entered into this Agreement and each and every section, subsection, paragraph, sentence clause, and phrase thereof irrespective 920',x•, of the fact that any one or more sections, subsections, paragraphs, sentences, clauses or phrases might be declared to be unconstitutional or invalid. g. This Agreement is expressly made subject to all laws and regulations of the United States, the State of Colorado and Larimer County. Contractual provision required by such laws and regulations, but not having been set out herein, are hereby incorporated by this references as though expressly set out in full. All parties to this Agreement are hereby put on notice, and charged with the responsibility of compliance with such contract provisions as required by law. 5. MODIFICATION OF AGREEMENT: a. All modifications to this Agreement shall be in writing and signed by both parties. 6. ASSIGNMENT: a. This Agreement shall be binding upon the parties hereto, their successors, heirs, legal representatives, and assigns. Larimer County and Weld County may not assign any of their rights or obligations hereunder without the prior written consent of the other party. 7. ENTIRE AGREEMENT: a. This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof, and may not be changed or modified except as stated in Paragraph 5 herein. From Purchase of Services Agreement with Larimer County Subject: Enclosed for Board approval is a Purchase of Services Agreement between the Weld County Health Department and the Larimer County Health Department. This agreement covers the shared services between the two health departments in the areas of Environmental Health and Community Health Services. Weld County also provides laboratory services for Larimer County on a cost basis. Weld County is reimbursed approximately $8,000 - $10,000 annually for these services.
