RE: APPROVE NON-FINANCIAL CONTRACT WITH WASTE SERVICES CORPORATION AND AUTHORIZE
CHAIRMAN TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant
to Colorado statute and the Weld County Home Rule Charter, is vested with the
authority of administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Non-Financial Contract, outlining
the activities that Waste Services Corporation will perform as a participant in the
Weld County Reclycling Project, with the further terms and conditions being as stated
in said Contract, and
WHEREAS, after review, the Board deems it advisable to approve said Contract,
a copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Non-Financial Contract with Waste Services Corporation be,
and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is,
authorized to sign said Contract.
The above and foregoing Resolution was, on motion duly made and seconded,
adopted by the following vote on the 16th day of January, A.D. , 1991.

THIS AGREEMENT, made and entered into this /co " day of
1991, by and between the County of Weld, State of Colorado, by and thr gh
the Board of County Commissioners of Weld County, on behalf of the Weld
County Health Department, hereinafter referred to as "Health Department, " and
Waste Services Corporation, hereinafter referred to as "Contractor. "
WITNESSETH
That the Contractor and the Health Department, for and in consideration of
the covenants, conditions, agreements, and stipulations hereinafter
expressed, do hereby agree as follows:
1. The Contractor shall participate with the Health Department in the
Weld County Recycling Project.
2. The Contractor will retrieve the recycling bags from the waste stream
upon their delivery to the Central Weld Sanitary Landfill.
3. The Contractor will provide the storage and processing of collected
materials.
4. The Contractor will insure that recyclable products are delivered to end
markets at its cost. Any and all revenues from the sale of such
recyclable materials are the exclusive property of the Contractor.
5. Performance of the Contractor hereunder is subject to the participation
and cooperation of waste haulers, including their delivery of recycling
bags to Central Weld Sanitary Landfill.
6. The Contractor shall not be liable for any costs other than to retrieve
the recycling bags and process and deliver recyclables to end markets.
Any and all other costs and liabilities associated with the Weld County
Recycling Project are not the responsibility of the Contractor.
7. The Health Department will cooperate with Contractor to educate
residential participants toward maximizing the efficiency of bag
retrieval and recyclables processing function.
8. Weld County, the Board of County Commissioners of Weld County, its
officers and employees, shall not be held liable for injuries or damages
caused by any negligent acts or omissions of the Contractor, or its
employees, volunteers, or agents while performing Contractor's duties
as described in this Agreement. The Contractor shall indemnify, defend,
and hold harmless Weld County, the Board of County Commissioners of Weld
County, its officers and employees for any loss occasioned as a result
of the performance of this Agreement by the Contractor, its employees,
volunteers, and agents.
9. No portion of this Agreement shall be deemed to constitute a waiver of
any immunities the parties or their officers or employees may possess,
nor shall any portion of this Agreement be deemed to have created a duty
of care with respect to any persons not a party to this Agreement.
1O. No portion of this Agreement shall be deemed to created an obligation
on the part of the County of Weld, State of Colorado, to expend funds
not otherwise appropriated in each succeeding year.
11. If any section, subsection, paragraph, sentence, clause or phrase of
this Agreement is for any reason held or decided to be unconstitutional,
such decision shall not affect the validity of the remaining portions.
The parties hereto declare that they would have entered into this
Agreement and each and every section, subsection, paragraph, sentence,
clause and phrase thereof irrespective of the fact that any one or more
sections, subsections, paragraphs, sentences, clauses, or phrases
might be declared to be unconstitutional or invalid.
12. This agreement shall be in effect for the period November 1, 1990
through the completion of the pilot recycling project, not to exceed six
months, unless mutually agreed upon by both parties.
IN WITNESS WHEREOF, the parties have caused this Agreement to be executed by
their duly authorized representatives as of the day and date first
hereinabove written.

CONTRACT
THIS CONTRACT, made this 29th day of January,1991,by and between the State of Colorado for the use
and benefit of the Office of Energy Conservation, a branch of the Governor's Office, hereinafter referred to as
the State, and the Board of County Commissioners of Weld County, on behalf of the Weld County Health
Department, 1517 16th Ave. Ct., Greeley, Colorado 80631, hereinafter referred to as the Contractor.
WHEREAS, authority exists in the Law and Funds have been budgeted, appropriated and otherwise made
available in Fund Number 180, Organization Account EAEX, Contract Encumbrance Number 900025, OMB
Catalogue Number 8L041; and
WHEREAS, required approval, clearance and coordination has been accomplished from and with appropriate
agencies; and
WHEREAS, the citizens and public officials of the State of Colorado have expressed support for programs to
address the growing problem of solid waste disposal and the shrinking capacity of landfill sites in an economical,
environmentally sound and energy efficient fashion; and
WHEREAS, Governor Roy Romer in Executive Order DO 027 90 ordered that the Office of Energy
Conservation allocate Exxon funds for rural and urban community recycling grants; and
WHEREAS, on May 21, 1990, the Office of Energy Conservation issued a Request for Qualifications for
Recycling Demonstration Programs in urban and rural areas which exhibit a truly integrated regional approach
to recycling and management of community solid waste problems; and
WHEREAS, the Contractor's proposal is one of fourteen across the State of Colorado selected to implement
the recycling demonstration program.
NOW THEREFORE, it is hereby agreed that,
1. The Program
In consideration of the State's promises hereinafter made, Contractor promises to provide the professional
services necessary to complete the program outlined in this paragraph 1,including all tasks, objectives,reporting
requirements and specifications as required herein:
A. Contractor shall implement a county recycling project which has as its target the collection of
945 tons of glass, paper, cans and other recyclable materials during one year's operation,
beginning with 20 tons per month collected. The program shall be a commingled bag collection
operation. Contractor shall conduct a pre and post evaluation of the program measuring
participation, attitudinal changes and awareness of the benefits of recycling to the community.
In order to raise awareness of the program, Contractor shall conduct an educational campaign
and promotion through advertisements, public service announcements and programs for
participating school districts. In order to accomplish the program, Contractor shall undertake
the following steps:
i Hire half-time Coordinator who shall be responsible for overseeing the program and
the completion of all milestones listed in this Paragraph 1. The Coordinator shall be
responsible for planning, developing and coordinating public outreach programs,
educational programs, purchase and distribution of recycling bags, production of
information packets, monitor program progress through survey results, bag retrieval
counts, solicit funds for future program funding. (Month 1; ongoing)

ii Design, formulate, print, distribute and begin tabulation of needs assessment /
informational questionnaire to be sent to fourteen thousand(14,000) homes along the
Highway 85 corridor in Weld County. (Month 1)
Develop,write,print and distribute up to fifteen thousand news flyers to householders
along the Highway 85 corridor; construct signage -- up to five hundred (500) signs.
(Month 2)
iv Target up to ten school districts for recycling education efforts. Provide targeted
schools with"How the Waste Was Won",and Greeley's Earth Day Video. In addition,
copies of the news flyer will be provided to participating teachers. In cooperation with
the school districts, distribution of curriculum guide materials for teachers will be
accomplished. "Newspapers in Education"features will include recycling and solid waste
information. Print and distribute certificates of participation to students, schools and
families. (Begin Month 2; ongoing.)
v Dissemination of information through continuing use of slide presentations and
travelling displays. Activities at Greeley's Earth Day Fair will expand to include
projects, products and displays related to solid waste management. (Begin Month 2;
ongoing.)
vi Prepare Drop Off Sites. Placement of up to twelve bins along U.S. Highway 85
Corridor from Nunn to Platteville; promotion and advertisement of locations.
Distribution of recycling bags to up to fourteen thousand homes. (Month 2/3)
vii Begin Commingled Bag Collection Program. Kick-off at landfill site,Saturday before
collection begins. Begin preparations for reports and statistical information. Complete
analysis of Surveys. (Month 3)
viii Trash haulers report number of households recycling;collectibles weighed and reported
at landfill. (Month 4; ongoing)
ix Additional promotional activities including radio and print advertising; news flyers to
recycling households with recycling bags. (Months 5, 6 and 7)
x Participation and Tonnage Report. (Month 8; ongoing bimonthly)
xi Satisfaction Report formulated,distributed and tabulated. The satisfaction Report will
be calculated to determine level of participation, satisfaction with the program, and to
determine successful and unsuccessful components of the program. (Month 9;ongoing)
xii Final report. Will summarize program statistics, tonnage recycled, households
participating, sales and revenues versus expenditures; all surveys shall be summarized
and pertinent information included. Recommended changes shall be included. The
report shall be distributed to other participants in the State's pilot project.
The Contractor and any subcontractors will credit the Colorado Office of Energy
Conservation as a funding source on all news releases,brochures,technical papers,and
other promotional or informational material.
2. Reports
A. A Quarterly Report shall be submitted to the State on the twentieth day of the month following
the end of each quarter. Contractor's Quarterly Reports shall be due on the twentieth day each
April,July, October and January during the life of this Contract. The report shall indicate the
status of work to be performed pursuant to this contract and shall indicate clearly whether work
is proceeding according to schedule, ahead of schedule or behind schedule. If the work is

behind schedule,Contractor shall immediately begin implementation of a program to bring work
up to schedule.
B. The Quarterly report shall contain a financial report summarizing expenditures on a form to
be provided by the State. Expenditures shall be shown for each line item on a month-by-month
basis.
C. Audit Requirements
i Contractor acknowledges that funds granted under this Contract are Federal funds,and
will notify its auditors that these funds are subject to audit procedures outlined in OMB
Circular A-128. Contractor shall include the project covered by this Contract in an
annual audit report as required by the Colorado Local Government Audit Law,C.R.S.
1973, 291601, et seq, and the Single Audit Act of 1984, Public Law 98-502, OMB
Circular A-128 or OMB Circular A-133,whichever is applicable: organizations receiving
federal funds in the aggregate of more than$100,000 must have a compliance audit;
$50,000-$100,000,a program audit;$25,000-$50,000,an audit;under$25,000,financial
monitoring by the Office of Energy Conservation.
ii Within six months after the end of Contractor's fiscal year, a copy of Contractor's
financial audit shall be filed with the Office of Energy Conservation. Further possible
funding under this Contract or through this agency is contingent upon receipt of
Contractor's audit report.
3. Contract Price
In consideration for work and services performed, the State agrees to pay Contractor a total amount not to
exceed Ninety Thousand and no/ 100 Dollars($90,000.00). No funds awarded under the terms of this Contract
are to be used for administrative expenses; nor shall these funds be used to supplant existing funding from any
source whatsoever.
4. Payments to Contractor shall consist of the following:
A. In conjunction with a report submitted by Contractor on a form provided by the State detailing
expenditure of funds provided under this Contract, the State shall pay by warrant on a
reimbursement basis on line item billings per the attached budget,incorporated and made a part
hereof, and referenced for identification as Fxhibit A, no more than once a month.
B. The Office of Energy Conservation shall withhold payment of the final five percent (5%) of the
total Agreement amount until Contractor has submitted and the State has accepted all required
financial, progress, evaluation, and performance reports enumerated in this Agreement or any
of its Exhibits or Attachments.
5. Contractor shall follow State fiscal rules for all transactions performed under this Contract.
6. The State may withhold any payment if the Contractor has failed to comply with terms and conditions
provided in this Contract or its attachments.
7. The State,through the Director of the Office of Energy Conservation,the State Auditor,or any of their duly
authorized representatives, including an independent Certified Public Accountant of the State's choosing, or the
federal government or any of its properly delegated or authorized representatives,shall have the right to inspect,
examine, and audit the Contractor's (and any subcontractor's) records, books, accounts and other relevant
documents. Such discretionary audit may be requested at any time and for any reason from the effective date
of this Contract until five (5) years after the date final payment for this Project is received by the Contractor,
provided that the audit is performed during normal business hours.
8. To ensure compliance with the Contract,the State,or its authorized representative(s),will, at any time during
normal business hours, have the right to enter into the Contractor's premises or other places where work under
the Contract is being performed in order to monitor or otherwise evaluate the work performed or being

performed. When monitoring or evaluation is done by the State on the premises of the Contractor or
subcontractor, the Contractor or subcontractor will provide all reasonable facilities and assistance for the safety
and convenience of the State representatives in performance of their duties. All monitoring and evaluations will
be performed in such a manner that they will not unduly interfere with work under this Contract.
9. No subcontracts will be made by Contractor with any other party for furnishing any work or services under
this Contract without the consent,guidance,and approval of the State other than individual employer--employee
contracts and those contained in Contractor's Proposal, which by issuance of this Contract receive the State's
assent. Contractor shall request in writing permission to subcontract. The intent of this provision is to allow
the State to review any subcontract that has a significant impact on the project.
10. Contractor represents that it has, or will secure at its own expense, unless otherwise stated in this Contract
or its attachments, all personnel, as employees of the Contractor, necessary to perform the work and services
required to be performed by the Contractor under this Contract.
11. The Contractor shall perform its duties hereunder as an independent contractor and not as an employee.
Neither the Contractor nor any agent or employee of the Contractor shall be or shall be deemed to be an agent
or employee of the State and shall have no authorization,express or implied,to bind the State to any agreements,
settlements, liability or understanding except as expressly set forth herein. Contractor shall pay when due all
required employment taxes and income tax withholding including all federal and state income tax on any moneys
paid pursuant to this Contract. The Contractor shall provide and keep in force worker's compensation(and show
proof of such insurance) and unemployment compensation insurance in the amounts required by law, and shall
be solely responsible for the acts of Contractor, its employees and agents. The Contractor acknowledges that
Contractor and its employees are not entitled to unemployment insurance benefits unless the Contractor or a
third party provides such coveraee and that the State does not pay for or otherwise provide such coverage
12. If Contractor fails to comply with any contractual provision, the State may, after notice to Contractor,
suspend the Contract and withhold further payments or prohibit the Contractor from incurring additional
obligations of contractual funds, pending corrective action by the Contractor or a decision to terminate in
accordance with Paragraph 13 B below. The State may determine to allow such necessary and proper costs which
the Contractor could not reasonably avoid during the period of suspension provided such costs were necessary
and reasonable for the conduct of the project.
13. Contract Termination. This Contract may be terminated as follows:
A. Termination for Cause. If, through any cause,the Contractor shall fail to fulfill in a timely and
proper manner his obligations under this Contract, or if the Contractor shall violate any of the
covenants, agreements,or stipulations of this Contract,the State shall thereupon have the right
to terminate this Contract for cause by giving written notice to the Contractor of such
termination and specifying the effective date thereof, at least five (5) days before the effective
date of such termination. In that event, all finished or unfinished documents, data, studies,
surveys, drawing, maps, models, photographs, and reports or other material prepared by the
Contractor under this Contract shall, at the option of the State, become its property, and the
Contractor shall be entitled to receive just and equitable compensation for any satisfactory work
completed on such documents and other materials.
Notwithstanding the above, Contractor shall not be relieved of liability to the State for any
damages sustained by the State by virtue of any breach of the Contract by the Contractor, and
the State may withhold any payments to the Contractor for the purpose of setoff until such time
as the exact amount of damages due the State from the Contractor is determined.
B. Termination for Convenience. The State may terminate this Contract at any time the State
determines that the purposes of the distribution of State funds under the Contract would no
longer be served by the completion of the Contract. The State shall effect such termination by
giving written notice of termination to the Contractor and specifying notice of termination to
the Contractor and specifying the effective date thereof, at least twenty (20) days before the
effective date of such termination. In that event, all finished/unfinished documents and other
materials as described in a) above shall, at the option of the State, become its property. If the
Contract is terminated by the State as provided herein,Contractor will be paid an amount which

bears the same ratio to the total compensation as the services actually performed bear to the
total service of the Contractor covered by this Contract, less payments of compensation
previously made.
14. Modification and Amendment
A. Modification by Operation of Law. This Contract is subject to such modifications as may be
required by changes in federal or State law or regulations. Any such required modification shall
be incorporated into and be part of this Contract as if fully set forth herein;provided, however,
that the Contractor may immediately terminate this agreement pursuant to the terms of
Paragraph 13 B above if a modification in law or regulation precludes Contractor from realizing
the benefits it expected from this Contract.
B. Programmatic or Budgetary Modifications. Contractor shall follow the revision procedures set
forth below:
i Contractor must submit a written request to the State and obtain prior written approval
from the State under the following circumstances(written notice of such changes when
mutually agreed upon shall be forwarded to the State Controller):
a) when cumulative budgetary line item changes exceed ten percent(10%)of the
total Contract amount or Ten Thousand Dollars($10,000.00),whichever is less,
except that Contract total may not increase unless otherwise agreed to by
Contractor and State in a properly executed contract amendment, or when
additional or less state funding is needed;
b) when the scope, objective, or completion date of the Project changes, as
determined by the State;
c) under such circumstances,the State's approval is not binding until memorialized
in a contract amendment, as required by State's Fiscal Rules.
C. If either the State or the Contractor desires to modify the terms of this Contract other than as
set forth above, written notice of the proposed modification shall be given to the other party.
No modification shall take effect unless agreed to in writing by both parties in an amendment
to this Contract properly executed and approved in accordance with applicable law.
15. This Contract, as written, with attachments and references, is intended as the complete integration of all
understanding between the parties at this time and no prior or contemporaneous addition, deletion or
amendment hereto shall have any force or effect whatsoever, unless embodied in a written contract amendment
incorporating such changes, executed and approved pursuant to applicable law.
16. Contractor shall submit annually an inventory of equipment acquired with State contract funds which is in
the possession of the Contractor or any subcontractors. When the Contract expires,the Contractor shall report
on State owned equipment as part of closeout. Thereafter, the State will issue disposition instructions to the
Contractor in accordance with applicable laws and regulations.
17. Contractor shall provide property damage insurance coverage to the limit possible on valuation of equipment
purchased by State funds, including the State owned equipment,until such time as disposition of this equipment
is made.
18. To the extent that this Contract may be executed and performance of the obligations of the parties may be
accomplished within the intent of the Contract, the terms of this Contract are severable, and should any term
or provision hereof be declared invalid or become inoperative for any reason, such invalidity or failure shall not
affect the validity of any other term or provision hereof. The waiver of any breach of a term hereof shall not
be construed as waiver of any other term.
19. Notwithstanding anything herein to the contrary, the parties understand and agree that all terms and
conditions of this contract and the exhibits and attachments hereto which may require continued performance

enforceable by the State as provided herein in the event of such failure to perform or comply by the Contractor
or its subcontractors.
20. No portion of this Agreement shall be deemed to constitute a waiver of any immunities the parties or their
officers or employees may possess, nor shall any portion of this Agreement be deemed to have created a duty
of care with respect to any persons not a party to this Agreement.
21. This Contract shall become effective upon proper execution, and the project contained herein shall
commence as soon as practicable after execution. The Contract shall terminate the 30th of April 1992. If
Contractor desires an extension of this Contract, extension requests must be submitted in writing to the State
forty-five (45) days prior to Contract end date.

SPECIAL PROVISIONS
CONTROLLER'S APPROVAL
I. This contract shall not be deemed valid until it shall have been approved by the Controller of the State of Colorado or such assistant as he may designate.This
provision is applicable to any contract involving the payment of money by the State.
FUND AVAILABILITY
2. Financial obligations of the State payable after the current fiscal year are contingent upon funds for that purpose being appropriated,budgeted and otherwise
made available.
BOND REQUIREMENT
3. If this contract involves the payment of more than fifty thousand dollars for the construction,erection,repair,maintenance,or improvement of any building,
road,bridge,viaduct,tunnel,excavation or other public works for this State,the contractor shall,before entering the performance of any such work included in this
contract,duly execute and deliver to and file with the official whose signature appears below for the State,a good and sufficient bond or other acceptable surety to be
approved by said official in a penal sum not less than one-half of the total amount payable by the terms of this contract. Such bond shall be duly executed by a
qualified corporate surety,conditioned for the due and faithful performance of the contract,and in addition,shall provide that if the contractor or his subcontractors
fail to duly pay for any labor,materials,team hire,sustenance,provisions,provendor or other supplies used or consumed by such contractor or his subcontractor in
performance of the work contracted to be done,the surety will pay the same in an amount not exceeding the sum specified in the bond,together with interest at the
rate of eight per cent per annum.Unless such bond,when so required,is executed,delivered and filed,no claim in favor of the contractor arising under this contract
shall be audited,allowed or paid.A certified or cashier's check or a bank money order payable to the Treasurer of the State of Colorado may be accepted in lieu of a
bond. This provision is in compliance with 38-26-106 CRS, as amended.
INDEMNIFICATION
4. To the extent authorized by law,the contractor shall indemnify,save and hold harmless the State,its employees and agents, against any and all claims,
damages,liability and court awards including costs,expenses,and attorney fees incurred as a result of any act or omission by the contractor,or its employees,
agents, subcontractors,or assignees pursuant to the terms of this contract.
DISCRIMINATION AND AFFIRMATIVE ACTION
5. The contractor agrees to comply with the letter and spirit of the Colorado Antidiscrimination Act of 1957,as amended,and other applicable law respecting
discrimination and unfair employment practices(24-34-402.CRS 1982 Replacement Vol.),and as required by Executive Order,Equal Opportunity and Affirma-
tive Action,dated April 16, 1975. Pursuant thereto, the following provisions shall be contained in all State contracts or sub-contracts.
During the performance of this contract,the contractor agrees as follows:
(1) The contractor will not discriminate against any employee or applicant for employment because of race,creed,color,national origin,sex,marital status,
religion,ancestry,mental or physical handicap,or age.The contractor will take affirmative action to insure that applicants are employed,and that employees are
treated during employment,without regard to the above mentioned characteristics.Such action shall include,but not be limited to the following:employment,
upgrading,demotion,or transfer,recruitment or recruitment advertising;layoffs or terminations;rates of pay or other forms of compensation;and selection for
training,including apprenticeship.The contractor agrees to post in conspicuous places,available to employees and applicants for employment,notices to be pro-
vided by the contracting officer setting forth provisions of this non-discrimination clause.
(2) The contractor will,in all solicitations or advertisements for employees placed by or on behalf of the contractor,state that all qualified applicants will receive
consideration for employment without regard to race,creed, color, national origin, sex, marital status, religion, ancestry, mental or physical handicap,or
age.
(3) The contractor will send to each labor union or representative of workers with which he has collective bargaining agreement or other contract or understand-
ing,notice to be provided by the contracting officer,advising the labor union or workers'representative of the contractor's commitment under the Executive
Order, Equal Opportunity and Affirmative Action,dated April 16, 1975, and of the rules, regulations, and relevant Orders of the Govemor.
(4) The contractor and labor unions will furnish all information and reports required by Executive Order,Equal Opportunity and Affirmative Action of April 16,
1975,and by the rules,regulations and Orders of the Governor,or pursuant thereto,and will permit access to his books,records,and accounts by the contracting
agency and the office of the Governor or his designee for purposes of investigation to ascertain compliance with such rules, regulations and orders.
(5) A labor organization will not exclude any individual otherwise qualified from full membership rights in such labor organization,or expel any such individual
from membership in such labor organization or discriminate against any of its members in the full enjoyment of work opportunity,because of race,creed,color,
sex, national origin,or ancestry.
(6) A labor organization,or the employees or members thereof will not aid,abet,incite,compel or coerce the doing of any act defined in this contract to be dis-
criminatory or obstruct or prevent any person from complying with the provisions of this contract or any order issued thereunder;or attempt either directly or
indirectly,to commit any act defined in this contract to be discriminatory.

(7) In the event of the contractor's non-compliance with the non-discrimination clauses of this contractor or with any of such rules,regulations,or orders,this
contract may be cancelled,terminated or suspended in whole or in part and the contractor may be declared ineligible for further State contracts in accordance
with procedures,authorized in Executive Order,Equal Opportunity and Affirmative Action of April 16,1975 and the rules,regulations,or orders promulgated
in accordance therewith,and such other sanctions as may be imposed and remedies as may be invoked as provided in Executive Order,Equal Opportunity and
Affirmative Action of April 16, 1975, or by rules,regulations, or orders promulgated in accordance therewith, or as otherwise provided by law.
(8) The contractor will include the provisions of paragraph(1)through(8)in every sub-contract and subcontractor purchase order unless exempted by rules,
regulations,or orders issued pursuant to Executive Order,Equal Opportunity and Affirmative Action of April 16,1975,so that such provisions will be binding
upon each subcontractor or vendor.The contractor will take such action with respect to any subcontracting or purchase order as the contracting agency may
direct,as a means of enforcing such provisions,including sanctions for non-compliance;provided,however,that in the event the contractor becomes involved
in,or is threatened with,litigation with the subcontractor or vendor as a result of such direction by the contracting agency,the contractor may request the State
of Colorado to enter into such litigation to protect the interest of the State of Colorado.
COLORADO LABOR PREFERENCE
6a. Provisions of 8-17-101&102,CRS for preference of Colorado labor are applicable to this contract if public works within the State are undertaken hereun-
der and are financed in whole or in part by State funds.
b. When construction contract for a public project is to be awarded to a bidder,a resident bidder shall be allowed a preference against a non-resident bidder
from a state or foreign country equal to the preference given or required by the state or foreign country in which the non-resident bidder is a resident.If it is deter-
mined by the officer responsible for awarding the bid that compliance with this subsection.06 may cause denial of federal funds which would otherwise be avail-
able or would otherwise be inconsistent with requirements of federal law,this subsection shall be suspended,but only to the extent necessary to prevent denial of
the moneys or to eliminate the inconsistency with federal requirements (section 8-19-101 and 102, CRS).
GENERAL
7. The laws of the State of Colorado and rules and regulations issued pursuant thereto shall be applied in the interpretation,execution and enforcement of this
contract.Any provision of this contract whether or not incorporated herein by reference which provides for arbitration by any extra-judicial body or person or
which is otherwise in conflict with said laws,rules and regulations shall be considered null and void.Nothing contained in any provision incorporated herein by
reference which purports to negate this or any other special provision in whole or in part shall be valid or enforceable or available in any action at law whether by
way of complaint,defense or otherwise.Any provision rendered null and void by the operation of this provision will not invalidate the remainder of this contract to
the extent that the contract is capable of execution.
8. At all times during the performance of this Contract,the Contractor shall strictly adhere to all applicable federal and state laws,rules and regulations that
have been or may hereafter be established.
9. The signatories hereto aver that they are familiar with 18-8-301,et.seq.,(Bribery and Corrupt Influences)and 18-8-401,et.seq.,(Abuse of Public Office),
CRS 1978 Replacement Vol., and that no violation of such provisions is present.
10. The signatories aver that to their knowledge, no state employee has a personal or beneficial interest whatsoever in the service or property
described herein:
