Master Upgrade Agreement
This Master Upgrade Agreement(the"Agreement"),is catered into this 2 7H of ce s r 1494,

2. Participating Publishers
This Agreement applies to upgrades from the fofiowingpublishers: Aldus,Alpha,Borland,Central Point,Claris,
Dat'Fmcr DCA,Lotus,Miteme tlr,M{hnrim.Maaozo t,Mttrogra ,Quarterdeck,Software Publishing,SYmaraec
WordPerfect,and WordStar.
3. Obligations
(a) Customer(or specified torkgtoup)aclaiowiedges that they legally own licenses to the software being upgraded_
(b) To qualify for participation in CSPs Master Upgrade Piugiaur,the above named Q1shmen_s agrees to abide by the
ap
plicable publishers required minimum quantities as follows: Borland(100 units),
unite), Software50bMicrosoft(50 units),Lotus(50
Publishing ommt ( units)and Ivfictorlm(50 units). The remaining publishers do not
minimum quantity commirrneat, require a
(c).Customer agrees to destoy all old products,once the new upgrade products are received.
Microsoft requires only that the upgrades be used to"replace"the prior versions. For Lotus prods Lotus

provides a 90-day grace period from receipt of new version after which prior version must he destroyed)
(d) Customer acknowledges that receipt of the upgrade package constitutes a replacement of software and materials
under a single license to use,and does not constitute the granting of a second software licence. (Lotus products
may be donated to not-for-profit organizations with prior approval. WordPerfect allows donation to K-I2
educational in.statntions with prior approval.)
(c) Customer may not mat,lend,sell or otherwise transfer prior version(s)to any other petty without terminating its
license altogether(meaning the license to use either the prior version or the upgraded version).
4. Term of Agreement
(a) This Agerrnem shall take effect on the Effective Dare and shall crnrinoc until termination by either I nrty,
