RESOLUTION
RE: APPROVAL OF RECORDED EXEMPTION NO. 1485 - ST. LUKES CORPORATION
WHEREAS, the Board of County Commissioners of Weld County, Colorado,
pursuant to Colorado statute and the Weld County Home Rule Charter, is vested
with the authority of administering the affairs of Weld County, Colorado, and
WHEREAS, the Board of County Commissioners, pursuant to its authority under
Section 30-28-101(10) (d) , CRS, as amended, did determine at a public meeting held
in the Chambers of the Board, that a certain parcel of land, to be divided into
two parcels, as shown on the plat known as Recorded Exemption No. 1485, does not
come within the purview of the definition of the terms, "subdivision" and
"subdivided land", and
WHEREAS, the request for Recorded Exemption No. 1485 was submitted by St.
Lukes Corporation, for property which is located in part of Sections 3, and 10,
Township 7 North, Range 65 West of the 6th P.M. , Weld County, Colorado, being
more particularly described in the plat which shall be provided by the applicant
and known as Exhibit "A", said plat to be recorded, and
WHEREAS, this request is to divide the property into parcels estimated to
be approximately 152 acres and 6 acres.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the hereinabove described parcel of land be, and hereby
is, exempt from the definition of the terms, "subdivision" and "subdivided land".
BE IT FURTHER RESOLVED by the Board that this approval is conditional upon
the following:
1. A Weld County septic permit is required for the proposed home and
its septic system shall be installed according to the Weld County
Individual Sewage Disposal System (ISDS) regulations.
2. An Individual Sewage Disposal System permit must be finalized and
approved by an Environmental Protection Specialist within one (1)
year of the application date.
3. The applicant shall submit a mylar plat to the Department of
Planning Services to be recorded in the office of the Weld County
Clerk and Recorder. The plat shall be prepared in accordance with
the requirements of Section 11. 7 of the Weld County Subdivision
Ordinance. The plat shall be submitted within sixty (60) days from
the date of approval by the Board of County Commissioners. The
applicant shall be responsible for paying the recording fees.

Subject: Recorded Exemption 1485.
This request for a recorded exemption is submitted by St. Lukes Corporation. The
parcel of land is described as part of Section 3 and 10, T7N, R65W of the 6th
P.M. , Weld County, Colorado. The property is located approximately 4.5 miles
northeast of Ault. The request is to divide the property into two parcels of 152
acres and 6 acres, more or less. There is an existing residence and other
accessory structures located on the proposed 6 acre parcel. This parcel is the
total contiguous land holdings of the applicant.
North Weld Water District provides domestic water service. Sewage disposal is
proposed as septic systems. The Weld County Health Department has no objections
to this request. Our office has received no objections from any of the
surrounding property owners or mineral owners. Our office has received an
inquiry concerning the right-of-way status of Weld County Road 45, south of Weld
County Road 84.
In 1982, Recorded Exemption 580 was approved by the Board of County Commissioners
creating two parcels of 155 acres and 3 acres. This request is for the further
division of the 155 acre parcel utilizing the recorded exemption procedure.
The staff requests that the Board of County Commissioners consider this
application and determine if the standards of Sections 11.5.1 through 11.5.6 of
the Weld County Subdivision Ordinance have been met.

Item 4. I have been attempting to sell the farm for the past
year , and the neighbor is interested in buying it.
However , he does not want the existing improvements .
I have a party that is interested in buying the
improvements , so in order to accomplish this I am
requesting a recorded exemption so that we may
complete the sale of the property .
Your consideration to this exemption would be greatly
appreciated.
Item 5 . This proposal is consistent with the policies of the
Weld County Compreshensive Plan because:
(A) No lot has been created by a recorded
exemption within the last 5 years
(B) The smaller parcel is non productive
agriculture land improved by a single
family residence as it has been for many
years .
(C) The smaller parcel shall have access
from Weld Co. Rd. 45 which is a county
road right of way . The large parcel will
have access from Weld Co. Rd . 84 which is
a county road right of way .
Item 6. This proposal is consistent with the intent of the
Zone District which is agriculture.
Item 7 . The large parcel will be operated as a farm
agriculture unit as it has been used in the past.
The small parcel will be used as a rural residence.
Item 8. The uses permitted will be compatible with future
development, because there has been no lot split
within the last 5 years , and the land is surrounded
by irrig. agriculture land and rural residences. It
is unlikely that there would be any major future
development in the area other than those approved by
the planning and zoning regulations of Weld County .
The location of this property will not affect any
master plan of any municipality .
Item 9 . This proposal is not inconsistent with the efficient
and orderly development of the county .
Item 10. The domestic water for the small parcel is supplied
by North Weld Water District (see letter attached ) .
Sewage disposal is by means of a septic system. The
domestic water for the large parcel will be
by means of proposed North Weld Water tap ( letter
attached ) and the sewage disposal will be by means of
a proposed septic system in the event of any future
building .
Item 11 . To the best of our knowledge, the property under

PRIOR LIENS
2. Purchasers acknowledge that they are aware of the fact
that there is a first mortgage lien against the property above
described evidenced by First Farm and Ranch Mortgage in favor
of Federal Land Bank of Wichita, Wichita, Kansas, given to secure
two promissory notes in the total principal amount of $100,000
on which there is an unpaid balance of $88,171.81 as of October 1,
which Iq'cludes interest accrued to October 1, 1974. Said mortgage
is dated March 10, 1970 and is recorded in Book G22 under Recep-
tion No. 1543749 of the Weld County Records. Said notes together
with interest, are payable in annual installments totaling $10,567.10

PAYMENT OF PURCHASE PRICE
3. Purchasers agree to pay to the Sellers and the Sellers
agree to accept as the full purchase price for the above described
property the sum of $345,000 payable $80,000 down ($10,000 by
earnest money deposited March 11, 1974 with the real estate broker
and 570,000 at closing) , and the balance of the purchase price
is due and payable in annual installments of $15,000 on the
1st day of January , each year beginning January 1,

herein, provided the Purchasers do not elect to assume the Federal
Land Bank notes and mortgage as hereinafter provided. •

S. When the purchase price owing Sellers together with
interest thereon as herein provided is paid in full Purchasers
may assume and agree to pay the unpaid balance of the notes secured
by said mortgage to the Federal Land Bank and the deeds and abstracts
held by the escrow agent shall then be delivered to Purchasers.
ESCROW
6. Sellers agree to execute and deliver to the First National
Bank of Greeley, Colorado, as escrow agent for all parties hereto
a good and sufficient warranty deed by which the above described
property is conveyed to the Purchasers as joint tenants with
right of survivorship free and clear of all liens and encumbrances

including the lien of said mortgage in favor of the Federal Land
Bank (unless Purchasers assume and agree to pay the same) but
except reservations, exceptions, covenants. conditions, restric-
tions of record and easements or rights of way evidenced by
instruments of record or established on the premises which do not
render title to said property unmarketable, and except oil and gas
lease of record in favor of Koch Industries, Inc. dated April 21,
1970 recorded in Book 625 under Reception No. 1547468 of the Weld
County Records. Sellers agree to deposit the abstracts of title
covering said property with the escrow agent. Purchasers agree
to deposit with the escrow agent a quit claim deed by which they
convey said property to Sellers. The parties agree to give
written instructions to the escrow agent to deliver said deeds
and abstracts of title to Purchasers at such time as the unpaid
balance of the purchase price hereunder together with interest
thereon as herein provided, has been paid. A copy of the escrow
instructions are attached hereto and are hereby made a part of
this contract.
ABSTRACTS OF TITLE--MARKETABLE TITLE •
7. Sellers agree to furnish to Purchasers the abstracts of
title covering said property extended to date hereof showing
marketable title in the Sellers subject to said mortgage in favor
of Federal Land Bank, but said abstracts of title may be held
in escrow until such time as the note secured by said mortgage
and the purchase price have been paid, at which time said
abstracts of title shall belong to the Purchasers. Title as re-
vealed by said abstracts of title shall be marketable in Sellers

and if any defects are discovered upon examination thereof by
Purchasers' attorney, Sellers shall be notified of said defects
within 30 days from the date hereof and shall then have a reason-
able time within which to remedy such defects. If no notice of
objection to the marketability of title is given within such 30
day period then title shall be deemed to have been accepted by
Purchasers. Sellers shall not be obligated to correct defects
of title created by Purchasers or anyone claiming by, through or
under them.
TAXES, INSURANCE; WATER ASSESSMENTS
(a) Sellers shall pay the taxes and water assessments for
the year 1974.
(b)'Premiums for existing fire insurance have been pro-rated
and adjusted.
(c) Purchasers agree to pay all general and special taxes and
water assessments levied and assessed for the year 1975 and there-
after and all insurance premiums for fire insurance with extended
coverage covering the improvements promptly when due and before
the same become delinquent. Said insurance shall be made payable
in the event of loss to the Sellers and Purchasers herein as their
interests may appear and shall contain mortgage endorsements
protecting the Federal Land Bank. A copy of said policy and en-
dorsements thereto and all renewals thereof shall be furnished
Sellers. The amount of insurance coverage shall be no less than
that now carried by Sellers. •

POSSESSION
9. The land on which sugar beets were grown during the
1974 season has been rented as pasture to Robert W. Noffsinger
wno has the right to possession until February 1, 1975, so
possession of said portion of the above described property is
reserved to Sellers.

ness due and payable from the Purchasers to the Sellers before
Purchasers become entitled to delivery of the deeds and abstracts
of title as herein provided.
DEFAULT
11. Time for payment of the purchase price together with
taxes, insurance premiums, water assessments and other lawful
assessments and charges are of the essence of this contract and
failure of Purchasers to make such payments when due shall give
the Sellers, at their option, the right to declare the entire
unpaid balance of the purchase price due and payable after giving
Purchasers 60 days' written notice of intent to accelerate the due
date. If within said 60 day period the default has not been
remedied, then the entire unpaid balance of the purchase price
shall be considered due and payable and non payment thereof shall
render this contract null and void and of no further force and
effect and Sellers shall be entitled to retain all payments made
on account of the purchase price and to repossess the above
described property as their first and former estate, or Sellers
shall be entitled, at their option, to specific performance of
this contract or any other remedy open to them by law or in equity.
ALTERATIONS--ADDITIONS
12. Purchasers shall not make any alterations or additions
to the improvements on the premises above described without the
written consent of the Sellers first had and obtained, which
consent shall not be unreasonably withheld.

Purchasers shall not cause or permit or suffer any mechanic's
or materialmen's liens to attach to the above described premises
for non payment of costs of alterations or additions to the im-
provements thereon. In the event any such liens are filed as a

expense upon demand of Sellers.
ASSIGNMENT
13. Purchasers may not sell, assign or transfer this contract
or any of their rights and privileges hereunder without the
written consent of the Sellers first had and obtained.
BINDING EFFECT
14. The provisions of this contract shall be binding upon and
shall inure to the benefit of the heirs, executors, administrators
and assigns of the Purchasers and Sellers.
