Gentlemen:
In connection with the Weld County, Colorado
Industrial Development Revenue Bonds (Greeley, Ltd. Project)
Series 1984 issued pursuant to an Indenture of Trust between
Weld County, Colorado and United Bank of Denver National
Association as Trustee dated as of September 15, 1984 , (the
"Bonds") , the undersigned hereby authorize and direct the
Trustee to disburse sufficient funds from the Trust Funds
(as defined in the Indenture of Trust relating to the Bonds)
to purchase the Bonds from the existing Bondholders on June 17,
1985, and to register a transfer of the Bonds in the name
of Greeley, Ltd. , and then to register a transfer of the Bonds
to First Interstate Bank of Denver, N.A. , or its designee,
upon payment by First Interstate Bank of Denver, N.A. of
$9 ,000, 000 which funds are to be deposited in the
Acquisition Fund (as defined in the Indenture of Trust) .
Greeley, Ltd. hereby waives interest on the Bonds for
the days of June 17 and 18 , 1985 .
