RE: APPROVE COUNTY RECORDS AGREEMENT BETWEEN WELD COUNTY AND
TRI-CITY SERVICES , INC. AND AUTHORIZE CHAIRMAN TO SIGN
WHEREAS, the Board of County Commissioners of Weld County,
Colorado, pursuant to Colorado statute and the Weld County Home
Rule Charter, is vested with the authority of administering the
affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a County Records
Agreement between Weld County and Tri-City Services, Inc. , and
WHEREAS, the terms and conditions are as stated in said
Agreement, a copy of which is attached hereto and incorporated
herein by reference, and
WHEREAS, after study and review, the Board deems it advisable
to approve said Agreement.
NOW, THEREFORE, BE IT RESOLVED by the Board of County
Commissioners of Weld County, Colorado, that the County Records
Agreement between Weld County and Tri-City Services, Inc. be, and
hereby is , approved.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and
hereby is , authorized to sign said Agreement.
The above and foregoing Resolution was, on motion duly made
and seconded, adopted by the following vote on the 6th day of
July, A.D. , 1988 .

COUNTY RECORDS AGREEMENT
This agreement, made this 6th day of July , 1988, by
and between Tri-City Services, Inc. , a Colorado corporation, doing business
as Tri-City Services, Inc. , with its principal place of business at 110
West Harvard Street - Lower Level, Fort Collins, Colorado 80525,
hereinafter referred to as "Tri-City" and the County of Weld, State of
Colorado, a county government with its principal place of business being
The Centennial Center, 915 Tenth Street, Greeley, Colorado 80631,
hereinafter referred to as "Weld County" , is subject to the following
agreed statement of facts:
A. This Agreement shall be effective immediately and shall continue for a
term of one year from the date of execution.
B. Tri-City has contracted for County Records Software with
Realtron-Multi-List, a third party Hardware and Software Vendor,
hereinafter known as "RML" .
C. Tri-City's contract with RML requires Tri-City to collect the data and
updates on computer readable media.
D. Weld County agrees to make available the Weld County Assessor's Rolls
and Treasurer's Rolls Data in a form useable to Tri-City and Tri-City
desires to acquire said Data.
Now therefore, in consideration of the foregoing recitals and the
provisions, terms and conditions set forth below, the parties agree as
follows:
1. Acquisition of Data.
a. Weld County agrees to provide that portion of the Assessor's and
Treasurer's Data Base that is public record subject to the
following limitations and conditions: 1) Tri-City shall, from
time to time, submit a list of desired Data Elements which
Tri-City deems to be of value. 2) Weld County shall provide
updates of the data requested by Tri-City at such time intervals
as requested by Tri-City from time to time. 3) Release of all
data elements by Weld County is subject to written approval by
the Weld County Assessor and Treasurer. 4) Revisions to the data
element list shall also be subject to written approval by the
Weld County Assessor and Treasurer.

2. Charges and Fees.
a. Weld County shall provide to Tri-City a schedule of fees and
charges for services and products which shall be the standard
rates changed to all users of the Weld County Computer Center.
Rates shall have a minimum revision of once annually,with this
revision being effective January 1st of the new year.
b. Tri-City agrees to pay for all services and data at the rates
established from time to time by Weld County as provided in
paragraph "a. " above.
c. Tri-City agrees to compensate Weld County for all services
provided prior to the execution of this agreement at the standard
rates in affect at the time of service.
d. Tri-City agrees to pay for any staff resource time required to
modify the Assessor's or Treasurer's systems in order to
accommodate their request for data from Weld County. Weld County
agrees to provide Tri-City with an estimate of the cost of said
staff resource time prior to work being done.
3. Method of Delivery.
a. Weld County agrees to provide the above mentioned data on
9-Track, 1/2-inch tape reels, which shall be furnished by
Tri-City, written at 1600 BPI or 6250 BPI density as is specified
by Tri-City and agreed to by Weld County.
b. Weld County agrees to format each record in the same manner and
agrees to apprise Tri-City of the length of each record, blocking
factors, coding factors and any other pertinent information.
Record Length is described as fixed.
c. Weld County agrees to provide Tri-City with records as specified
in the File Descriptions which accompanied the memorandum dated
June 2, 1988, from Dan Huerter, Programmer Analyst I/Team Leader.
Weld County further agrees to provide Tri-City with a record
count for the purpose of verification.
d. Weld County agrees to provide Tri-City with the file descriptions
and tape layouts of the material and all necessary tables to
decode the file elements.
e. Weld County shall, with five working days written notice, provide
Tri-City a sample tape dump of 5000 records for the purpose of
testing.

4. Representations.
a. Weld County represents that it will use its best efforts to
provide accurate data to Tri-City pursuant to the terms of this
agreement. Weld County does not, however, guaranty the accuracy
of the data provided. All Weld County data is subject to change,
correction, addition, or deletion without notice.
b. Tri-City represents that it will not, under any circumstances ,
resell the raw data provided by Weld County to any third party.
The data obtained from Weld county shall be for the sole use of
the active and affiliate members of the Greeley, Fort Collins,
and Loveland Boards of REALTORS.
5. Miscellaneous.
a. This agreement shall be binding upon and inure to the benefit of
Weld County and Tri-City and their respective successors.
b. No alteration or variation of the terms of this agreement shall
be valid unless made in writing and signed by the parties hereto.
c. Tri-City may not assign or transfer this agreement, any interest
therein or claim thereunder without the prior written approval of
Weld County.
d. Weld County may terminate this agreement at any time by giving
Tri-City a ten day written notice of such sooner termination and
may be terminated at any time without notice upon a material
breach of the terms of this agreement by Tri-City.
e. Tri-City shall indemnify Weld County, its officers and employees
against liability for injury or damage caused by any negligent
act or omission of any of Tri-City's employees or volunteers or
agents in the performance of this agreement and shall hold Weld
County harmless from any loss occasioned as a result of the
performance of this contract by Tri-City. Tri-City shall provide
necessary workman's compensation insurance for Tri-City's
employees at Tri-City's own cost and expense.
In witness whereof, the parties hereto have caused this agreement to be
executed by their duly authorized officers or representatives.
