RESOLUTION
RE: APPROVE LEASE AGREEMENT WITH McPECK LEASING FOR AMBULANCE AND
AUTHORIZE CHAIRMAN TO SIGN
WHEREAS, the Board of County Commissioners of Weld County,
Colorado, pursuant to Colorado statute and the Weld County Home
Rule Charter, is vested with the authority of administering the
affairs of Weld County, Colorado, and
WHEREAS, the Board was presented with a Lease Agreement with
McPeck Leasing, of Denver, Colorado, for an ambulance, Serial
Number E37AHC51432 , and
WHEREAS, the terms and conditions are as stated in the Lease
Agreement, a copy of which is attached hereto and incorporated
herein by reference, and
WHEREAS, after study and review, the Board deems it advisable
to approve said Lease Agreement with McPeck Leasing.
NOW, THEREFORE, BE IT RESOLVED by the Board of County
Commissioners of Weld County, Colorado, that the Lease Agreement
with McPeck Leasing for the hereinabove described ambulance be,
and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and
hereby is, authorized to sign said Lease Agreement.
The above and foregoing Resolution was, on motion duly made
and seconded, adopted by the following vote on the 24th day of
October, A.D. , 1988 .

MOTOR VEHICLE LEASE AGREEMENT
THIS LEASE, made this 14th day of October 19 88 . by
and between MCPECK LEASING, with offices at 4700 Brighton Boulevard,
Denver, Colorado 80216, hereinafter called "LESSOR", and
Weld County hereinafter called "LESSEE",
WITNESSETH:
1. In consideration of the mutual covenants, conditions and agreements
herin contained, Lessor hereby agrees to lease to Lessee and Lessee agrees
to lease from Lessor the motor vehicle, herinafter called "vehicle", descried
in schedule "A" of this Agreement.
2. The parties agree that all of the terms of this lease shall be binding
upon them, their heirs, successors, personal representatives, and assigns and
that "Schedule A" attached hereto as a part hereof.
3. Lessor has delivered on October 14. 1988 , the vehicle described
in "Schedule A" at the Lessor's place of business and Lessee hereby acknowledges
receipt of such vehicle in good condition.
4. The term of this lease specified in "Schedule A" commences on
October 14, 1988 and shall continue for the full term
unless the lease is sooner terminated under the provisions of this Agreement
and "Schedule A" .
5. The rental payment hereunder shall be in the amount set forth on the
attached "Schedule A", payable as therein specified.
6. Lessee agrees that it will use or permit the use of the vehicle only
for lawful purposes and only within the continental limits of the United States
and Canada and in no event shall Lesee use or permit the vehicle to

be used tow or push any vehicle. The vehicle shall be used only by the
Lessee and others using the same with Lessee's permission, provided that
Lessee shall not permit any person to use the vehicle who is not a capable,
qualified driver or who Lessee knows or has reason to know would not be a
safe driver. Lessee agrees that the vehicle shall at all times be used and
lawa of jurisdiction in which such vehicle is operated and in compliance
with all lawful acts, rules, regulations and orders of any commissions, boards,
or other legislative executive or judicial bodies or officers having power to
regulate or supervise the use of such property. Lessee shall do no act which
would void or make inapplicable any insurance on the vehicle. Lessee further
agrees that if the vehicle is impounded by any duly constituted public
authority by reason of said vehicle being used in violation of any federal,
state or municipal statue, law, regulation or order, or if Lessor suffers
any other damage or expense, or both, because of the use of the vehicle for
any unlawful purpose, or in illegal manner, Lessee shall reimburse Lessor
for any damage and reasonable expenses sustained by Lessor.
7. In no event shall the vehicle be permanently removed from the State
or Colorado without the express written consent of the Lessor.
8. Lessee acknowledges and agrees that it has not and by the execution
hereof and/or by payments and performance hereunder does not and will not have
or obtain any title to the vehicle, or any property, rightoor interest, legal
or equitable, therin except solely as Lessee hereunder and subject to all the
terms hereof.
9. Lessee agrees that it will cause to be reported to Lessor immediately
in writing all accidents, collisions, or claims by others, irrespective of
whether any injury, loss or damage is apparant with a full detailed statement

of circumstances, names and addresses of anyone injure.., and owners of
property claimtng damage and listing names and addresses of all witnesses;
and Lessee shall further give Lull cooperation to the Lessor and insurer
on the processing of such claims.
10. Lessee shall bear all risk of damage, theft or destruction, partial
or complete, of said vehicle from whatsoever cause, and further agrees that
all replacements, repairs, or substitutions of parts or equipment on the same
shall be at Lessee's expense and shall constitute accession to said vehicle
and title thereto shall vest and remain in Lessor. Lessee further agrees
that at all times it will keep said vehicle in good and efficient working
order, condition and repair, ordinary wear and tear accepted. Lessee shall
own all personal property which it purchases for use with the vehicle.
11. The Lessee shall self-insure and maintain for the term of this lease
any insurance necessary in reasonable amount and not less than $ 10,000.00
to protect the value of the leased vehicle against any loss normally covered
by "collission and comprehensive automobile insurance". The Lessee shall
maintain insurance as to what is commonly referred to as "public liability
and property damage" coverage.
12. The vehicle shall be licensed in the name of the Lessor. At the
expiration of the lease term, the vehicle shall be returned to the Lessor
at its place of business in Denver, Colorado, in as good condition as
received, normal wear and tear accepted.
13. The Lessor warrants it owns the vehicle free and clear of liens
and encumbrances except none.
Lessor shall make all payments on any encumbrances
before same are in default.
14. Lessee shall pay for tune-ups, adjustments, and other maintenance.
Lessor agrees to pay £Or the initial tune-up and grease

and oil lubrication required at the beginning of the lease period.
15. Time is of the essence of this lease. This instrument, together
with "Schedule A" attached hereto, constitute the entire agreement between
the parties and shall be binding upon the parties and their respective heirs,
personal representatives, successors and assigns, and shall only be amended
by written instrument sign by the parties hereto. Any waiver of the
performance of any of the terms, covenants or conditions hereof by either
party shall not be construed as thereafter waiving any such terms, condition
or covenant, but the same shall remain in full force and effect, as if no
such waiver had occurred.
16. Wherever used herein, the singular tense shall include the plural
tense and the neuter gender shall include the masculine gender and the feminine
gender.
17. All provisions hereof shall be construed and interpreted in
accordance with the laws of the State of Colorado.
18. All payments shall be made to Lessor at his offices at 4700 Brighton
Boulevard, Denver, Colorado 80216.
