HomeMy WebLinkAbout851483.tiff 1/049 F 0223 MARY ANN FEUERSTEIN CLERIC & RECORDER WELD CO, B 1078 REC 02018463 07/25/85 11:41 $147.00 CO AR2C1B4L3 _ _ .._ ASSIGNMENT BILL OF SALE AND CONVEYANCE THIS ASSIGNMENT, BILL OF SALE AND CONVEYANCE (this "Assignment"), dated to be effective as of January 1, 1985 at 7:00 a.m. , local time (the "Effective Time"), is from WICHITA INDUSTRIES, INC. , a Virginia corporation ("Assignor"), having an address at City Center 4, Suite 4500, 1801 Cali- fornia Street, Denver, Colorado 80202; to LYCO ACQUISITION 1984 LIMITED PARTNERSHIP, a Texas limited partnership ("Assignee"), having an address at 12770 Coit Road, Suite 615, Dallas, Texas 75251. FOR $100.00 and other good and valuable considera- tion, the receipt and sufficiency of which are hereby acknowledged by Assignor, Assignor hereby transfers, grants, conveys and assigns to Assignee the following (all of which are herein collectively called the "Assets") : (a) The interests set forth on Exhibit A-i and A-3 attached hereto and made a part hereof in and to the oil, gas and mineral leases and other mineral rights and interests described on Exhibit A-1 and A-3 attached hereto (herein called the "Subject Leases"). (b) The interests set forth on Exhibit B attached hereto and made a part hereof in and to (i) the oil and gas wells described on Exhibit B (herein called the "Subject Wells") and (ii) the units, pooled acreage, prora— tion or spacing units created for the Subject Wells (herein called the "Subject Units") as such Subject Units are described on Exhibit B. (c) All of Assignor's right, title and inter- est in and to all mineral leases, and all other mineral rights and interests (whether described on Exhibit A or not) which cover or affect (i) the lands covered by the Subject Leases, and (ii) the lands described on Exhibit A-2 (herein-. after called the "Subject Lands") . (d) All rights of Assignor in, and rights acquired by Assignor pursuant to that certain Letter Agree- ment dated October 26, 1983 from Assignor to Sovereign Oil Company (hereinafter called the "Sovereign Agreement") together with all extensions, renewals and amendments- thereto (including, without limitation, interests arising under the Sovereign Agreement in and to the Subject Leases set forth on Exhibit A-3)•, insofar and only insofar as the Sovereign Agreement covers and relates to the Subject Lands. (e) All rights acquired by Assignor pursuant to the terms of the Letter Agreement dated October 21, 1983 from Assignor to Cody Nordell, Inc. and Cody Nordell Explor- ation, Inc. (hereinafter called the "Nordell Agreement"), together with all amendments, extensions and modifications of the same, insofar and only insofar as the Nordell Agree- ment covers or relates to the Subject Lands. (f) All of Assignor's right, title and in- terest•in and to all units, pooled acreage, proration or spacing units (including, without limitation, the Subject Units), or other allocation of acreage established by, or in accordance with, applicable state, federal or local law, which include a portion of lands covered by the Subject Leases or the other rights described in paragraphs (a) and • (b) above. ETC. 95 K .5 �� DO2 T B 1078 REC 02018463 07/25/85 11:41 $17.00 2/049 F 07.24 MARY ANN FEUERSTEIN CLERK & RECORDER WELD CO, CO (g) All of Assignor's right, title or inter- est in all oil, condensate or natural gas wells, water source wells, and water and other types of injection wells, whether producing, operating, shut-in, or temporarily abandoned and all equipment used or held for use in connection with the production of oil, gas or other minerals from the Proper- ties. and all oil, gas and other minerals produced from the Properties, as hereinafter defined, subsequent to the Effec- tive Date (the interests described in paragraphs (a), (b), (c), (d), (e). (f) and (g) are hereinafter called the "Prop- erties"). (h) All of Assignor's right, title and inter- est in all physical facilities or interests therein, includ- ing, but not limited to, any tanks, tank batteries, disposal facilities, building, structures, field separators and liquid extractors, compressors, pumps, pumping units, valves, fit- tings, machinery and parts, engines, boilers, meters, appa- ratus, implements, tools, appliances, cables, wires, towers, casing, tubing and rods, gathering lines or other pipelines, field gathering systems and any and all other fixtures and equipment of every type and description to the extent that the same are used or held for use in connection with the ownership or operation of the Properties. (i) All of Assignor's right, title and inter- est in all lands, tenements, appurtenances, surface leases, easements, permits, licenses, servitudes and rights-of-way in any was appertaining, belonging, affixed or incidental to or used or held for use in connection with the ownership or operation of the Properties. (j) All of Assignor's right, title and inter- est in all leases, options, rights of first refusal, farmout agreements, title insurance policies, security agreements, financing statements, contracts, operating agreements or other agreements and instruments to the extent that the same relate, appertain, belong or are incidental to the Proper- ties. (k) All of Assignor's lease files, land files, well files, abstracts, title opinions, accounting records, seismic records and surveys, gravity maps, electric logs, geological and geophysical prospect maps, geological base maps, and other geological or geophysical data••arid records and other documents and records of every kind and descrip- tion which relate to the Properties. • TO HAVE AND TO HOLD the Assets unto Assignee and its successors and assigns forever. This Assignment (and the limited warranties of title set forth below) is in all respects subject to the royalties provided for in the Leases, the terms and provisions of the Leases, and those other burdens imposed thereon or relating thereto that are reflected in the calculations used to determine the Working Interest and Net Revenue Interest per- centages set forth in Exhibits A and B. • With respect to all matters of which Assignee noti- fies Assignor in writing on or before 12:00 P.M. , M.S.T. , December 31, 1986, Assignor makes the representations, war- ranties and agreements set forth in Section 2 of the Agree- ment of Purchase and Sale dated June 13, 1985, between Assignor and Assignee, provided, however, that Assignor does not make such representations, warranties and agreements as to the Assets described in Exhibit A-2, except insofar as the Assets described in such Exhibit A-2 are also described in Exhibit A-1 or Exhibit A-3. -2- B 1078 REC 02018463 07/25/85 11:41 $147.00 3/049 F 0225 MARY ANN FEUERSTEIN CLERK RECORDER WELD CO, CO with respect to all matters of which Assignee noti- fies Assignor in writing on or after 12:01 A.M. , M.S.T. , January 1, 1987, Assignor represents, warrants and agrees to and with Assignee to defend the title to the Assets, to the extent of Assignor's ownership therein, against all claims and demands of all persons claiming the same or any part thereof by, through or under Assignor, and by, through or under A. C. Smith, the trustees of the O. Dale Smith-A. C. Smith Trust, the trustees of the O. Dale Smith-Sinclair Smith Siragusa Trust, the trustees of the Sinclair Smith Siragusa Farm Trust, the trustees of the Clara Currie Smith—A. C. Smith Trust or Sinclair Smith Siragusa, but not otherwise, provided, however, that Assignor does not represent, warrant or agree to defend title to the Assets described in Exhibit A-2, except insofar as the Assets described in such Exhibit A-2 are also described in Exhibit A-1 or Exhibit A-3. Assignor also hereby grants and transfers to Assignee and its successors and assigns, to the extent so transferable, the benefit of and right to enforce the coven- ants and warranties, if any, that Assignor is entitled to enforce with respect to the Assets against Assignor's pre- decessors in title to the Assets. The references herein to liens, encumbrances, bur- dens, defects and other matters are for the purpose of defining the nature and extent of Assignor's limited war- ranties herein and shall not be deemed to ratify or create any rights in third parties. Unless provided otherwise, all recording references in Exhibits A and B are to the official real property rec- ords of Weld County, Colorado. Separate assignments of the Assets may be executed on officially approved forms by Assignor to Assignee, in sufficient counterparts to satisfy applicable statutory and regulatory requirements. Those assignments shall be deemed to contain all of the exceptions, reservations, warranties, disclaimers of warranties, rights, titles, powers and privi- leges set forth herein as fully as though they were set forth in each such assignment. The interests conveyed by such separate assignments are the same, and not in addition to, the Assets conveyed herein. This Assignment may be executed in any number of counterparts, and each counterpart shall be deemed to be an original instrument, but all such counterparts shall consti- tute but one assignment. This Assignment shall bind and inure to the benefit of Assignor and Assignee and their respective successors and assigns.
