Series 1982 (the "Bonds") . Irrevocable Letter of Credit No. 3503-04 dated November 23, 1982, issued by Republic Bank Dallas, National Association (the "Bank") in favor of FNBC for the account of Newpark Resources, Inc. and Eisenman Chemical Co. ("Eisenman") ("Letter of Credit") . Loan Agreement dated as of November 1, 1982, as amended by First Amendment to Loan Agreement dated as of January 1, 1986, by and between Weld County and Eisenman. Gentlemen: Milpark Drilling Fluids hereby irrevocably requests and instructs Weld County to redeem all of the above referenced outstanding Bonds on November 1, 1989, the next interest payment date, and hereby instructs First National Bank of Commerce, as trustee, to give notice of said redemption in accordance with the provisions of the Indenture. Milpark Drilling Fluids also requests and instructs Weld County to take all steps (other than the payment of the money required for such redemption) necessary under the optional redemption provisions of the Indenture to effect the optional redemption of the outstanding Bonds.
