RE: APPROVE CERTIFICATE OF COMPLIANCE FOR JONES INTERCABLE, INC.
AND AUTHORIZE CHAIRMAN TO SIGN
WHEREAS, the Board of County Commissioners of Weld County,
Colorado, pursuant to Colorado statute and the Weld County Home
Rule Charter, is vested with the authority of administering the
affairs of Weld County, Colorado, and
WHEREAS , Jones Intercable , Inc. has requested that the Board
approve a Certificate of Compliance certifying that it is in
compliance with the terms of its cable television franchise, and
WHEREAS, the Board, after study and review, deems it
appropriate to approve said Certificate, a copy of which is
attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County
Commissioners of Weld County, Colorado, that the Certificate of
Compliance for Jones Intercable , Inc. be, and hereby is , approved.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and
hereby is , authorized to sign said Certificate.
The above and foregoing Resolution was, on motion duly made
and seconded, adopted by the following vote on the 30th day of

BOARD OF COUNTY COMMISSIONERS
OF WELD COUNTY, COLORADO
The Board of County Commissioners of Weld County;
Colorado, hereby certifies that Jones Intercable, Inc. , a Colorado
Corporation, has been granted a non-exclusive right to construct,
erect, maintain and operate a cable television system serving
unincorporated areas of Weld County, Colorado, pursuant to
Ordinance No. 94 , dated December 14 , 1981, as amended by Ordinance
Nos. 94-A and 94-B of the Board of County Commissioners of Weld
County, Colorado, a true and correct copy of which is attached
hereto as Exhibit A (the "Franchise") . The Board of County
Commissioners of Weld County, Colorado, further certifies that:
1. The Franchise was lawfully issued;
2 . The Franchise is in full force and effect;
3 . Jones Intercable , Inc. is not in default under the
Franchise;
4 . There are no proceedings pending or threatened by
the Board of County Commissioners of Weld County,
Colorado, to revoke , modify or declare a default by
Jones Intercable , Inc . under the Franchise.

Ladies and Gentlemen:
Pursuant to my telephone conversation with Tony
Antuna on April 23 , 1986, enclosed on behalf of Jones
Intercable, Inc. is a Certificate of Board of County
Commissioners of Weld County, Colorado. This certificate
confirms that a cable television franchise has been lawfully
granted to Jones Intercable, Inc. , is in full force and
effect and that Jones Intercable, Inc. is not in default.
This certificate is requested in connection with a loan which
is scheduled to close no later than April 30, 1986 . We would
appreciate receiving a signed copy of the certificate as
soon as possible. I have enclosed a self-addressed, stamped
envelope for that purpose.
