CONTRACT FOR FOOD SERVICES
THIS CONTRACT, made this day of December, 1985, by ant!
between Weld County, Colorado/If—Ind through THE HOARD OP alum
C'OIQ(ISSIONERS OF WELD COUNTY, P. O. Box 758, Greeley, Colorado
80632, hereinafter referred to as 'C'ounty," and SERVICE ANIMIC ,
CORPORATION, headquartered at IS Gatehouse Road, Stamford.
Connecticut 06902, hereinafter referred to as •Contractor."
WITNESSETH:
WHEREAS, County desires to contract with Contractor for fcol
services in the Weld County Jail, and
WHEREAS, Contractor desires to provide food services fog'
inmates and other persons whom the Wald County Sheriff sap
designate.
NOW, THEREFORE, for and in consideration of the promises and
mutual agreements contained heroin. County and Contractor hereby
agree as follows:
1. Contract DQcueesntee The "Contract Documents' of tbim

which documents are attached hereto and made a part hereof b,
reference. The parties hereto shall comply with all of the terms
conditions, and specifications contained in the cont.rat
documents. The terms and conditions of the main contract herein
shall control in the case of any inconsistency between them and
the terms, conditions, and specifications of the bid doc:umeets .
2. Duration: This contract shall be effective January 1 .
1986, through December 31, 1986, and is automatically renewable to
both parties each year for a term of three (3) years (36 months
subject to price adjustments mutually agreed upon. County ag eees
to allow Contractor's management staff to be on-site at the Weld
County Jail to Observe and prepare for transfer of food service•
responsibility the two (2) weeks prior to January 1, 1986. Thu
contract may be terminated by either party provided a sixty-der.

Administrative Services, with copies to the Meld County Sheri.f
and the Weld County Hoard of County Commissioners. Written notice
to Contractor must be sent to the Service America Corporation ,
Western Sone . President, with a copy to Contractor's Senior
District Manager.
3. A isetion: County hereby authorises contractor. t :
manage, on County s behalf, the food services at the Weld Count,

County' s behalf, preparation and service of food, inc:Count
therapeutic diets, for inmates and any other persons whom tte
Contracting Officer for County may designate.
4 . Facilities and Equipment: Contractor shall have ri: 1
use of County' s food production and food service facili' i,a: .
Contractor has examined said facilities and is satisfied that t'iey
will meet the needs of Contractor for said food production and
food service. County shall provide initial inventory of
glassware, silverware, and chinaware, but Contractor seall
maintain the inventory of these items as a direct cost of sai :9
operation .
5 . Obligations of Contractor:
a. Food Services: Contractor agrees to operate and
supervise County's Jail food services facilities, on County' s
premises, and to supervise the furnishing of food and food
products, including therapeutic diets, for County's inmates
and any other persons whom the contracting officers may
designate. Hours and types of service shall at all time; be
under the control of County's Contracting Officer.
b. Menus: Menus shall be submitted to County' s
Contracting Officer at least one week in advance of service
for approval. Menus shall be nutritionally adequate and
conform to any requirements made by County. dent
change/complaint forms shall be provided to inmates when said
inmates have complaints concerning the menus. Completed
forms shall be reviewed by Contractor's management personnt,]
and appropriate changes shall be made after consultation aith
the contracting officers. County may at any time inspect any
or all aspects of the food service program provided ly
Contractor or request menu variations.
c. Meal Delivery: Contractor shall purchase a
sufficient number of thermal trays (approximately 250) for
the delivery of food to the inmate housing area. The cost of
said trays purchased by Contractor shall be amortised dyer
the three-year period of this contract. County agrees to buy
back any of the unamortised tray investment should this
contract be terminated prior to December 31, 1988.
d. Purchase and Procurement. Purchase and procurenerf:
of all food and food supplies utilised in the food service
department needed for the County's jail facility, and ar ,
other food service department services that may mutua].i°' le
agreed upon, shall be the responsibility of Contractor. ir.

and cost-effective.

will be obtained by Contractor and used the maximum amp tr t.
allowable by law. The "determined value" will be credited tc•
County at 100% of the wholesale value less any deli-ler),
charge. The "determined value" will be negotiated ar:d
mutually agreed upon by both parties when food service
begins. Contractor will maintain separate inventory rerl ds
by item for all federal surplus commodities. Commodities in
storage will be available for inspection by state or federal
representatives.
f. Personnel : Contractor will provide and mainta: n
the following staff: food service manager, a.m. cook, p .n .
cook , weekend relief cook on duty at the food service
facility. Contractor will also provide administrati'.e
support through its region and zone support management
staffs. Contractor' s personnel shall in no way be deeme.1 to
be employees of County and shall in no way be subject to c r
benefit from Weld County' s employment handbook. Contractor
will review performance and evaluate current County star
with no obligation to retain said staff. Contractor s
responsible for the training and education, as needed, fur
staff and inmate workers. Contractor' s food service managc,r-
will coordinate with County officers on a daily basi

6. Financial Arrangement: Contractor agrees to manage
entire food service program for County Jail in accordance wit! t e
specifications found in Weld County's Bid Request No. 059- 8 ' .
Each month, Contractor will submit to County officers a staterie :t
showing the following items:

a. Manning chart and work: schedule for all employee
and inmates.
b. Meal counts indicated the number of meals prelare '
(daily census plus extra meals) .
c. Weekly inventory record by item of all items
warehouse.
d. Nutritional menu analysis showing the 18 F ,. ..
nutrients.
e. A record of all surplus commodities received.
f. Copies of all forms for order and control of
surplus commodities. The per meal rate for County Jail will.
be calculated each month according to the following scale

Compensation to Contractor will be based upon the applicable
daily per meal costs appreciable by the number of meals
served each day.
g. Health txaminationas All employees of Contractor
assigned to duty at County's jail food service facility must
meet applicable standards required by County Health
Department. Said employees shall maintain current health,
cards which will be posted in Contractor's supervisor' s
office. Appropriate signs and safety posters will displayed
throughout the service area emphasising sanitation pract:.ces
and work habits.
h. Performance Bonds Contractor shall furnish +
performance bond in the sum of not less than 1001 of 0114
contract on or before the commencement date of the service
contemplated herein.
i. Insurances Contractor shall maintain insurr,nc*
according to Section 5, on Page 6 of Weld County' s Mi
