CHAIRMAN TO SIGN WHEREAS , the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administerinc the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Agreement between Weld County and the St. Vrain Sanitation Di.s-_ri_ct regarding repair of certain roads due to the installation and construction of a sanitary sewer line by said Sanitation District , and WHEREAS , the terms and conditions of said Agreement are as stated in the Agreement, a copy of which is attached hereto and incorporated herein by reference, and WHEREAS , after study and review, the Board deems it advisable to approve said Agreement . NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Agreement between Weld County, Colorado, and the St. Vrain Sanitation District regarding road repairs be , and hereby is , approved. The parties to this Agreement are the COUNTY OF WELD ("County") of the State of Colorado and the ST. VRAIN SANITATION DIS- TRICT ("District") . 2. RECITALS AND PURPOSE. District is a special district organiEed pursuant to Section 32-1-101 et seq. C.R.S. , and is presently construct- ing and installing certain sewage transmission lines in the unincorpor- ated area known as Del Camino in Weld County. Section 32-1006 (1 )(c) (I ) C.R.S. expressly authorizes County to adopt by resolution such rules as it deems necessary in regard to the District' s installation of transmis- sion lines to insure proper restoration of County roads and highways. Resolution No. attached hereto as Exhibit A and incorporated herein by reference establishes certain terms and conditions with respect to the restoration of said roads and highways. The purpose of this Agreement is to set forth the terms and conditions of compliance with the Resolution. 3. ROADS. The portions of the roads and highways which are the subj?ct of this Agreement are as set forth on the attached Exhibit B which is incorporated herein by reference. 4. WARRANTY OF RESTORATION. District covenants and agrees to restore those portions of the roads described in Paragraph 3 in full compliance with County requirements and standards, and hereby warrants the restora- tion work as follows: 4.1 For a period up to and including twelve (12) months from com- pletion of the restoration work on the subject roads, the District shall assign, transfer and convey to County upon the County' s re- quest and in its sole discretion: (a) all claims, demands, causes of action the District has, or will have, arising from the District' s contract dated May 28, 1987, with Trainor Construction Company as general contractor relating to the restoration of the subject roads and highways; and (b) any and all rights, titles, and interest in and to a performance bond dated May 21, 1987, issued by Ameri :an Casualty Company of Reading, Pennsylvania, as guarantor, up to and including the amount (including costs) required to complete and/or repair the restoration of the subject roads and highways. District covenants, promises and agrees to utilize its best efforts to insure that its contractor strictly adheres to the restoration requirements and to diligently request and require all warranty work to be per- formed, within the contractor' s warranty period, with respect to said roads and highways. 4.2 For a period up to and including eighteen ( 18) months from completion of the restoration work on the subject roads, the Dis- trict covenants, promises and agrees to maintain in a specially designated fund from proceeds remaining from its construction pro-- ject the sum of $50,000.00 for the purposes of accomplishing the required restoration to the subject roads. The District reserves the right to substitute other collateral acceptable to the County in the event the District is in need of the reserved funds. 171332 5. RESTORATION. For the purposes of this Agreement, the term "restora- tion" shall mean all work or materials (or both) which is required to restore the County' s roads and highways to the same grade, width and surface condition as existed prior to sewer line construction. Restora- tion shall not include any damage, wear or tear, etc. , which is not directly attributable to the excavation performed by the District' ; agents and contractors. 6. ARBITRATION. Any dispute arising under this Agreement which carrot be resolved by the parties shall be submitted to arbitration in Gree- ey, Colorado by a board of three persons, one chosen by each party and the third by the two persons previously chosen. The parties agree to abide by the decision of the three-person board. If either party fails te choose a representative within ten days after demand for arbitration, the decision of the person chosen by the other party shall govern. The prevailing party may file such award with the Clerk of the District Court of Weld County who shall enter judgment thereon, and if such award re- quires the payment of money, execution shall issue on such judgment. 7. ATTORNEYS' FEES. If any party breaches this Agreement, the breach- ing party shall pay all of the nonbreaching party' s reasonable attorneys' fees and costs in enforcing this Agreement whether or not legal proceed- ings are instituted.
