Gentlemen:
We are enclosing a copy of a Colorado Department of Natural Resources, Mined
Land Reclamation succession of operations permit. We have made arrangements
with the original permittee, Varra Companies, Inc. , to assume their lease
arrangement with Richard J. and Margaret L. Vogl.
We agreed to abide by the County Resolution dated December 10, 1984 regarding
"road maintenance and improvement".
We have an approved 404 Permit from the Department of the Army Corps of
Engineers to provide for a temporary crossing on the St. Vrain River. The
purpose for this temporary crossing is to provide an alternate haul route
from the St. Vrain west to intercept our existing haul route facility. This
will virtually eliminate most of the dust and traffic problems that have
been addressed in the Weld County Road Maintenance and Improvement Agreement.
If we, however, choose to use the original haul route, we will be governed
in accordance with this agreement.
Please advise if we may provide additional information to you.

REQUEST FOR TRANSFER OF APPROVED MINERAL APPLICATION AN' ' .
SUCCESSION OF PERMIT APPLICANT
I.
RECITALS
A. On January 24 , 1985 , the Mined Land Reclamation Board of
the Colorado Department of Natural Resources (the "State") approved an
application for a mining operation under 34-32-101 et sec . from
Varra Companies, Inc. , address 2130 S. 96th Street
Broomfield. Colorado 80020 ("Applicant") and assigned
' Permit Application Number M-84-110
B. The Applicant wishes to assign the approved Application to
Siegrist. Construction Co. , address 6999 York Street
Denver, Colorado 80229 , as Successor Applicant ("Successor")
and Successor wishes to become Successor Permittee after all requirements of
34-32-101 et sw. are met and the permit may be issued.
II.
AGREEMENTS
Applicant and Successor hereby agree, for their own benefit and for the
benefit of the State, such agreements to be effective i so facto upon the
approval by the State of the transfer of the Application fromAppplicant to
Successor, as follows:
1. Successor has inspected the proposed site of the mining and
reclamation operations and is fully aware of the condition thereof. Successor
has examined the Application for the permit and is fully aware of its contents
and status in the permitting process. Successor thus understands and accepts
the Application as it currently exists.
2. Successor understands the permit for this Application cannot be
issued until all applicable requirements of 34-32-101 et she . are met,
including submission of adequate performance and financial warranties.

3. Successor understands that all commitments and obligations of the
Applicant to the Mined Land Reclamation Board related to this permit
application become those of the Successor.
4. Successor represents to the State that, to the best of its
knowledge, information and belief, it is not in violation of any of the
provisions of the Colorado Mined Land Reclamation Act with respect to any
other operation conducted by it in the State of Colorado.
Applicant and Successor hereby request the State to consent to the
assignment of the approved Permit Application to recognize the Successor as
the approved Applicant under the permitting process.
