ORDINANCE NO. 156 , 1988
EMERGENCY ORDINANCE AUTHORIZING THE EXECUTION OF AN INTERGOVERN-
MENTAL COOPERATIVE AGREEMENT DESIGNATING THE CITY AND COUNTY OF
DENVER AS LEAD ISSUER OF MORTGAGE REVENUE BONDS TO FINANCE, IN
PART, MORTGAGE LOANS FOR LOW- AND MIDDLE-INCOME FAMILIES AND
PERSONS WITHIN WELD COUNTY AND MAKING A DETERMINATION AS TO "LOW-
AND MIDDLE-INCOME FAMILIES AND PERSONS. "
BE IT ORDAINED BY THE BOARD OF COUNTY COMMISSIONERS OF WELD
COUNTY, COLORADO:
WHEREAS, Section 18 of Article XIV of the Colorado
Constitution provides that the State or any of its political
subdivisions shall not be prohibited from cooperating or
contracting with one another to provide any function, service or
facility lawfully authorized to each of the cooperating or
contracting units, including the sharing of costs , the imposition
of taxes, or the incurrences of debt; and
WHEREAS , Part 2 of Article I of Title 29 , Colorado Revised
Statutes, as amended, provides in effect, that any county or
municipality may by resolution or ordinance, contract with one
another to provide any function, service or facility lawfully
authorized to each of the cooperating or contracting units; and
WHEREAS, the City and County of Denver ("Denver") and the
County of Weld ("Weld" ) are each authorized to finance properties
in order that more adequate residential housing facilities for low
and middle income families and persons may be provided; and
WHEREAS , Denver proposes to authorize and provide for the
issuance of revenue bonds to finance residential facilities for
low- and middle-income families and persons (the "Program" ) in an
amount not to exceed the allocation available to Denver under the
bond ceiling computed in accordance with Section 146 (d) of the
Internal Revenue Code of 1986 , as amended, as provided for
"designated local issuing authorities" pursuant to 1987 Colorado
Senate Bill Number 72 enacted by the General Assembly and signed
by the Governor on May 20 , 1987 (the "Bill" ) and an allocation
from the "statewide balance" pursuant to the Bill for use in
connection with the financing of// the Program; and

WHEREAS, Weld has obtained a carry-forward allocation in an
amount not to exceed $1 ,523 , 960 , which carry-forward allocation
has been acquired under the Bill and which is the subject of a
favorable ruling from the Internal Revenue Service of the
Department of the Treasury with respect to the election by Weld to
finance the Program; and
WHEREAS, in order to effect economies of scale and facilitate
the marketing of obligations at the lowest possible interest
rates, Denver and Weld have found it necessary and advisable to
designate Denver as lead issuer to issue obligations to finance
the Program, a proportionate share of the proceeds of which will
be used to finance housing facilities for low- and middle-income
families and persons within the boundaries of Weld; and
WHEREAS, the Board of County Commissioners of Weld has
indicated its willingness to designate Denver as lead issuer and
the City Council of Denver has indicated its willingness to accept
such designation; and
WHEREAS, neither the execution and delivery of this
Agreement, the consummation of the transactions contemplated
hereby, nor the fulfillment of or any compliance with the terms
and conditions of this Agreement conflicts with or results in a
breach of any of the terms, conditions or provisions of any legal
restriction or any agreement or instrument to which Denver or Weld
is now a party or by which Denver or Weld is bound, or constitutes
a default under any of the foregoing.
NOW, THEREFORE, BE IT ORDAINED BY THE BOARD OF COUNTY
COMMISSIONERS OF WELD COUNTY, COLORADO:
1 . The Board of County Commissioners of Weld hereby
designates Denver as lead issuer to issue bonds to finance the
Project, as hereinbefore defined, and otherwise to take all
actions necessary and to exercise all power and responsibility on
behalf of Weld, as agent for Weld, with respect to the financing
of the Project. Pursuant to such designation, Denver agrees to
finance the Project, subject to the terms and conditions to be
agreed upon by Denver and the the financial institutions which
will originate and service such mortgage loans and will provide
that a ratable portion of the proceeds, commensurate with the
carry-forward allocation of Weld, derived from the sale of any
obligations shall be made available to finance mortgage loans to
provide residential housing facilities located within the
boundaries of Weld.

2 . It is the determination of the Board of County
Commissioners of Weld that "low- and middle-income persons and
families" in Weld are persons and families with a maximum
household income not to exceed (a) $34 ,000 if one or two persons
will occupy the residence and the residence is not located in a
targeted area, and $39 ,000 if one or two persons will occupy the
residence and the residence is located in a targeted area, and (b)
$39 ,455 if three or more persons will occupy the residence and the
residence is not located in a targeted area, and $43 , 400 if three
or more persons will occupy the residence and the residence is
located in a targeted area. For purposes of this paragraph,
"maximum household income" means the total of adjusted gross
income, as reported on federal income tax returns as filed with
the Internal Revenue Service for the latest available tax year.
The Board of County Commissioners reserves the right to adjust
maximum household income to coincide with provisions of the
Internal Revenue Code of 1986 , as amended, relating to maximum
household income provided that any such adjustment shall not
exceed the income limit deemed appropriate to provide housing for
"low- and middle-income persons and families. "
3 . The form, terms and provisions of the Intergovernmental
Cooperative Agreement are hereby approved and the Chairman of the
Board of County Commissioners and the County Clerk of Weld County
are hereby authorized and directed to execute and deliver the
Intergovernmental Cooperative Agreement.
4 . The Chairman of the Board of County Commissioners and
the County Clerk of Weld County are hereby authorized and directed
to take such other steps or actions as may be required to carry
out the terms and intent of this Ordinance and of the
Intergovernmental Cooperative Agreement.
5 . Nothing contained in this Ordinance or in the
Intergovernmental Cooperative Agreement shall obligate Weld
County, except to the extent described in the Intergovernmental
Cooperative Agreement, nor constitute the debt or indebtedness of
Weld County within the meaning of the Constitution or statutes of
the State of Colorado, nor give rise to a pecuniary liability of
Weld County or a charge against its general credit or taxing
powers .
6 . If any section, paragraph, clause, or provision of this
Ordinance shall for any reason be held to be invalid or
unenforceable, the invalidity or unenforceability of such section,
paragraph, clause, or provision shall not affect any of the
remaining provisions of this Ordinance.

7. All action (not inconsistent with the provisions of this
Ordinance) heretofore taken by the Board of County Commissioners
and the officers of Weld County directed toward the authorization
of the Intergovernmental Cooperative Agreement is hereby ratified,
approved, and confirmed.
8 . In order to provide financing for mortgage loans for
low- and middle-income families and persons in accordance with the
previously adopted schedule established by Denver, which schedule
anticipates a delivery of bonds on or about December 6 , 1988 , the
Board of County Commissioners hereby declares this Ordinance to be
an Emergency Ordinance and effective upon enactment.
The above and foregoing Ordinance No. 156 was, on motion duly
made and seconded, adopted by the following vote on the 19th day
of October, A.D. , 1988 .

Whereupon it was moved by Commissioner Lacy and
seconded by Commissioner Johnson that all rules of the
Board of County Commissioners which might prevent, unless
suspended, the final passage and adoption of said Ordinance at
this meeting be, and the same hereby are, suspended for the
purpose of permitting the final passage and adoption of said
Ordinance at this meeting. The motion was put to a vote, the vote
being as follows:

A motion to adopt the foregoing Ordinance was then duly made
by Commissioner Lacy and duly seconded by

Thereupon the presiding officer declared said motion carried
and said Ordinance duly passed and adopted.

INTERGOVERNMENTAL COOPERATIVE AGREEMENT
This Intergovernmental Cooperative Agreement (the
"Agreement") , dated as of this 19th day of October, 1988 , is
between Weld County, Colorado ("Weld") , a County and political
subdivision of the State of Colorado, and the City and County of
Denver, Colorado ("Denver") , a municipal corporation and political
subdivision of the State of Colorado.
WHEREAS, Section 18 of Article XIV of the Colorado

3 . This Agreement shall automatically terminate December
31 , 1988 , if Denver has not issued its obligations to finance the
Program, provided that nothing herein shall be deemed to prevent
Weld and Denver from entering into a subsequent agreement with
respect to the Program.
4 . Weld covenants that it will not issue any bonds, notes
or other securities to finance mortgage loans to provide more
adequate residential housing facilities for low- and middle-income
families or persons within the boundaries of Weld and will not
designate any other county or municipality to act on its behalf to
finance such mortgage loans until substantially all of the funds
contemplated under this Agreement have been utilized to originate
such mortgage loans or until June 1 , 1991 , whichever is sooner.
5 . This Agreement shall not constitute the debt or
indebtedness of Weld or Denver within the meaning of the
Constitution or statutes of the State of Colorado nor give rise to
a pecuniary liability or a charge against the general credit or
taxing powers of Weld or Denver.
