In accordance with the terms and conditions hereinafter (NZ set forth, County agrees to transfer , and Sloveks agree to accept the following described real property in the County of Weld , R(', State of Colorado, to wit: ua a [See Exhibit 1] coo Together with all rights of way and easements appurtenant thereto, all improvements thereon and fixtures cf a permanent nature , if any, in their present condition, ordinary wear and CA[14 tear accepted, and hereinafter called the Property , 2 . Concurrently with the signing of this contract , the County has executed and delivered to the County Attorney for the County of Weld a warranty deed to Sloveks conveying the Property free and clear of all taxes; free and clear of all liens for special improvements , whether assessed or not; free and clear of all liens and encumbrances except recorded or apparent easements for telephone , electricity, water , sanitary sewer , and ingress and egress ; and subject to building and zoning regulations. Said deed shall be delivered to the Sloveks by the County Attorney when the County obtains a permit for the removal of sand and gravel from the property contiguous and east of this Property. General taxes for the year of closing , based on the most 0 recent levy and most recent assessment , water rents , and sewer rents , if any, shall be apportioned to the date of delivery of o w deed. 0 6 . In the event the Property shall be damaged by any w casualty prior to delivery of the deed, in an amount of not more x than ten percent of the value of the property as soot forth in the Settlement Agreement, County shall be obligated to repair the same before the date herein provided for delivery of deed . • County shall maintain casualty insurance coverage for the coa Property to the extent of coverage for other ≥imilar County co properties until delivery of the deed to the Sloveks . In the 03 z event damages from any casualty exceed ten percent of the value w of the Property set forth in the Settlement Agreement , and the damage is not repaired at the time the deed is to be delivered to • the Sloveks, Sloveks shall be entitled to the insurance proceeds rn for such damages . SURFACE RIGHTS OF COUNTY - County may clear brush, trees , undergrowth, fences internal to the property, corrals , and other improvements, as may be reasonably necessary to explore for materials or to lacate pits and stockpile in processing areas. In order to obtain access to these premises, and to carry on its operations hereunder, County shall have the right to make use of all roadways presently existing on the leased premises, and shall have the further right to build such additional roads as may be necessary for the production and removal of materials hereunder. WATER - County shall be responsible for providing water o x for dust abatement or for water to replace water no beneficially consumed in the gravel operation during the 1/40 ▪ x term of the lease . County agrees to execute an agreement with the Water Users of District 6 and/or Coa Central Colorado Water Conservancy District to dedicate CO 0 water for as long as there are exposed water surfaces in m z the ponds created by the gravel mining operation, in an • w amount equivalent to two acre feet per acre of exposed oco water in the gravel pits . Should st,ch perpetual dedication be found inadequate to meet the requirements `r5 of Colorado law by a Court of competent jurisdiction or en W by administrative ruling of the State Engineer, County N z agrees to provide the amount of water necessary to meet N Court or State Engineer approved augmentation plan o during the term of the lease. At any time after the a termination of the lease, it shall be the responsibility a of the Sloveks to provide any additional wt.ter. m 5 . PERMITS - Weld County has previously obtained State , County, and Federal permits for the operation on the H▪ 0 subject premises at its own expense. The operation on the premises shall be conducted in compliance with those permits as may be determined by the agency legally responsible for enforcing those permits . Sloveks agree to cooperate with County with respect to obtaining any amendment or transfer of said permi':s which is occasioned by adoption of this lease or conveyance of the underlying interest. 6 . PROTECTION AND RESTORATION OF SURFACE - County will restore the premises in accordance with the reclamation plan approved by the Colorado Mine Lana Reclamation Board except that Sloveks shall be responsible, at their expense, for planting of trees , grass , sirubs and any Page 2 of 6 Pages 880031 2 U other cover or vegetation as required by the Mined Land -- Reclamation Permit. SURRENDER OF LEASE - County shall have the right to surrender this Lease at any point to the Sloveks upon written notice provided that all restoration for the area disturbed, other than planting, pursuant to paragraph 6 herein, has been completed in accordance with the Mined. Land Reclamation Permit. 12 . DEFAULT BY COUNTY - In the event that default occurs in the performance of Sections 3 , 5 and 6 of this Lease by County, the Sloveks shall have the right to give a 180-day notice in writing to County, demanding the correction or removal of such default. In the event County fails to correct or remove such default within such period, Sloveks may, at their opt'.on, terminate this Lease by notice and the tendering of a sum equivalent to the fair market value of the sand, gravel, and aggregate still in place at the time of termination. If this Lease is terminated by Sloveks pursuant to this Page 3 of 6 Pages 8F10033 0 o section, the Sloveks shall have no furtaer right to N V remedies against County except the forfeiture of this Lease . County shall have sixty (60) days after such termination within which to remove any plant, structures, equipment, or stockpile of sand, gravel , or ,a aggregate placed on the leased premises by County. oW og o• 13 . County shall have the right to discharge waters from the x m w operation of the premises from adjacent property held by A Sloveks, described in Exhibit "B, " to existing ponds on O this property for the purpose of removing water from the ra operating pits, and the Sloveks agree to grant an o easement for that purpose. 14 .
