PARTIAL ASSIGNMENT OF OIL AND GAS LEASES
THIS PARTIAL ASSIGNMENT is made this 19th. day of June, 1987, by and
between MAZUMA TURNKEY CONTRACTORS, INC., a Colorado corporation, 11990 Grant
Street, Suite 218, Northglenn, CO 80233 ("Mazuma"), as Assignor; and MOUNTAIN
OIL & GAS, INC., a Colorado corporation, 745 Gilpin Street, Denver, CO 80218
("Mountain"), as Assignee.
1. ASSIGNMENT. For $10 and other valuable consideration, the receipt
and sufficiency of which are hereby acknowledged, MAZUMA does hereby transfer,
convey, grant, assign and set over unto MOUNTAIN an undivided 50% of its
right, title and interest in and to (a) those certain oil and gas leases
("Leases") set forth on Exhibit A hereto insofar, and ONLY INSOFAR, as said
Leases cover lands in the N-NW* and the N4SWI of Section 1, Township 5 North,
Range 65 West, Weld County, Colorado, from the surface of the earth to 100
feet below the base of the Codell Formation; and (b) all well and leasehold
equipment and fixtures situated on the ANN* and N;SW1 of said Section 1 and
held by Mazuma for use in connection with operations on such lends.
2. PROPORTIONATELY SUBJECT TO EXISTING BURDENS. The interests herein
assigned shall be proportionately subject to all burdens, restrictions,
exceptions, reservations, conditions, limitations, charges, agreements and
other matters of record in the real property records of Weld County or of
which the Assignee has actual or constructive notice at the date hereof.
3. SPECIAL WARRANTY. Mazuma warrants title to the leasehold interests,
personal property and fixtures herein assigned as to all parties claiming by,
through or under Mazuma, but not otherwise.
IN WITNESS WHEREOF, this instrument is executed as of the date above set
forth, but shall be effective for all purposes as of the date of first
production from the Sunshine Valley Gatewood #3-1 well located in the NE}NW*
of said Section 1.
