RE : APPROVE CONTRACT FOR ENGINEERING SERVICES WITH ZOYIOPOULOS &
ASSOCIATES, INC . CONCERNING BRIDGE 39/68A AND AUTHORIZE
CHAIRMAN TO SIGN
WHEREAS, the Board of County Commissioners of Weld County,
Colorado, pursuant to Colorado statute and the Weld County Home
Rule Charter, is vested with the authority of administering the
affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Contract for
Engineering Services between Weld County, Colorado, and
Zoyiopoulos & Associates , Inc. concerning the design of Bridge
39/68A, and
WHEREAS, the terms and conditions are as stated in said
Contract, a copy of which is attached hereto and incorporated
herein by reference, and
WHEREAS, after study and review, the Board deems it advisable
to approve said Contract for Engineering Services.
NOW, THEREFORE, BE IT RESOLVED by the Board of County
Commissioners of Weld County, Colorado, that the Contract for
Engineering Services between Weld County, Colorado, and
Zoyiopoulos & Associates , Inc. concerning Bridge 39/68A be , and
hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and
hereby is , authorized to sign said Contract.
The above and foregoing Resolution was , on motion duly made
and seconded, adopted by the following vote on the 13th day of
June , A.D. , 1988 .

CONTRACT FOR ENGINEERING SERVICES
FOR
WELD COUNTY BRIDGE NO. 39/68A
THIS AGREEMENT, made and entered into this 13th day of
June , 1988, by and between the COUNTY OF WELD, of the
State of Colorado, with offices at 915 - 10th Street, P. 0. Box 758,
Greeley, Colorado, 80632, hereinafter referred to as "County", and the
professional consulting firm of ZOYIOPOULOS & ASSOCIATES, INC. , with
an office at 1011 - 42nd Street, Evans, Colorado 80620, hereinafter
referred to as "Engineer".
WITNESSETH :
T N E S SETH :
THAT WHEREAS, the County has established a program of design and
construction of public improvements for Weld County Bridge No. 39/68A;
and
WHEREAS, the County desires to obtain professional engineering
services for the design of public improvements related to the
heretofore-mentioned project; and
WHEREAS, Engineer represents that they possess the necessary
qualifications to perform these services.
NOW, THEREFORE, for the consideration herein expressed, it is
hereby agreed as follows by and between the County and Engineer:
I. EMPLOYMENT OF ENGINEER.
The County hereby agrees to engage Engineer and the Engineer
hereby agrees to perform the services hereinafter set forth.
II. PROJECT DESCRIPTION
This project will consist of the following improvements:
A. The design of a vehicular bridge on County Road 39
between State Highway 392 and County Road 70 and
crossing the Greeley Canal No. 2.
B. The design of the approach roadways on each side of the
bridge.
III. SERVICES TO BE PROVIDED BY THE ENGINEER
A. Design Criteria
All work shall be in compliance with the following:
Bridge design based on HS 20-44 loading.
Standard Specifications for Highway Bridges, AASHTO,
latest edition

A Policy on Geometric Design of Highways and Streets,
AASHTO, latest edition
Standard Specifications for Road and Bridge
Construction, CDOH, latest edition
M & S Standards, CDOH, latest edition
Uniform Manual of Traffic Control Devices, FHWA,
latest edition
Contract between Weld County and Consultant.
B. Pre-Design Meeting
Attend Pre-Design meeting with Weld County to discuss
the scope of design.
C. Subsurface Exploration
Drill test holes and obtain samples.
Determine relevant soil characteristics for foundation
design and pavement design.
Prepare soils investigation report.
D. Survey
Locate existing corners if there is a monumented corner
within one mile in both directions from the bridge.
Establish ties to existing corners.
Establish horizontal control and vertical control.
Survey topography.
Survey roadway cross sections at 50 feet stations and
at road approaches, if applicable.
Survey data pertinent to hydrology and hydraulic study.
E. Utility Coordination
Contact all utilities involved regarding project and
meet with utilities at project site to locate existing
and proposed facilities.
Determine impact of project on utilities and resolve
adjustments, if any.
F. Preliminary Hydrology and Hydraulic Design
Receive drainage requirements from Weld County.
Obtain historical data.
Study drainage areas to determine impact on ditch flow.
Determine precipitation, runoff, peak flows and
frequency.
Determine water surface profile and perform hydraulic
analysis.
Determine size and skew of structure.
G. Preliminary Structure Design
Determine foundation type based on soils investigation.
Determine feasible superstructure alternatives.
Select type of substructure and superstructure.
Prepare general layout for substructure and
superstructure.

H. Preliminary Roadway Design
Design horizontal and vertical alignment, if
applicable.
Determine roadway typical cross section.
Plot roadway plan and profile on plan sheet.
Perform pavement structure design.
I. Preliminary Right-of-Way and Easements
Determine preliminary ROW and easements requirements
from preliminary structure design and roadway design.
J. Preliminary Design Review
The Preliminary Design submittal shall include the
following:
Soils Investigation Report
Substantiate selection of substructure and
superstructure based on hydrology/hydraulic study
and cost comparison.
Plan sheets to include:
General layout of substructure and superstructure
Roadway plan and profile
Typical roadway cross section
Submit for review and approval.
K. Final Hydrology and Hydraulic Design
Review preliminary hydrology and hydraulic design and
update in accordance with Preliminary Design review.
Determine if embankment protection is required.
L. Final Structure Design
Revise the preliminary structure design incorporating
comments from the Preliminary Design review and proceed
with the final design.
M. Final Roadway Design
Revise the preliminary roadway design incorporating
comments from the Preliminary Design review and proceed
with the final design.
Plot roadway cross sections including road approaches,
if any.
N. Final Right-of-Way and Easements
Include the limits of the existing right-of-way and new
right-of-way, if applicable, in the plan sheets.
Include the limits of new easements, if applicable, in
the plan sheets.
Incorporate the property owner names, property owner
addresses and meets and bounds legal descriptions, if
applicable, in the plan sheets.
0. Utility Coordination
Subsequent to the Preliminary Design review adjustments
shall be made and conflicts resolved as necessary.

P. Traffic Control Plan
Determine detour route and submit to Weld County for
approval.
Prepare traffic control plan.
Q. Final Plan Sheets
Revise preliminary plan sheets to include changes from
the Preliminary Design review.
The final plan sheets are to include the following:
Sheet Index
Project site map with detour route and traffic
control signing tabulation
Summary of approximate quantities
Roadway general notes and typical cross section
Geology data - location of test holes, boring
logs, boring legend, soil test results
Hydrology/hydraulic data - flow line elevation,
freeboard, design flow, design velocity
Bridge general notes
Piling layout including estimated pile tip
elevation and maximum end bearing pile load or
caissons layout, if applicable.
Substructure layout and details including
embankment protection, if required.
Superstructure layout and details
Bridge rail and guard rail layout and details
Roadway plan and profile - stationing;
construction centerline; section line; corners;
ties to corners; benchmark elevation and
location; existing and proposed contours;
topography; existing and proposed drainage,
if applicable; utilities; existing right-of-way;
new right-of-way, if applicable; new easements,
if applicable; names of property owners, if
applicable; addresses of property owners, if
applicable; legal descriptions, if applicable;
vertical curve design data, if applicable;
horizontal curve design data, if applicable.
Roadway cross sections - construction centerline;
roadway centerline elevations; existing right-
of-way or new right-of-way, if applicable;
road approaches, if applicable.
Write special provisions as required due to deviations
of CDOH standard specifications.
Compute total cost based on final quantities.
Compute bridge ratings for CDOH HS 20 Inventory, HS 20
Operating, Type 3 Operating, Type 3S2 Operating and
Type 3-2 Operating vehicles.

R. Final Design Review
The Final Design Submittal shall include the following:
Final plan sheets
Special provisions
Bridge ratings
Cost estimate
Submit for review and approval
Incorporate corrections to final plan sheets and special
provisions in accordance with the review as necessary.
Transmit the original plan sheets to Weld County.
S. Construction
Review shop drawings.
Provide consultation during construction.
IV. COUNTY'S RESPONSIBILITIES
The County shall:
A. Provide to the Engineer full information as to the
County's requirements.
B. The County shall receive and examine documents
submitted by the Engineer, interpret and define the
County's policies, and render decisions and
authorizations in writing promptly to prevent
unreasonable delay in the progress of the Engineer's
services.
C. Make available any and all information, requested by
the Engineer, in existing County files pertinent to the
project site which shall include, but not be limited
to, utilities locations, easements, right-of-way,
roads, adjoining property, improvements, traffic
counts, projected traffic counts, surveys, plats, and
locations of critical physical features.
D. Provide legal and insurance counseling services
necessary for project, legal review of the Construction
Contract Documents, and establish auditing services
that the County may require to administer the
construction work.
E. Furnish above services at the County's expense, in
such a manner that the Engineer may rely upon them in
the performance of his services under this Agreement.
F. The County will print all construction documentation
(contract documents, technical specifications, and
drawings). Distribution to prospective bidders will
also be performed by the County.

G. Arrange for or guarantee full and free access for the
Engineer to enter upon all property required for the
performance of the Engineer's services under this
Agreement.
H. Compensate the Engineer for services rendered under
this Agreement, as set forth in the following
paragraphs.
1. The County agrees to pay the Engineer for services
to be provided by the Engineer as defined in this
contract.
2. Method of Payment - The Engineer shall receive
from the County as payment for services under this
contract, a total sum not to exceed Six Thousand
Two Hundred Fifty Dollars ($6,250.00). This sum
shall be a maximum with actual fees based on
hourly rates plus expenses. Expenses shall be
billed at 1.10 of Engineer's cost. Hourly rates
shall be as follows:
Engineer $45.00
Drafter 23.00
Surveying Crew (2 man) 35.00
Surveying Crew (3 man) 45.00
The above fee shall include salary, overhead and
profit, in-house direct costs such as
miscellaneous reproductions, and compute shares
and sub-consultants, if used.
Payment shall be rendered upon receipt by the
County of invoices stating, as a minimum, the
services satisfactorily performed, dates of
performances and the phase that has been
completed.
The amount billable for each phase shall be based
on the actual time and monies expended by the
Engineer and the following estimated phase amount.
The amount billed for each phase can exceed, by a
maximum of twenty percent (20%) of the phase
being billed, or be less than the amount shown
hereinafter provided that the amount billed for
all phases does not exceed the total amount shown
hereinafter, unless a written agreement amending

these amounts is duly agreed upon by the Engineer
and the County, as outlined in Section VII herein.
Preliminary Design Phase $2,000.00
Final Design Phase 3,500.00
Construction Phase 750.00
TOTAL $6,250.00
3. Additional Services - The Engineer shall perform
additional engineering services at the request of
the County and shall be compensated at the
Engineer's standard hourly rate in accordance with
the number of hours expended. Said request must
be agreed to by and between Engineer and County in
advance and in writing.
4. Payments are due on the 15th day following the end
of the month of the statement date. If payment is
not so made, interest will be payable on the
unpaid balance at the rate of eighteen percent
(18%) per annum from the statement date and until
paid.
V. TIME OF PERFORMANCE
The Preliminary Design will be submitted to the County for
review within thirty (30) days of the Authorization to
Proceed. The Final Design will be submitted to the County
for review within forty-five (45) days of the date of
Authorization to Complete Design.
VI. TERMINATION OF AGREEMENT
This Agreement may be terminated for cause by the County or
Engineer upon fifteen (15) days written notice. In the
event of termination, Engineer shall be paid for services
performed to termination date as mutually determined by
County and Engineer.
VII. CHANGE OR EXTRA WORK
The County may, from time to time, request changes in the
services to be provided by the Engineer. Some changes,
including increase or decrease in the amount of Engineer's
Compensation, which are mutually agreed upon by and among
the County and Engineer, shall be incorporated in writing
amendments to this Agreement.

VIII. INSURANCE
The Engineer shall carry the following minimum amounts of
insurance:
(1) Workmen's Compensation in statutory limits
(2) Comprehensive General and Automobile Liability
Policy for amounts not less than:
Bodily Injury
$400,000 each occurrence
or $500,000 combined
and single limit
Property Damage
$100,000 each occurrence
(3) Architects' and/or Engineers' Professional
Liability Policy for amounts not less than
$250,000.00 aggregate
Said insurance shall be maintained in full force and affect
during the term of this contract and for two (2) calendar
years thereafter. Certificates showing the Engineer is
carrying the above described insurance shall be furnished to
the County prior to commencement of the work.
IX. INDEMNIFICATION
The Engineer agrees to indemnify and save the County
harmless from and against all claims, demands, liability,
damages, suits, actions or causes of action, of every kind
and nature, which may be proven against the County arising
out of the negligent acts, errors, or omissions of the
Engineer and those individuals or firms employed by the
Engineer in the performance of this contract.
X. VENUE
This transaction shall be governed by the laws of the
State of Colorado.
XI. NON-DISCRIMINATION
The Engineer shall not commit any of the following
employment practices and agrees to prohibit the following
practices in any subcontracts.
A. To discharge from employment or refuse to hire any
individual because of their race, color, religion,
sex, national origin, disability, age, or marital
status.

B. To discriminate against any individual in terms,
conditions, priviledges or employment because of their
race, color, religion, sex, national origin,
disability, age, or marital status.
XII. BENEFITS
The Engineer, as an independent contractor, its agents or
employees, will receive no benefits directly or indirectly
that accrue to County employees, in the performance of this
contract.
XIII. OWNERSHIP OF ENGINEERING DOCUMENTS
A. All tracings, plans, specifications, estimates, and
miscellaneous items purported to contribute to the
completeness of the work shall be delivered to and
become the property of the County. Reproducible copies
of drawings and plans will be retained by the Engineer.
B. Basic survey notes, sketches, charges, computations and
other data prepared hereunder shall be made available
to the County upon request.
C. All documents, including drawings and specifications
prepared by the Engineer pursuant to this Agreement are
instruments of services in respect to the project.
They are not intended or represented to be suitable for
reuse by County or others on extensions of the project
or on any other project. Any reuse without written
vertification or adaptation by Engineer for the
specific purpose intended will be at County's sole risk
without liability or legal exposure to Engineer and the
County shall indemnify and hold harmless the Engineer
from all claims, damages, losses and expenses including
attorney's fees arising out of, or resulting therefrom.
Any such verification or adaptation will entitle
Engineer to further compensation at rates to be agreed
upon by County and Engineer.
