RE: ASSIGNMENT OF ONE-HALF INTEREST IN LEASE FROM MILE HI OIL AND
GAS, INC. TO WELDMOR LIMITED PARTNERSHIP
WHEREAS , the Board of County Commissioners of Weld County,
Colorado, pursuant to Colorado statute and the Weld County Home
Rule Charter, is vested with the authority of administering the
affairs of Weld County, Colorado, and
WHEREAS , Mile Hi Oil and Gas , Inc . has requested permission
to assign one-half interest of an Oil and Gas Lease to Weldmor
Limited Partnership, 1536 Colorado Boulevard, Suite 220 , Golden,
Colorado 80401 , said assignment concerns 123 net mineral acres
located in Section 6 , Township 8 North, Range 59 West of the 6th
P.M. , Weld County, Colorado, and
WHEREAS , pursuant to Weld County' s Oil and Gas Lease, said
assignment must be approved by the Board of County Commissioners ,
and
WHEREAS, after consideration, the Board deems it appropriate
to approve the hereinabove mentioned assignment, the required fee
for said assignment having been paid.
NOW, THEREFORE, BE IT RESOLVED by the Board of County
Commissioners of Weld County, Colorado, that the assignment of
one-half interest in said lease from Mile Hi Oil and Gas , Inc. to
Weldmor Limited Partnership be, and hereby is, approved.
The above and foregoing Resolution was, on motion duly made
and seconded, adopted by the following vote on the 6th day of
July, A.D. , 1988 .

KNOW ALL MEN BY THESE PRESENTS:
That the undersigned, Mile Hi Oil & Gas, Inc.

hereinafter called Assignor (whether one or more), for and In consideration of One
Dollar ($1.001 the receipt whereof Is hereby acknowledged, does hereby sell, assign,
transfer and set over unto Weldmor Limited Partnership

Golden, Colorado 80401
(hereinafter called Assignee) 50% of its interest in and to the oil and gas lease
dated May 18th , 19 88 , from Board of County Commissioners of the County
of Weld
, lessor
to, Mile Hi Oil & Gas. Inc. , lessee
recorded In book 1197 ,page 02142153 insofar as said lease covers the following described land in
Weld County, State of Colorado
S/2 NE/4 and South 50' of N/2 NE/4;
SE/4 NW/4 and West 20' and South 50' of NE/4 NW/4
of Section 6 Township 8 North Range 59 West and containing 123.0 acres, more or less
together with the rights incident thereto and the personal property thereon, appurtenant thereto, or used or obtained in connec-
tion therewith.
And for the same consideration the Assignor covenants with the Assignee, its or his heirs, successors or assigns: That
the Assignor 1s the lawful owner of and has good title to the Interest above assigned in and to said lease, estate, rights and
property, free and clear from all liens, encumbrances or adverse claims; That said lease Is a valid and subsisting lease on the
land above described, and all rentals and royalties due thereunder have been paid and all conditions necessary to keep the same
in full force have been duly performed.
