RE : APPROVE CHANGE ORDER TO VOORHIS ASSOCIATES , INC .
WHEREAS , the Board of County Commissioners of Weld County,
Colorado, pursuant to Colorado statute and the Weld County Home
Rule Charter, is vested with the authority of administering the
affairs of Weld County, Colorado, and
WHEREAS, on September 16 , 1987 , the Board of County
Commissioners approved a Contract in the amount of $2 , 250 . 00 with
Voorhis Associates, Inc. regarding jail planning services, and
WHEREAS , the Jail Task Force has requested additional
analysis regarding jail site assessment beyond the scope of
services of said Contract, and
WHEREAS, a Resolution authorizing a Change Order totalling
$753 . 00 is recommended to cover the expanded scope of service.
NOW, THEREFORE , BE IT RESOLVED by the Board of County
Commissioners of Weld County, Colorado, that the Change Order, in
the amount of $753 . 00 , to cover the added requested services of
Voorhis Associates , Inc. , pursuant to the Contract dated September
16 , 1987 , be, and hereby is , approved.
The above and foregoing Resolution was , on motion duly made
and seconded, adopted by the following vote on the 16th day of
November, A.D. , 1987 .

RESOLUTION
RE: APPROVE AGREEMENT WITH VOORHIS ASSOCIATES , INC. , AND
AUTHORIZE CHAIRMAN TO SIGN
WHEREAS, the Board of County Commissioners of Weld County,
Colorado, pursuant to Colorado statute and the Weld County Home
Rule Charter, is vested with the authority of administering the
affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement
concerning the Jail Site Assessment Project, said Agreement being
with Voorhis Associates, Inc . , and
WHEREAS, pursuant to said Agreement, Voorhis Associates, Inc.
will provide criminal justice planning assistance to Weld County
for the Jail Site Assessment Project, and
WHEREAS , the terms and conditions are as stated in the
Agreement, a copy of which is attached hereto and incorporated
herein by reference, and
WHEREAS , after study and review, the Board deems it advisable
to approve said Agreement.
NOW, THEREFORE, BE IT RESOLVED by the Board of County
Commissioners of Weld County, Colorado, that the Agreement with
Voorhis Associates , Inc. be, and hereby is , approved.
BE IT FURTHER RESOLVED by the Board that the Chairman be , and
hereby is, authorized to sign said Agreement.
The above and foregoing Resolution was , on motion duly made

AGREEMENT
THIS AGREEMENT is made the 9th day of September 1987, between Weld
County (the "County") and Voorhis Associates, Inc. (the "Consultant"), a
Colorado Corporation. -
WHEREAS, the County wishes to retain the Consultant to provide
criminal justice planning services for Weld County, and the Consultant
wishes to provide the same in accordance with the terms and conditions of
this agreement;
NOW THEREFORE, in consideration of the premises and the mutual
covenants contained herein, the parties hereto agree as follows:
SCOPE OF SERVICES
The scope of work is to provide criminal justice planning assistance
for the Weld County Jail Site Assessment Project.
The County desires that the Consultant assist in the following areas:
Task One — Update Population Forecasts to Project Jail Capacity
Requirements to the Year 2010
Task Two — Develop Two Options for Gross Square Footage Estimates for
the Facility
Option 1: Using unit square footage allocations determine
gross square footage requirements for a facility
which would meet total projected capacity needs
Option 2: Using unit square footage allocations determine
gross square footage requirements for a facility
which would meet the projected capacity needs of
a segment of the jail population
PROJECT PERIOD
The scope of services shall be provided between September 9, 1987 and
October 15, 1987.
COUNTY'S RESPONSIBILITIES
The County shall provide full information regarding the project as
requested by the Consultant. The County shall provide a forum for
receiving information generated during the project.
REIMBURSEABLE EXPENSES
Reimburseable Expenses are in addition to the compensation for Consul-
tant Services and include actual expenditures made by the Consultant's
employees and consultants in the interest of the Project for the
expenses listed in the following paragraphs: o*al; 41,15

Expense of transportation in connection with the Project; long dis-
tance communication.
Expense of reproduction, postage and handling of documents for the
Project.
Expense of data processing and photographic production techniques.
Expense of any additional insurance coverage or limits, including -
professional liability insurance, required by the County.
COMPENSATION AND PAYMENT
The Architect shall pay the Consultant for services prescribed herein
a rate of $ 65 per hour, not to exceed $ 2,250.
Direct reimburseable expenses will not exceed $ 250.
Progress billings shall be submitted monthly on a schedule mutually
agreed upon by both parties. Progress payments shall be due and pay-
able within 60 days of receipt by the County. Any sums due to Consul-
tant not paid when due and payable shall bare interest at the rate of
one and one-half percent (1 1/2%) per month from due date until paid.
CONSULTANT'S ACCOUNTING RECORDS
Records of Reimbursable Expenses shall be kept on the basis of gener—
ally accepted accounting principles and shall be available to the
Architect on request.
INDEPENDENT CONTRACTORS
It is specifically understood and agreed that the Consultant is
an independent contractor.
The Consultant shall be solely liable and responsible to pay all
required taxes and other obligations, including, but not limited
to, withholding and social security.
TERMINATION
The County shall have the right at any time to terminate this agree—
ment by giving the Consultant ten (10) working days' written notice of
its intent to terminate this Agreement, or any portion thereof, the
county shall be obligated to pay to the Consultant for all costs and
services rendered by the Consultant at its standard hourly rates to
the date of termination plus a fee of $500.
The County further agrees to pay termination expenses for work in
progress which the County would like to receive in completed form.
Termination expenses include expenses directly attributable to termi—
nation for which the Consultant is not otherwise compensated. The
Consultant shall specify such termination expenses for the County
prior to a decision to complete work in progress.

SUCCESSORS AND ASSIGNS
The covenants and agreements herein contained shall bind and inure to -
the benefit of the Architect and the Consultant and their respective
successors. Neither the County nor the Consultant shall assign,
sublet or transfer any interest in this Agreement without the written
consent of the other.

Dear Don:
Please find enclosed a draft of a contract for jail site planning
services as we discussed yesterday. I've modified the language to reflect
the fact that the agreement is directly between Voorhis Associates and Weld
County and have included a "not to exceed" limit of $2,250 on consulting
fees at $65 per hour and a comparable limit of $250 on direct reimburse-
ables, which are identified in the document.
If you have any questions regarding the contract, please don't
hesitate to call John Milosovich or me. In the meantime, if there are no
questions on the agreement, please sign and return a copy to me for our
records.
I'm looking forward to working with you and representatives of the
Sheriff's Department on this aspect of the site master plan.
