WHEREAS , George H. Fancher, Jr. , dba Fancher Oil Company, now o
desires to assign all right, title , and interest of said parcels
to PanCanadian Petroleum Company, 600 17th Street , Suite 1800 , to if

WHEREAS , pursuant to Weld County' s Oil and Gas Lease , said
assignments must be approved by the Board of County Commissioners , 0F,

to approve the hereinabove mentioned assignments , subject to a
total fee of $25 .00
NOW, THEREFORE , BE IT RESOLVED by the Board of County
Commissioners of Weld County, Colorado, that the assignment of
said leases , from George H. Fancher, Jr. , dba Fancher Oil Company,
to PanCanadian Petroleum Company, be , and hereby is , approved ,
subject to the submittal of the $25 . 00 fee.

The Assignor herein hereby expressly excepts, reserves and retains title to an undivided TWO PERCENT OF FIGHT-
EIGHTHS (2% of 8/8ths)*of all oil,gas and casinghead gas produced,saved and marketed from the above described land
under the provisions of the aforesaid lease, or any extension or renewal thereof, as an overriding royalty, free and clear of any
cost and expense of the development and operation thereof, excepting taxes applicable to said interest and the production
therefrom.
This Assignment does not state or imply any warranties.

Gentlemen:
PanCanadian Petroleum Company has reached an agreement with Fancher Oil
Company to purchase two Weld County Oil and Gas Leases covering the referenced
acreage. This agreement is contingent upon the approval of the attached
Assignment by the Board of County Commissioners of Weld County, Colorado.
Therefore, attached are two copies of the assignment from Fancher to
PanCanadian and two copies of a Resolution to approve the Assignment. Both
of these documents are submitted for your review and approval. Also attached
is a filing fee in the amount of $25.00.
