Dear Mr. Warden:
Manufacturers Hanover Trust Company of California is successor trustee
to Wells Fargo Bank, N.A. on the above referenced issue. When the deal
originally closed two UCC' s (see attached copies) were filed. The UCC with
Tenth Street Investors as Debtor and Weld County and Wells Fargo Bank,
Letter of Credit Bank, as Secured Parties was continued on May 26, 1987 (see
attached confirmed continuation statement). The UCC in which Weld County
was the Debtor and Wells Fargo Bank, Trustee, as Secured Party was
inadvertently allowed to laspe. Please find enclosed new UCC which is
identical to the original except for the noted change in trusteeship. Could
you please have the appropriate persons review and sign the UCC and return
to me. I will attach the appropriate filing fee and file with the County
Clerk.

SCHEDULE I
All right, title and interest of the Debtors, in, which and to a Loan
Agreement dated as of July 15, 1982 with Harry Asmus, Sara Asmus, Margaret
Ann Clemons, Norman Dean, Bonnie Dean, Tom Rapp, William L. West and Jerry
D. Winters, ("Borrowers") , d/b/a a Tenth Street Investors pursuant to a Co—
Tenants Agreement, the present and continuing right to make claim for,
collect and receive any of the payments and the revenues receivable under
such Agreement; and
The rights, title and interests of County in and to a Deed of Trust, a
Security Agreement and an Assignment of Rents all dated as of July 15, 1982
and all between the Borrowers and the Debtor and Wells Fargo Bank, National
Association, and any other real or personal property or interests in real or
personal property which may hereafter become subject to the lien or security
interest of the Deed of Trust, the Security Agreement or the Assignment of
Rents, subject in the case of the Deed of Trust to the items shown as
exceptions on Exhibit B to the Deed of Trust; and
All moneys and investments from time to time held in any fund or account
established with Manufacturers Hanover Trust Company of California as
successor trustee under an Indenture dated as of July 15, 1982, including
the proceeds of any bonds issued thereunder and any and all other property
of every name and nature from time to time hereafter by delivery or by
writing of any kind conveyed, mortgaged, pledged, assigned or transferred,
as and for additional security thereunder, by Weld County, Colorado or by

SCHEDULE I
All right, title and interest of the Debtors, in, which and to a Loan
Agreement dated as of July 15, 1982 with Harry Asmus, Sara Asmus, Margaret
Ann Clemons, Norman Dean, Bonnie Dean, Tom Rapp, William L. West and Jerry
D. Winters, ("Borrowers") , d/b/a a Tenth Street Investors pursuant to a Co—
Tenants Agreement, the present and continuing right to make claim for,
collect and receive any of the payments and the revenues receivable under
such Agreement; and
The rights, title and interests of County in and to a Deed of Trust, a
Security Agreement and an Assignment of Rents all dated as of July 15, 1982
and all between the Borrowers and the Debtor and Wells Fargo Bank, National
Association, and any other real or personal property or interests in real or
personal property which may hereafter become subject to the lien or security
interest of the Deed of Trust, the Security Agreement or the Assignment of
Rents, subject in the case of the Deed of Trust to the items shown as
exceptions on Exhibit B to the Deed of Trust; and
All moneys and investments from time to time held in any fund or account
established with Manufacturers Hanover Trust Company of California as
successor trustee under an Indenture dated as of July 15, 1982, including
the proceeds of any bonds issued thereunder and any and all other property
of every name and nature from time to time hereafter by delivery or by
writing of any kind conveyed, mortgaged, pledged, assigned or transferred,
as and for additional security thereunder, by Weld County, Colorado or by
anyone on its behalf or with its written consent to Manufacturers Hanover
Trust Company of California, as trustee.
