AR206y875 EQT 'LENT STRUCTURE AGREEMENT
THE UNDERSIGNED, Terry Grazing Assoc. , Grantor,
(and each and all of them if more than one) , for and in con-
sideration of Ten Dollars ($10. 00) in hand paid by the Grantee
and other good and valuable consideration, the receipt whereof
which is hereby acknowledged, hereby grants, bargains and
conveys to WILLIAMS TELECOMMUNICATIONS COMPANY, a Delaware
corporation, having its principal offices at Tulsa, Oklahoma ,
Grantee, its successors, assigns, lessees, licensees and
agents, an easement for the construction, maintenance, secur-
ity, operation, repair, replacement, and removal of communica-
tions equipment, structures, lines, and related facilities,
from time to time, as Grantee may require, upon, over , under
and across the following described tract or parcel of land
which the Grantor owns or in which the Grantor has an interest
in the County of Weld State
of Colorado to wit :

Together with the right of ingress and egress over and across
the adjoining land of the Grantor to and from the above
described property, the right to install gates in fences for
purposes of ingress and egress, the right to clear and keep
cleared all trees, vegetation and other obstructions as may
be necessary, and the right to fence or otherwise secure the
above-described property, all as may be necessary.
This easement shall continue until the use thereof by the
Grantee, its successors or assigns, shall be terminated and
notice thereof given by Grantee . Grantor covenants for itself
its successors and assigns, that Grantee, its successors ,
assigns, lessees , licensees and agents shall peacably and
quietly have, hold, and enjoy the above-described land for the
term specified.

CONSENT AND AGREEMENT
THIS CONSENT AND AGREEMENT is entered into this /r day
of Q CP,v►2koe , 198b , by and between WILLIAMS
TELE OMMUNICATIONS COMPANY, a Delaware corporation, and
NORTHWEST CENTRAL PIPELINE CORPORATION, a Delaware corporation.
WHEREAS, Northwest Central Pipeline Corporation
( "Northwest" ) successor in interest to Cities Service Gas
Company ("Cities" ) is now the Lessee pursuant to that certain
Lease between Cities and Terry Grazing Association ( "Terry" )
dated February 22 , 1979 (the "Northwest Lease" ) relating to the
property described in Exhibit "A" attached hereto (the
"Northwest Property" ) ;
WHEREAS, Williams Telecommunications Company has entered
into a certain Equipment Structure Agreement (the "Equipment
Structure Agreement" ) with Terry dated August 20, 1986 , relat-
ing to the location of a regeneration station known as Cheyenne
Regen Station Site AR24 located in Section 20 , Township 12
North, Range 67 West, Weld County, State of Colorado, (the
"Wiltel Property" ) which Wiltel Property comprises part of the
Northwest Property; and
WHEREAS, Wiltel desires to obtain Northwest ' s consent to
Wiltel ' s use of the Wiltel Property pursuant to the Equipment
Structure Agreement .
NOW, THEREFORE, in consideration of the mutual considera-
tion, terms and conditions set forth herein the parties agree
as follows :
1. Northwest hereby consents to the rights granted to
Williams Telecommunications Company in the WilTel Property
pursuant to the Equipment Structure Agreement .
2 . In recognition of the fact that the WilTel Property is
located on the Northwest Property which is leased by Northwest,
Wiltel hereby agrees to pay Northwest FIVE HUNDRED AND NO/100
DOLLARS ($500 . 00) upon execution hereof and FIVE HUNDRED AND
NO/100 DOLLARS ($500 . 00) annually in advance with the first
payment due commencing on January 1, 1988 and each subsequent
payment due January 1, of each year thereafter until the
earlier to occur of the following : (i) WilTel ' s abandonment of
the Wiltel Property or termination of the Equipment Structure
Agreement or (ii) termination of the Northwest Lease.
3 . Adjustment . It is agreed that the annual payment
provided for Paragraph 2 above shall apply throughout the first
five (5) years of this Agreement, thereafter and prior to the
payment which is due on or before the anniversary date of this
Cheyenne (AR-24)

Agreement every five (5) years during the term hereof , the
annual rental payment for each of the next five (5) years shall
be adjusted on the basis of the Consumer Price Index: U. S.
City Average: All Urban Consumers as of January 1, 1987, for
all items published by the Bureau of Labor Statistics of the
United States Department of Labor, in the following manner :
The initial annual periodic rental payment
of $500 . 00 shall be adjusted in direct
proportion to any change in said index as of
and from January 1, 1987 pursuant to the
index current as of the anniversary date
commencing January 1, 1992 and similar
adjustments in the annual periodic rental
payment shall be made at the commencement of
each such five-year period so long as rental
is payable pursuant to this Agreement .
If for any reason it should become impossible to determine the
adjustment in the annual period rental payment as afore-
described, the parties hereto agree that said periodic payment
shall be adjusted by use of the most similar data then avail-
able most nearly reflecting price changes in the goods or
services covered by the index mentioned above.
4 . The terms and provisions of the Co-Occupancy Agreement
between Northwest and WilTel dated Dccembcr 1, 1986 are hereby „f

before rrcited, together with each herein provided periodic payment, shall operate, cover and be held to be full
consideration and compensation to Lessor for all privileges, rights, and each option granted Lessor under this lease.

Dear Mr. Kline:
The Department of Planning Services' staff has reviewed your proposal to
locate additional gas processing facilities at the Williams Natural Gas
Company site located in Section 20, T12N, R67W, of the 6th P.M. , Weld
County, Colorado, and has determined these facilities will not be a major
change to SUP-417 as approved. As we have discussed, additional access from
1-25 Frontage Road must be approved by the State Highway Department.
In addition, prior to construction of the pipeline, additional information
will be required from Kansas-Nebraska Natural Gas Company.

Dear Ms. Curry:
Attached is Engineering Drawing 263-94-E-02 depicting the location of
additional facilities to be installed at our Cheyenne Compressor Station
located in Section 20, T12N, R67W, Weld County, Colorado.
The additional facilities consisting of a 8" dual orifice meter setting with
8' x 8' metal building, an 8" control valve setting with 8' x 6' metal
building, an 8' x 10' fiberglass building for SCADA and instrumentation
equipment, associated piping and entrance road off the I-25 access road are
depicted in the encircled area on the attached drawing.
The installation of the additional facilities will not increase the number
of employees or the vehicular traffic at our facility and should not
constitute a major change to the Special Use Permit 417 issued to Williams
Natural Gas Company, formerly Cities Service Gas Company.
An application for the additional entrance road has been submitted to the
Colorado Highway Department and will be furnished to Weld County when
received.
Please approve our request for the installation of the above-referenced

Thank you for your letter of May 11. As we discussed this morning, the
Department of Planning Services' staff has considered your proposal to
expand the fiber optics shelter located in the SEi of Section 20, T12N, R67W
of the 6th P.M. , Weld County, Colorado. This expansion and use will not be
a major change to Special Use Permit 417. As we also discussed, an updated
plot plan of the special use permit site must be submitted to us, showing
each structure and use on the site. In addition, we will require a copy of
your lease on the property.

Dear Ms. Curry:
As stated during our telephone conversation on 5/10/89, the
new construction at the WTG's Terry Ranch Junction is an
expansion of our existing site to house additional
telecommunications equipment due to the expansion of our
fiber network.
Three (3) people will be stationed at this site. These
three (3) people will be at the site together approximately
30% of the time with the possibility of any one (1) person
being there 90% of the time to monitor and perform
maintenance of the telecommunications equipment.
The site is located on the Williams Natural Gas Lease and is
to be expanded to a 180' x 100' area. As shown in the
drawings the expansion of the two existing 10' x 30'
buildings will be an additional 42' x 46' room.
