WHEREAS, Northwest Central Pipeline Corporation ( "Northwest" ) successor in interest to Cities Service Gas Company ("Cities" ) is now the Lessee pursuant to that certain Lease between Cities and Terry Grazing Association ( "Terry" ) dated February 22 , 1979 (the "Northwest Lease" ) relating to the property described in Exhibit "A" attached hereto (the "Northwest Property" ) ; WHEREAS, Williams Telecommunications Company has entered into a certain Equipment Structure Agreement (the "Equipment Structure Agreement" ) with Terry dated August 20, 1986 , relat- ing to the location of a regeneration station known as Cheyenne Regen Station Site AR24 located in Section 20 , Township 12 North, Range 67 West, Weld County, State of Colorado, (the "Wiltel Property" ) which Wiltel Property comprises part of the Northwest Property; and WHEREAS, Wiltel desires to obtain Northwest ' s consent to Wiltel ' s use of the Wiltel Property pursuant to the Equipment Structure Agreement . NOW, THEREFORE, in consideration of the mutual considera- tion, terms and conditions set forth herein the parties agree as follows : 1. Northwest hereby consents to the rights granted to Williams Telecommunications Company in the WilTel Property pursuant to the Equipment Structure Agreement . 2 . In recognition of the fact that the WilTel Property is located on the Northwest Property which is leased by Northwest, Wiltel hereby agrees to pay Northwest FIVE HUNDRED AND NO/100 DOLLARS ($500 . 00) upon execution hereof and FIVE HUNDRED AND NO/100 DOLLARS ($500 . 00) annually in advance with the first payment due commencing on January 1, 1988 and each subsequent payment due January 1, of each year thereafter until the earlier to occur of the following : (i) WilTel ' s abandonment of the Wiltel Property or termination of the Equipment Structure Agreement or (ii) termination of the Northwest Lease. 3 . Adjustment . It is agreed that the annual payment provided for Paragraph 2 above shall apply throughout the first five (5) years of this Agreement, thereafter and prior to the payment which is due on or before the anniversary date of this Cheyenne (AR-24) • Agreement every five (5) years during the term hereof , the annual rental payment for each of the next five (5) years shall be adjusted on the basis of the Consumer Price Index: U. S. City Average: All Urban Consumers as of January 1, 1987, for all items published by the Bureau of Labor Statistics of the United States Department of Labor, in the following manner : The initial annual periodic rental payment of $500 . 00 shall be adjusted in direct proportion to any change in said index as of and from January 1, 1987 pursuant to the index current as of the anniversary date commencing January 1, 1992 and similar adjustments in the annual periodic rental payment shall be made at the commencement of each such five-year period so long as rental is payable pursuant to this Agreement . If for any reason it should become impossible to determine the adjustment in the annual period rental payment as afore- described, the parties hereto agree that said periodic payment shall be adjusted by use of the most similar data then avail- able most nearly reflecting price changes in the goods or services covered by the index mentioned above. 4 . An application for the additional entrance road has been submitted to the Colorado Highway Department and will be furnished to Weld County when received. Three (3) people will be stationed at this site. These three (3) people will be at the site together approximately 30% of the time with the possibility of any one (1) person being there 90% of the time to monitor and perform maintenance of the telecommunications equipment. The site is located on the Williams Natural Gas Lease and is to be expanded to a 180' x 100' area.
