HomeMy WebLinkAbout860186.tiff RESOLUTION RE: APPROVAL OF AMENDMENT OF SPECIAL USE PERMIT FOR A LIVESTOCK CONFINEMENT OPERATION TO INCLUDE AN AGRICULTURAL SERVICE OPERATION - JACOBUCCI FAMILY PARTNERSHIP WHEREAS , the Board of County Commissioners of Weld County, Colorado , pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado , and WHEREAS , the Board of County Commissioners held a public hearing on the 19th day of February, 1986 , at the hour of 2: 00 p.m. in the Chambers of the Board for the purpose of hearing the application of Jacobucci Family Partnership , 175 South Main Street, Brighton, Colorado 80601 , to amend a Special Use Permit for a livestock confinement operation to include an agricultural service operation on the following described real estate, to-wit: Part of the SE4, Section 32 , Township 1 North, Range 67 West of the 6th P.M. , Weld County, Colorado WHEREAS , Section 24 .4 .2 of the Weld County Zoning Ordinance provides standards for review of said Special Use Permit , and WHEREAS, the Board of County Commissioners heard all of the testimony and statements of those present , has studied the request of the applicant and the recommendations of the Weld County Planning Commission and all of the exhibits and evidence presented in this matter and, having been fully informed, finds that this request shall be approved for the following reasons : 1 . The submitted materials are in compliance with the application requirements of Section 24 .7 of the Weld County Zoning Ordinance. 2. Use by Special Review Development Standards will provide adequate protection of the health, safety and welfare of the neighborhood and County. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the application to amend a Special Use Permit for a livestock confinement operation to include an agricultural service operation on the hereinabove described parcel of land be, and hereby is , granted subject to the following conditions : 1. The attached Development Standards for the Use by Special Review permit be adopted and placed on the Use by Special Review plat prior to recording the plat. 2. The Use by Special Review activity shall not occur nor shall any additional building or electrical permits be issued on the property until the Use by • Special Review plat has been delivered to the Department of Planning Services Office and the plat is ready to be recorded in the office of the Weld County Clerk and Recorder. 3 . The Use by Special Review permit is for a livestock confinement operation for 5 ,000 cattle and 2 ,000 hogs and a corn cribbing and snow fencing assembly operation as submitted in the application materials on file in the Department of Planning Services and subject to the Development Standards stated herein. 2. The feedlot shall be maintained in accordance with all County and State Health Department regulations . 3 . Lynn Brown - yes; Doug Graff - Yes, even though this may be a potential zoning for residential development, it is truly agricultural at this point and therefore, the safety hazards are minimal or adaptable to a rural type setting. Don Johnson - yes; Ann Garrison - yes; Paulette Weaver - Yes, again agreeing with Doug Graff. This is an area that doesn't have any residential areas in it and is not apt to have for many years based on the City's projected growth plans. Therefore, this request is more appropriate at this time. Jack Holman - yes. Motion carried unanimously. They run lath through machines which twist them with wire. The building they will use was the hog farrowing building. Storage will be outside about fifteen feet from the building. Don Johnson reported he had done an on-site inspection of this property and it is his feeling it would be better to ingress and egress the property onto Weld County Road 15 rather than onto Weld 'County Road 2 except for personal vehicles. Lee Morrison explained the Planning Commission could make Weld County Road 15 a provision to the snow fence and corn cribbing operation, but anything already stated in the old development standards and recorded on the plat for the original permit could not be changed. - Lee Morrison also felt the statement pertaining to when the Wind River Fence Company lease expires should be changed to when the Wind River Fence Company ceases operation for six months would be more applicable. Gloria Dunn amended Condition #3 to read as follows: 3. "Prior to recording the Use by Special Review plat, the plat shall be amended to show Weld County Road 15 as the access to the site." MOTION: Paulette Weaver moved Condition #3 be amended to read as recommended by the Department of Planning Services staff. Motion seconded by Doug Graff. CASE NUMBER: USR-719:85:66 APPLICANT: Frank Curtis REQUEST: A Use by Special Review permit to allow expansion of an existing poultry operation LEGAL DESCRIPTION: Lot 1, Block 1, Ranch Eggs Subdivision, Second Filing LOCATION: Approximately 2.5 miles east of Erie; west of Interstate Highway 25 and south of Weld County Road 4 p _ . Summary of the Weld County Planning Commission Meeting January 21, 1986 Page 3 APPEARANCE: Richard Hicks represented Frank Curtis. He stated they would like to do a four phase improvement program. Phase One of this program, the egg processing room is done, Phase Two is the installation of a small feed mill and a building approximately twelve by fifteen feet to house the equipment. The mill will be low profile because there will be no elevator legs. Phase Three will be construction of a building to compost the chicken manure. This was suggested by the Weld County Health Department to prevent the manure from drawing flies, etc. Phase Four will be a pullet growing facility for six thousand birds. The pullets will be delivered when they are one day old and replacement stock will be raised on the property. There will be no expansion for the number of birds other than the pullets. The Chairman called for discussion from the members of the audience. Richard Sheetz, property owner directly south of the applicant, spoke against this request. He stated Ranch Eggs Subdivision has fifty-four lots, twenty-two lots have active egg production facilities. Eight other egg production facilities are either permanently or temporarily closed. There are fifty-four families in the area and the chicken population has risen from one hundred forty thousand to four hundred and sixty thousand in the past several years. There are already two small feed mills in the area, they are dusty, dirty, noisy, and attract rodents. The smell of chicken manure compost piles is terrible. He does not feel this proposal would benefit the community. A letter from Frank and Emma Hepp, surrounding property owners, was presented. They were opposed to this request. The pictures included with their letter were retained as evidence. Tape 229 - Side 1 Maria Meng, surrounding property just east of the. Curtis property, stated she is against this request because of the smell. The manure compost pile is very close to her property line. She has lived on this property for about twenty years. There are no covenants that were recorded. The agreements regarding the subdivision were only verbal. The smell is so bad she cannot even dry clothes on her line. She distributed pictures of the applicant's property and a towel dried on her clothes line to members of the Planning Commission. These were retained for evidence. Wes Potter, Director, Health Protection Services, Weld County Health Departmetn. The Health Department has received many complaints regarding odor, etc. , since the subdivision was started. He explained what the Health Department could and could not do. They are currently doing routine monthly Summary of the Weld County Planning Commission Meeting January 21, 1986 Page 4 checks at random within the subdivision. He recommends manure be removed from the property daily, but this is not always possible. They have had no complaints on any of the properties that are operating under a Use by Special Review permit. NOTICE: 2:30 p.m. - Don Johnson is again seated and participating actively in the meeting. Gloria read a letter from Mr. and Mrs. Adolph W. Furrer in opposition to this request. A petition signed by seven people who live in the area was distributed to the members of the Planning Commission. William Muller, Secretary, North Huron Water Company, reported the Board has denied Mr. Curtis' request for additional water. Right now they are working to obtain more water because there is a shortage in the subdivision. Bob Fortner, surrounding property owner, stated he just moved into the area about a month ago. Spoke against this request. Tape 229 - Side 2 Randy Tappen, Ranch Eggs property owner, stated he is against this proposal. He is also on the North Huron Water Board and the water supply is so low they may' have to haul water in. Dorothy Shammy, Ranch Eggs property owner, is against this request. They have lived in the subdivision for twenty years and the original plan was to limit each lot to six thousand chickens. It was also her feeling the water supply for the subdivision, which is a well, is contaminated by methane gas from the chicken manure. Lee Morrison explained covenants need to be in place to bind the owners. A better alternative to this problem may be rezoning. Wes Potter reported the well that supplies the subdivision with water is about eight hundred feet deep and is in the Laramie-Fox-Hills formation. Wells in this formation often have methane gas. This does not come from topical contaminants. Surface run-off water may be a potential contaminant. Pauline Sheetz, surrounding property owner, stated she is very opposed to this request. There were covenants that went with this subdivision, but they were never filed. There are chicken feathers everywhere and dead chickens and old eggs are put into the manure compost piles. r, r Summary of the Weld County Planning Commission Meeting January 21, 1986 Page 5 Richard Sheetz asked to review the petition with seven signatures approving of this request. He stated most of those signing the petition do live in the area, but they are also employees of Mr. Curtis. Richard Hicks stated the proposed mill's capacity will only be one to two tons of feed per hour and will only need to be run one to three hours per day. On November 17, 1984, a letter was sent from the Weld County Health Department suggesting an enclosed building for the manure composting. Mr. Curtis has a water storage tank and does not pump water except in off times. Frank Curtis, property owner and applicant, stated he was not aware he had been refused additional water by the water board. The pullet operation will not go into effect for another two years, but they could have water hauled into the storage tanks for this operation. The chicken manure will be dried naturally and will not be heated to be dried. Tape 230 — Side 1 The Chairman asked Gloria Dunn to read the recommendations, conditions, and Development Standards as outlined by the Department of Planning Services staff into the record. Gloria Dunn added a new Condition #3 to read as follows: 3. "Prior to the development of Phase Four (IV) of the poultry operation, the applicant shall provide evidence of a supplementary water source adequate to serve the pullet operation." Gloria Dunn amended Development Standard 3. C. to read as follows: C. "All manure stored on the property shall be enclosed inside the proposed post frame building. Proper manure handling and disposal practices shall be followed at all times. No permanent disposal of manure shall be permitted on the site." Gloria Dunn amended the Development Standards to contain 10 and 11 as follows: 10. "Feed produced on the property shall not be sold commercially." 11. "Dead chickens and old eggs shall be contained in an enclosed facility until disposed of properly." Obviously there is a lot of emotion from a number of the residents who reside in this area, and he sees a number of residents who would probably like to see the whole development changed to some type of residential development while, in fact, the subdivision is agriculturally zoned. Hopefully, they will be able to get together and some how monitor their own area. He would also make a recommendation to the Planning staff and the Planning Commission that sometime the Planning Commission, as a body, tour the area. He would like to become more familiar with it and see for himself what is going on out there. Don Johnson - Abstain, because he missed about fifty percent of the testimony. Ann Garrison - yes, and she does realize the potential losses of the residents to property, etc. , but the County cannot change what is going on there. Also, she like Lynn Brown, feels this at least gives us a start in controlling future problems. She also hopes the residents will get together and through cooperation come up with a plan to help themselves. Preventing future problems is more effective than correcting problems after they are already in existence. Paulette Weaver - While she thinks what Mr. Curtis is proposing is an improvement in the area, she is voting no. She does not like the kinds of outbursts from the people of the area, but she is voting no because the addition of the feed mill and the manure storage will be a benefit to the area, but at this point the addition of six thousand pullets is not in the best interests of the neighborhood. Jack Holman - Yes, and without repeating everything that has been said, he agrees with what has already been said by those who voted for approval. He is a partner in Sunburst Energy and has been trying to sell some of the equipment for over a year. He intends to park the trucks only in the area designated on the plat for this purpose. If the geophysical equipment cannot be sold he may convert some of it to farm machinery. Gloria Dunn stated Mr. Beddo's storage of farm machinery is not a violation. However, he did include it in the permit because he does some custom work sometimes and wanted to make sure all uses of the property are included in the permit. He attended the City of Evans and the City of Greeley Planning Commission meetings. The Evans Planning Commission voted in favor of this request unanimously. The City of Greeley Planning Commission vote was five in favor of the request and two against the request. He does believe that the potential is high for safety hazards to the public, and until it is proven differently to him he continues to oppose wells in these areas. Don Johnson - yes; Ann Garrison - yes; Paulette Weaver - No, because she agrees substantially with Doug Graff. She feels there are some questions about safety hazards. Jack Holman - No, he agrees that this well would be in an area where it is too close to housing, churches, shopping mall, and other businesses. There could be a problem in this area, and he agrees with some of the comments made by Doug Graff. Motion is a tie vote with three voting for the motion and three voting against the motion. They are trying to extract energy resources prior to any development in the area. This is a large area, but they will only be drilling five to ten wells. These tracts are located outside Greeley's Development Plan until the year 2010. None will be closer than four hundred fifty to five hundred feet from the nearest residence. This is primarily an agricultural area. Energy minerals has been drilling in the area for sixteen years and has two hundred wells in this region. Their safety record is very high. Greeley's Planning Commission recommended approval of this request unanimously. The gas will go into Pantera transmission lines in this area. Don Johnson reported he had done an on-site inspection of this property and it is his feeling it would be better to ingress and egress the property onto Weld County Road 15 rather than onto. Weld County Road 2 except for personal vehicles. Lee Morrison explained the Planning Commission could make Weld County Road 15 a provision to the snow fence and corn cribbing operation, but anything already stated in the old development standards and recorded on the plat for the original permit could not be changed. Lee Morrison also felt the statement pertaining to when the Wind River Fence Company lease expires should be changed to when the Wind River Fence Company ceases operation for six months would be more applicable. There is no other assembling of this type being done in the surrounding five state region to provide this product to farmers for agricultural use and to the state highway for snow fencing: The surrounding area is primarily agricultural, with a meatcutting operation within 700 feet on an adjoining property. There are two residences on the proposed property - to the south. All other residences are 1/4 mile or more in other directions. There will be one owner/operator with a 20 hour assembly week. The source of water will be lake water. Bottled water will be used for drinking. Access to this building will be from the west entrance (Road 15), now existing. Vehicular traffic will be minimal - One (1) 20,000 lb. truc]once weekly for delivery and/or shipping purposes. Bathroom facilities will be provided by the existing residence. No other sewage facilities will be necessary. Materials will not be stored in the building. Fire extinguishers will be available. Very little waste is anticipated with pick up weekly by a commercial service. A contract now exists with the Colorado State Highway Department for the' delivery of snow fencing by December 31, 1985. We do not feel that our porposal in any way conflicts with the Weld County Compre- hensive Plan. No existing agricultural land will be taken out of production. This plan should in no way affect the health, safety or welfare of the inhabi- tants of the neighborhood or county. This location is not in a flood plain, nor is it a geologic hazard or in a Weld County Airport overly district area. The equipment is confined in an enclosed building and will not impact population in the area. Any insurance that may be purchased pursuant to this Paragraph 7 or any proceeds that may be payable as a result of a loss under - 5 - • any such insurance shall in no way reduce, alter or modify any provisions of this Lease and specifically the indemnity provisions of Paragraph 11 hereof. • e. The parties agree that all insurance policies ob- tained pursuant to this Lease shal/ include a clause or endorse- ment which shall waive the right to subrogation on' the part of the insurance carrier against both the Lessor and Lessee. The. Les- sor and Lessee hereby release the other from any and all lia- bility or responsibility to the other or anyone claiming through or under them by way of subrogation. f. Lessee shall provide Lessor with proof of all in- surance required herein before occupying the premises and upon each renewal of the tenancy and/o;: policy. • 8. ASSIGNMENT AND SUBLETTING Neither this Lease nor any interest herein may be as- signed by the Lessee, voluntarily or involuntarily, by operation of law or otherwise, and neither all nor any part of the Premises shall be subleased by the Lessee without the written consent of the Lessor first had and obtained: A merger, consolidation,or sale of substantially all of the assets or sale of a substantial amount of the stock of the Lessee or a transfer of a substan- tial partnership interest of the Lessee, shall constitute an assignment of this Lease for the purposes of this paragraph. Any consent to assignment or subletting given by the Lessor shall not constitute a waiver of necessity for such consent to a subsequent assignment or subletting. Notwithstanding any assignment or sublease, Lessee shall remain fully liable under the terms and conditions of this Lease and shall not be released from performing any of the terms, covenants and conditions hereof. Any sublessee or assignee shall (in addition to the Lessee) be personally responsible for all payments conditions, covenants and agreements in this Lease. Any subletting or assignment in violation of this paragraph shall be null and void. '9. NET LEASE The Lessee has inspected the Premises, accepts the same in their present condition and acknowledges that the Premises are tenantable and in good condition. This Lease is a net lease, and the Lessor shall have no obligation of any kind to make any expenditures of any nature upon the Premises. The Les- see shall throughout the term of this Lease, or any extension hereof, at its sole cost and expense, put, keep and maintain the Premises in good, substantial and sufficient condition, re- pair and order. The Lessee shall maintain, repair and replace whenever necessary the non-structural components, including light fixtures of the Premises, together with the interior walls of its unit. The Lessee shall keep the inside of the Premises painted and in clean condition and repair all broken plate glass, glass and show windows that are a part of its unit. In the event the Lessee fails to maintain the Premises or fails to commence the necessary repairs or replacements or diligently pursue the completion of the repairs or replacements, the Les- sor, in addition to all of the remedies available under this Lease (and without waiving any other remedies) may make the repairs, the cost of which shall become due and payable as addi- tional rent. The Lessee shall not permit, commit or suffer waste, impairment or deterioration of the Premises of the im- provements thereon or any part thereof. 11. INDEMNITY PROVISIONS The Lessee agrees to exonerate, hold harmless, protect - 7 - and indemnify the Lessor, or any owner of the Premises, from and against any and all losses, damages, claims, suits or actions, judgments and costs which may arise during the term hereof for personal injury, loss of life or damaged property sustained in or about the Premises; and from and against all costs, counsel fees, expenses and liabilities incurred in any such claims, the investigation thereof or the defense of any action or proceeding brought thereon; and from and against any judgments, orders, de- crees or liens resultant therefrom and any fines levied by any authority for violation of any law, regulation or ordinance by virtue of the use of the improvements and appurtenances thereto situated upon the Premises. This indemnity shall include any loss for the filing of mechanics' and/or material men' s liens. 12. OCCUPATIONAL SAFETY AND HEALTH ACT Lessee shall fully comply with the Occupational Safety and Health Act of 1970 (as amended) (Chapter XVII, Title XIX of the United States Code) (OSHA) or applicable state statute adopted pursuant to OSHA. It shall be Lessee 's obligation to fully comply with the provisions and standards as contained in said Act (or as the same may be amended) and the Lessee shall hold Lessor harmless from any obligations or responsibilities, if any, created under said OSHA or applicable state statute. Further, Lessee shall be responsible to make any and all repairs and alterations to the structural and non-structural components of the Premises, or to any appurtenances situated upon the Pre- mises that may be required of the Lessor as provided in any statute, law or ordinance in effect at the time of the execu- tion of this Lease which may hereafter be enacted. 13. ALTERATIONS TO PREMISES The Lessee may, at its sole expense, make changes or alterations on the Premises; provided, however, that in all cases any such change or alteration shall be made subject to the fol- lowing conditions : a. All plans for proposed changes or alterations, including painting, shall be submitted to the Lessor in writing 1 - 8 - and shall be subject to Lessor's approval in writing. All such approved changes or alterations shall become the property of the Lessor and not subject to compensation or removal by the Lessee, including fixtures installed on the Premises. b. No change or alteration shall at any time be made which shall impair the structural soundness or diminish the value of the building on the Premises or disturb or inter- fere with the quiet enjoyment of any other tenants or lessees. c. Before commencing any of the aforesaid changes or alterations, the Lessee shall procure and deliver to the Lessor the written consent of the holder or holders of any deed of trust or mortgage covering the Premises, if required by said encumbrance or encumbrances. d. No change or alteration shall be undertaken unless Lessee shall have procured and paid for all required municipal and other governmental permits and authorizations having juris- diction of the Premises. e. All work done in connection with any change or alteration shall be done in a good and workmanlike manner and in compliance with all building and zoning laws, and with other laws, ordinances,, orders, rules, regulations and requirements of all federal, state and municipal governments and the appro- priate departments, boards and officers thereof. All electrical and plumbing work will be performed by licensed work persons. f. At all times when any change or alteration is in progress, there shall be maintained, at Lessee' s expense, Worker's Compensation Insurance in accordance with the law or laws now or hereafter enacted governing all persons employed in connection with the change or alteration and general liability insurance for the mutual benefit of the Lessor and Lessee, expressly covering the additional hazards due to the change or alteration. It is understood that no one shall have any lien or claim against the Lessor or his interest in the Premises on ac- count of any such improvement or alteration for work done or • • - 9 - supplies furnished at the insistence of the Lessee. Prior to the construction of any improvements, the repair or restoration of any improvements, or any work to be done upon the Premises which shall exceed $1,000.00, the Lessee shall furnish to the Lessor a bond or insurance protecting against mechanics ' and 'material men's liens in an amount equal to the work which is to be performed at the Premises, together with a performance and completion bond in an amount equal to the proposed cost of improvements and work. 14. DESTRUCTION OF PREMISES If any building or improvements standing or erected upon the Premises shall be destroyed or damaged in whole or in. part by fire or as a result of, directly or indirectly, war or act of God or occurring for any reason whatsoever, the Lessee (under the Lessor's supervision) shall promptly repair, replace and rebuild the same at least to the extent of the value and as nearly as practicable to the character of the building or improvements existing immediately prior to such occurrence. Such repairs, replacements or rebuilding shall be made by the Lessee as afore- said and in accordance with Article 13 hereof. There shall be no rental abatement, and the Lesee shall promptly commence and diligently complete the improvements or repairs to the Premises. The Lessee shall be entitled to use the proceeds of the insurance (if any) , and any excess in costs over the proceeds of the in- surance shall be at the expense of the Lessee. In the event that the Premises are encumbered by a mortgage or deed of trust ("Mortgage") and the holder of the Mortgage requires that all or a portion of the proceeds of the insurance be paid to said holder, then either party may, at its option, declare this Lease null and void and all parties shall be relieved from further obliga- tion hereunder from the date of said destruction; provided, however, that the Lessee may continue this Lease if the Lessee agrees to pay for the repairs plus the amount that may have been paid to the holder of the Mortgage. If the improvements contained 10 - on the Premises are substantially damaged or totally destroyed from any cause whatsoever during the last 18-month period of this Lease, then the Lessor may, at its option, declare this Lease null and void and all parties shall be relieved from further obligation hereunder from the date of said destruction, provided that all insurance proceeds shall become the property of the Lessor. However, if an option to extend the term of this Lease is granted herein, then (if the Lessee exercised said option within twenty (20) days from the date of destruction or damage and if said option is for a period of time longer than eighteen (18) months) , the building or improvements shall be repaired, rebuilt and restored in conformance with the above and this Lease shall continue. 15. DEFAULT PROVISIONS The occurrence of any one or more of the following events shall constitute a default and breach of this Lease by Lessee: a. The Lessee failing to timely pay the rent. b. The Lessee failing to make any other payments re- quired to be made by Lessee when due. c. The Lessee failing to perform or keep any of the other terms, covenants and conditions herein contained for which it is responsible. d. The Lessee abandoning the Premises. e. The Lessee being adjudicated a bankrupt or insol- vent or the Lessee filing in any court a petition in bankruptcy or for reorganization or for the adoption of an arrangement under the Bankruptcy Act (as now or in the future amended) , or the filing of an involuntary bankruptcy against the Lessee, or the Lessee filing in any court for the appointment of a re- ceiver or trustee of all or a portion of the Lessee's property or there being appointed a receiver or trustee for all or a por- tion of the Lessee's property. f. The Lessee making any general assignment or general - 11 - arrangement of its property for the benefit of its creditors. In the event of an occurrence of default as set forth above, the Lessor shall have the right to: a. Terminate this Lease and end the term hereof by giving to Lessee written notice of such termination. b. Without resuming possession of the Premises or terminating this Lease to sue monthly for and recover all rents, other required payments due under this Lease, and other sums including damages and legal fees at any time and from time to time accruing hereunder; or c. Re-enter and take possession of the Premises or any part thereof and repossess the same as of Lessor's former estate and expel the Lessee and those claiming through or under the Lessee and remove the effects of both or either (forcibly, if necessary) without being deemed guilty in any manner of trespass and without prejudice to any remedies for rent delin- quencies or preceding lease defaults, in which event Lessor may from time to time without terminating this Lease relet the Pre- mises or any part thereof for such term or terms and at such rental or rentals and upon such other terms and conditions as Lessor may deem advisable, with the right to make alterations and repairs to the Premises, and such re-entry or taking of the Premises by Lessor shall not be construed as an election on Lessor's part to terminate this Lease unless a written notice of termination be given to Lessee or unless the termination thereof be decreed by a court of competent jurisdiction. In the event of Lessor's election to proceed under this Subparagraph c, then such repossession shall not relieve Lessee of its obli- gation and liability under this Lease, all of which shall survive such repossession, and Lessee shall pay to Lessor as current liquidated damages the basic rental and additional rental and other sums hereinabove provided which would be payable hereunder if such repossession had not occurred, less the net proceeds (if any) of any reletting of the Premises after deducting all - 12 - of Lessor's expenses in connection with such reletting , including but without limitation all repossession costs, brokerage commis- sions, legal expenses, attorneys ' fees, expenses of employees, alteration costs and expenses of preparation for such reletting. Lessee shall pay such current damages to Lessor on the days on which the basic rent would have been payable hereunder if possession had not been retaken and Lessor shall be. entitled to receive the same from Lessee on each such day. 16. HOLD OVER In the event the Lessee remains in possession of the Premises or any part thereof subsequent to the expiration of the term hereof and such holding over shall be with the consent of the Lessor, it shall be conclusively deemed that such possession and occupancy shall be a tenancy from month-to-month only, at a rental which was existing at the end of the term hereof and, further, such possession shall be subject to all of the other terms and conditions contained in this Lease. 17. SUBORDINATION This Lease is subject and subordinate to all mortgages and deeds of trust which now or hereafter may affect the Pre- mises. 18. SURRENDER OF PREMISES Upon the expiration or termination of the term of this Lease, Lessee shall peaceably and quietly leave and surrender the Premises in as good condition as they are upon execution hereof, ordinary wear and tear excepted. Lessee shall surrender and deliver up the building and Premises vacuumed clean and free of Lessee's property. Provided the Lessee is not in de- fault, it shall have the right to remove all of its equipment, machinery and other personal property. 19. NOTICES All notices, demands and requests required to be given by either party to the other shall be in writing. All notices, demands and requests shall either be hand delivered or shall be K_ • - 13 - sent by mail, addressed to the parties at the addresses set forth below or at such other addresses as the parties may desig- nate in writing delivered pursuant to the provisions hereof. Any notice when given as provided herein shall be deemed to have been delivered on the date personally served or two (2) days subsequent to the date that said notice was deposited with the United States Postal Service. 20. TIME OF THE ESSENCE Time is of the essence hereof. 21. QUIET ENJOYMENT The Lessor represents and warrants that: a. The Lessor has the right to enter into and make this Lease. b. The Lessee, upon paying the rent herein reserved and upon performing all of the terms and conditions of this Lease on its part to be performed, shall at all times during the term herein demised peacefully and quietly have, hold and en- joy the Premises. c. The Lessee accepts the Premises subject to all zoning ordinances and regulations pertaining to the Premises, without responsibility or warranty by the Lessor, and further Lessee accepts the Premises subject to easements, rights-of-way, restrictive covenants and reservations of record. 22. RIGHT TO INSPECT OR SHOW PREMISES The Lessor, or Lessor's agent and representative, shall have the right to enter into and upon the Premises or any part thereof at all reasonable hours for the purpose of examining the same. The Lessor, or Lessor's agent and representative, shall have the right to show the Premises to persons wishing to purchase or lease the same at reasonable hours. . During the 90-day period prior to the expiration of this Lease, the Lessor, or Lessor' s agent and representative, shall have the right to place the usual "to let" or "for sale" notices on the Premises', and the • - 14 - Lessee agrees to g permit the same to remain thereon without hin- drance or molestation. 23. MISCELLANEOUS a. This Lease has been executed and delivered in the State of Colorado and shall be construed in accordance with the laws of the State of Colorado. b. The parties mutually agree that the headings and captions contained in this Lease are inserted for convenience of reference only and are not to be deemed part of or to be used in construing this Lease. c. The covenants and agreements herein contained shall be binding upon and inure to the benefit of the Lessor, its personal representatives, heirs, successors and assigns, if any, and the Lessee, its personal representatives, heirs, successors and assigns, if any. d. Words of any gender used in this. Lease shall be held to include any other gender, and words in the singular shall be held to include the plural, as the identity of the Lessor or Lessee requires. 24 . NO WAIVER No waiver by Lessor of any provision hereof shall be deemed a waiver of any other provision hereof or of any subse- quent breach by Lessee of the same or any other provision. Les- sor's consent to or approval of any act shall not be deemed to render unnecessary the obtaining of Lessor' s consent to or approval of any subsequent act by Lessee. The acceptance of rent hereunder by Lessor shall not be a waiver of any preceding breach by Lessee of any provision hereof, other than the failure of Lessee to pay the particular rent so accepted, regardless of Lessor' s knowledge of such preceding breach at time of acceptance of such rent. 25. ATTORNEYS' FEES In case suit shall be brought to enforce any provisions of this Lease, the Lessor shall (in addition to other relief granted) be awarded all reasonable attorneys' fees and costs - 15 - resulting from such litigation. 26 . SEVERABILITY If any sentence, paragraph or article of this Lease is held to be illegal or invalid, this shall not affect in any manner those other portions of the Lease not illegal or invalid and this Lease shall continue in full force and effect as to those provisions. 27. ABANDONING THE PREMISES/SECURITY DEPOSIT In addition to the rights of the Lessor upon the Lessee abandoning the Premises outlined in Paragraph 15, the parties agree that should the Lessee abandon the Premises be- fore the termination date of this Lease, all or a portion of the security deposit placed with the Lessor may be used to defray the actual expenses and losses resulting therefrom, including loss of rents, and advertising for reletting. 28.
