RE: APPROVE PARTIAL RATIFICATION OF OII. AND GAS LEASE AND
AUTHORIZE CHAIRMAN TO SIGN
WHEREAS, the Board of County Commissioners of Weld County,
Colorado, pursuant to Colorado statute and the Weld County Home
Rule Charter, is vested with the authority of administering the
affairs of Weld County, Colorado, and
WHEREAS, Weld County is the Lessor of a certain oil and gas
lease, with Charter Exploration and Production Company as Lessee,
said lease having been recorded at Book 751 , Reception Number
1673042 , in the records of the Weld County Clerk and Recorder, and
WHEREAS, the Board has been presented with a Partial
Ratification of said lease, concerning only the SWi of Section 20 ,
Township 7 North, Range 61 West of the 6th P.M. , Weld County,
Colorado, and
WHEREAS, after review, the Board deems it advisable to
approve said Partial Ratification, a copy of which is attached
hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County
Commissioners of Weld County, Colorado, that the aforementioned
Partial Ratification of Oil and Gas Lease be, and hereby is ,
approved.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and
hereby is, authorized to sign said Partial Ratification.
The above and foregoing Resolution was, on motion duly made
and seconded, adopted by the following vote on the 15th day of
February , A.D. , 1989 .

to said Atlantic Oil Company , any and all interests which I, or we, the
undersigned, now have, or may hereafter acquire, either by conveyance, devise, inheritance, or
operation of law, and whether, vested, expectant, contingent or future, in and to said lands,
in accordance with the each and all of the terms and provisions of said lease, and as fully
and completely, as if the undersigned, had originally executed, acknowledged and delivered
said lease, as one of the Lessors therein, either on the date thereof, or on the date hereof,
and the undersigned declare, each for themselves, that said lease and all of its terms and
provisions are binding on the undersigned and is a valid and subsisting, oil, gas and mineral
lease.
All future drillings deferment or delay rentals due under said lease may be payable to
the original Lessor or Lessors in said lease, and/or to their respective heirs, devises,
successors or assigns, as therein provided, and in the amount and a the depository bank
therein stated, or at a successor bank duly nominated, and said Atlantic Oil Company
shall have all of the rights, privileges and options, as to the interest in said lands owned
by the undersigned, as are conferred by the provisions of said lease to the original Lessee
therein, or as subsequently modified in favor of or for benefit of said Atlantic Oil
Company
The undersigned hereby, severally, warrant and agree to defend the title to the lands
Atlantic Oil Company its, heirs, successors and assigns.

This agreement shall extend to and be binding upon the heirs, executors, administrators,
successors, and assigns of each of the undersigned.

• Upon the termination of this lease in whole or in part by election or by failure to
sake payments as aforesaid, lessee or his assigns shall within 30 days release by
written instrument the land or portion thereof which said lease terminates, and
said notice shall also be sent to the lessor giving the book a:ld page of said lease.
It is expressly understood that this lease is subject to and controlled by any law
of the State of Colorado now in effect restricting or limiting the powers of Countes
or Boards of County Commissioners and provision herein in conflict therewith shall i '
be inoperative and void. -

KNOW ALL MEN BY THESE PRESENTS:
CRYSTAL EXPLORATION AND PRODUCTION COMPANY, a Florida corporation,
whose mailing address is P. 0. Box 21101, Shreveport, Louisiana 71120,
hereinafter referred to as "Assignor", for and in consideration of the sum
of Ten Dollars ($10.00) cash in hand and other good and valuable
consideration paid by ATLANTIC OIL COMPANY, whose address is 310 East
Colorado Street, Suite 200, Glendale, California 91205, herein referred to
as "Assignee", the receipt and sufficiency of which are hereby
acknowledged, does hereby assign, transfer and convey unto Assignee,
subject to the reservations and conditions set forth below, all of
Assignor's interest in and to that certain Oil, Gas and Mineral Lease,
dated August 25, 1975, fran Weld County, Colorado, as lessor, in favor of
Charter Exploration and Production Canpany, as lessee, recorded in Book
751, Reception No. 1673042 of the County of Weld, Colorado Records, INSOFAR
AND ONLY INSOFAR as said lease covers and affects the SW/4 of Section 20,
T7N, R61W, Weld County, Colorado.
There is hereby reserved, in favor of Assignor, an overriding royalty
interest of Two and Three-fourths percent of Eight-Eighths (2 3/4% of
8/8ths) of all oil, gas and minerals produced fran the leasehold assigned,
and/or lands pooled therewith, proportionately reduced. Said overriding
royalty interest reserved herein shall be free and clear of all production,
gathering, compression, dehydration, trucking, transportation, marketing
and treating or other costs and taxes whatsoever, except production,
severance and windfall profit taxes. Said overriding royalty shall attach
to any renewal of said lease or any new lease covering such lands acquired
by, or on behalf of, Assignee within one year fran the termination of said
lease, but only to the extent that such renewed or new lease covers the
interest involved herein.
This sublease is specifically made subject to the following:
(A) the terms, covenants, conditions and provisions of the lease
assigned;
(B) that certain Letter Agreement dated December 1, 1988, by and
between Crystal Exploration and Production Canpany and
Atlantic Oil Canpany.

This sublease is made without any warranty whatsoever, express or
implied, but with full subrogation to all rights of warranty to which
Assignor may be entitled.
The provisions contained herein shall be binding upon Assignor and
