Home My WebLink About870184.tiffRESOLUTION RE: APPROVAL OF CHANGE OF OWNERSHIP REQUEST FOR 3.2% BEER LICENSE FOR HENRY LYNN WALKER, D/B/A BEAR'S INN - EXPIRES MARCH 12, 1988 WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, Henry Lynn Walker, d/b/a Bear's Inn, has presented to the Board of County Commissioners of Weld County, Colorado, an application for a Change of Ownership for the sale of fermented malt beverages, containing not more than 3.2% of alcohol by weight, for consumption on and off the premises, said license previously held by Gary Walker, d/b/a Bear's Inn, and WHEREAS, pursuant to Weld County Ordinance No. 6, Section II., C., said applicant has paid the required fees to the County of Weld for a Change of Ownership of the existing license, and WHEREAS, said applicant has exhibited a State License for the sale of 3.2% fermented malt beverages for consumption on and off the premises, outside the corporate limits of any town or city in the County of Weld at the location described as follows: 2519 8th Avenue, Greeley, Colorado 80631 NOW, THEREFORE, BE IT RESOLVED that the Board of County Commissioners of Weld County, Colorado, having examined said application and the other qualifications of the applicant, does hereby grant License Number 87-7 to said applicant to sell 3.2% fermented malt beverages for consumption on and off the premises, only at retail at said location and does hereby authorize and direct the issuance of said license by the Chairman of the Board of County Commissioners, attested to by the County Clerk and Recorder, of Weld County, Colorado, which license shall be in effect until March 12, 1988, providing that said place where the licensee is authorized to sell 3.2% fermented malt beverages shall be conducted in strict conformity to all of the laws of the State of Colorado and the rules and regulations relating thereto, heretofore passed by the Board of County Commissioners of Weld County, Colorado, and any violations thereof shall be cause for revocation of the license. e % Ci zAii% 870184 Page 2 CHANGE OF OWNERSHIP - HENRY LYNN WALKER The above and foregoing Resolution was, on motion duly made and seconded, adopted by the following vote on the 4th day of March, A.D., 1987. Prior to closing this transaction, Gary and Henry agree to enter into a management agreement which will allow Henry to operate Bears Inn while his application for local and state liquor licensing is being processed. Maintenance of License. The parties agree to keep the exiqting liquor license in full force and effect until the transfer into Henry's name can be made. / 4. Management. While the transfer is pending, Henry agrees to act as manager of the establishment, and to supervise its operation, so that the liquor laws of the State of Colorado are lot violated. As compensation for such management, Henry shall be entitled to receive ninety-eight percent (98%) of the profits arising out of said operation while this agreement is in effect, and shall be responsible for, and indemnify Gary from, ninety- aight percent (98%) of the expenses and liabilities incurred during the management period. Likewise, Gary shall receive two percent (2%) of the profits during said period of time, and shall be responsible for two percent (2%) of the expenses. 5. Protection of License. During the term of this agreement, neither party shall do anything whatever to jeopardize the right of either party to own or obtain a liquor license at the establishment. 6. Duration. This agreement shall terminate upon Henry obtaining the contemplated liquor license transfer. 7. and may consent Non -Assignment. This agreement:is of a personal nature not be'assigned by either party without the prior written of the other. 8. Binding Effect. This agreement shall bind the parties, their heirs, grantees, personal representatives, administrators, and assigns. This agreement may be enforced at law or in equity.
