RESOLUTION
RE: DECLARING THE INTENTION OF THE BOARD OF COUNTY
COMMISSIONERS OF THE COUNTY OF WELD, COLORADO,
TO REFINANCE ITS MENTAL HEALTH FACILITIES
REVENUE BONDS (WELD MENTAL HEALTH CENTER
PROJECT) SERIES 1984 AND TO FINANCE THE
ACQUISITION OF CERTAIN ADDITIONAL FACILITIES
FOR USE BY THE HEALTH CENTER BY THE ISSUANCE
OF THE COUNTY 'S MENTAL HEALTH FACILITIES
REVENUE REFUNDING AND FACILITIES BONDS (WELD
MENTAL HEALTH CENTER PROJECT) SERIES 1986; AND
AUTHORIZING THE PROPER OFFICIALS OF THE COUNTY
TO PROCEED THEREWITH.
WHEREAS, the Board of County Commissioners of Weld County,
Colorado has heretofore authorized the issuance of the County' s
Mental Health Facilities Revenue Bonds (Weld Mental Health Center
Project) Series 1984 (the "Prior Issue") for the purpose of
making a loan (the "Loan") from the proceeds of the Prior Issue
to Weld Mental Health Center, Inc. (the "Borrower") , a Colorado
nonprofit corporation described in Section 501 (c) (3) of the
Internal Revenue Code of 1954 as amended (the "Code") and exempt
from tax under Section 501 (a) of the Code; and
WHEREAS, the Borrower used the proceeds from the Loan to
acquire, remodel and equip the facilities it then and currently
occupies and to acquire, remodel and equip additional existing
facilities within the County; and
WHEREAS, the Borrower has determined that the adjusted
interest rate formula set forth in Ordinance No. 125 authorizing
the issuance of the Prior Issue will result in a tender (present
for acceptance) by the registered owners of the Bonds resulting
in a mandatory prepayment of the Loan, thereby necessitating a
refinancing of the Loan by the Borrower; and
WHEREAS, representatives of the Borrower have requested that
the County refinance the Prior Issue to permit a change in the
adjusted interest rate formula; and
WHEREAS, the Borrower has determined the need for certain
additional facilities to be leased by the Borrower and has
requested that the County provide financing for the acquisition
of said additional facilities (together the additional facilities
and the refinancing of the Prior Issue shall be hereinafter
referred to as the "Project") ; and

WHEREAS, H.R. 3838 being considered by the Senate and House
of Representatives of the Congress of the United States of
America imposes certain requirements on the issuance of bonds for
corporations similar to the Borrower with which the Board of
County Commissioners must comply; and
WHEREAS, this Resolution is intended as a preliminary
indication of the County's intent to proceed with the financing
of the Project and to proceed with complying with the
requirements of H.R. 3838 and allocating a portion of the
County' s share of the state volume cap imposed thereby.
NOW, THEREFORE, BE IT RESOLVED by the Board of County
Commissioners of Weld County, Colorado
A. That the Board of County Commissioners of Weld
County does hereby declare its intention to finance the
Project with the issuance of its refunding and building
bonds.
B. That upon reaching mutually agreeable terms and
provisions, the Board of County Commissioners shall pass an
ordinance authorizing the issuance of its refunding bonds.
C. That the Board of County Commissioners shall do or
assist in doing all things necessary to satisfy the
provisions of H.R. 3838 upon the advice of Counsel to the
County and Bond Counsel and does hereby allocate a portion
of the County' s share of the state volume cap imposed by
H.R. 3838 in the amount of $770, 000 to the Project or so
much thereof as is finally needed.
D. All resolutions, or parts thereof, in conflict
with the provisions hereof be, and the same are, hereby
repealed.

The following business was transacted:
I hereby certify that pursuant to a notice duly published April 10,
1986, in the Johnstown Breeze, a public hearing was conducted to
consider a Resolution concerning the issuance by Weld County of its
Mental Health Facilities Revenue Re-funding and Facilities Bonds,
Series 1986. Don Warden, Director of Finance and Administration, made
this matter of record. Erick Stowe, Bond Counsel representing Weld
Mental Health Center, came forward to answer questions of the Board.
Commissioner Brantner moved to approve the Resolution concerning the
re-financing of the Bonds for Weld Mental Health Center. Commissioner
Kirby seconded the motion and it carried unanimously.
This Certification was approved on the 30th day of April, 1986.

NOTICE IS HEREBY GIVEN that at a regular meeting of the
Board of County Commissioners of Weld County, Colorado, to be
held on Monday, April 28, 1986, at the hour of 9 : 30 a.m. , in the
First Floor Meeting Room at the Centennial Complex, 915 10th
Street, in Greeley, Colorado, the Board will hold a public
hearing on the passage and adoption of a proposed resolution
concerning the issuance by Weld County of its Mental Health
Facilities Revenue Refunding and Facilities Bonds (Weld Mental
Center Project) Series 1986, in the maximum aggregate face amount
of $770, 000 for the purpose of financing the cost of acquisition
of real property and improvements thereon located at 1513 9th
Avenue, Greeley, Colorado (the "Building") and the refinancing of
the County' s Mental Health Facilities Revenue Bonds (Weld Mental
Health Center Project) Series 1984 (the "Series 1984 Bonds") .
The initial owner, operator, and manager/lessor of the Building
will be Personal Development Incorporated, a Colorado nonprofit
corporation to be formed. The principal of and interest on the
Bonds shall be payable solely from revenues derived from the
original facilities financed by the Series 1984 Bonds, or from
other funds of the Weld Mental Health Center, Inc. (the
"Borrower") . The Bonds and the interest thereon shall never
constitute the debt or indebtedness of the County and shall not
constitute nor give rise to a pecuniary liability of the County
or charge against its general credit or taxing powers. All
persons with differing views on either the issuance of the Bonds
or the location or nature of the Building will be given a
reasonable opportunity to express their views, both orally and in
writing.
