RE: APPROVE ASSIGNMENT OF LEASE FROM DIVERSIFIED OPERATING
CORPORATION TO ENERGY MINERALS CORPORATION
WHEREAS, the Board of County Commissioners of Weld County,
Colorado, pursuant to Colorado statute and the Weld County Home
Rule Charter, is vested with the authority of administering the
affairs of Weld County, Colorado, and
WHEREAS , Diversified Operating Corporation, 1600 Stout
Street, Suite 1900 , Denver, Colorado 80202 , has requested
permission to assign all right, title , and interest of an Oil and
Gas Lease covering 238 .55 net mineral acres located in the SW* ,
W}NW} of Section 19 , Township 7 North, Range 58 West of the 6th
P.M. , Weld County, Colorado, to Energy Minerals Corporation, 1616
Glenarm Place , Suite 1000 , Denver, Colorado 80202 , and
WHEREAS , said Oil and Gas Lease is recorded in Book 1176 ,
Reception #02121286 , in the records of the Weld County Clerk and
Recorder, and
WHEREAS, the required $25 . 00 fee has been submitted, and
WHEREAS, pursuant to Weld County' s Oil and Gas Lease, said
assignment must be approved by the Board of County Commissioners,
and
WHEREAS, after consideration, the Board deems it appropriate
to approve the hereinabove mentioned assignment.
NOW, THEREFORE, BE IT RESOLVED by the Board of County
Commissioners of Weld County, Colorado, that the assignment of
said lease from Diversified Operating Corporation to Energy
Minerals Corporation be, and hereby is , approved.

gas lease by and between Weld County, Colorado and Diversified Operating
Corporation dated October 28, 1987, specifically under paragraph 9
Assignments; be advised that DOC has transferred all of its right, title
and interest in the above captioned lease to Energy Minerals Corporation.
A copy of the said assignment is enclosed for your records. Keeping
with the forementioned paragraph 9, DOC hereby specifically requests your
written permission to approving this assignment.
Assuming you are in agreement with the foregoing, please notify the
undersigned immediately in writing with a cross copy of said correspondence
to Mr. John McKnight. Land Manager of Energy Minerals Corporation at 1616
Glenarm Place, Suite 1900, Denver, Colorado 80202.
