RESOLUTION
RE : APPROVE ASSIGNMENT OF LEASE FROM THE OIL COMPANY TO TEXAS
AMERICAN OIL CORPORATION AND AUTHORIZE CHAIRMAN TO SIGN
WHEREAS , the Board of County Commissioners of Weld County ,
Colorado , pursuant to Colorado statute and the Weld County Home
Rule Charter , is vested with the authority of administering the
affairs of Weld County , Colorado , and
WHEREAS , The Oil Company received an Oil and Gas Lease from
Weld County , Colorado , on May 15 , 1985 , concerning the NWT W1 SEA
of Section 14 , Township 8 North , Range 66 West of the 6th P . M . ,
Weld County , Colorado , and
WHEREAS , The Oil Company desires to assign all right , title
and interest of said parcel to Texas American Oil Corporation , and
WHEREAS , pursuant to Weld County ' s Oil and Gas Lease the
Board of County Commissioners must approve such Assignment , and
WHEREAS , after consideration , the Board deems it advisable to
approve said Assignment , with said Assignment to cost a fee of
$ 25 . 00 .
NOW , THEREFORE , BE IT RESOLVED by the Board of County
Commissioners of Weld County , Colorado , that the Assignment of
Lease from The Oil Company to Texas American Oil Corporation for
the hereinabove described parcel be , and hereby is , approved
subject to the submittal of the $ 25 . 00 fee .
BE IT FURTHER RESOLVED by the Board that the Chairman be , and
hereby is , authorized to sign said Assignment .

KNOW ALL MEN BY THESE PRESENTS:
That , in consideration of the sum of Ten Dollars
($10 .00) and other good and valuable consideration , the
receipt and sufficiency of which are hereby acknowledged.
THE OIL COMPANY, at P. O. Box 27943, Denver , Colorado 80227,
hereinafter referred to as "Assignor" , does hereby grant ,
bargain , sell , assign , transfer and convey unto TEXAS
AMERICAN OIL CORPORATION, with an office at 300 West Wall ,
Suite 400 , Midland, Texas 79701 , hereinafter referred to as
"Assignee" , all of Assignor's right , title and interest in
and to the Oil and Gas Lease( s) described in Exhibit "A" ,
attached hereto and made a part hereof , insofar as said
Lease(s) cover(s) lands situated in Weld County, Colorado,
subject to the following terms, covenants and conditions:
1 . This Assignment is made without warranty of
any kind, express or implied.
2. This Assignment is made pursuant and subject
to the terms, covenants and conditions set
o U forth in that certain Agreement , dated
December 6, 1984, by and between Assignor and
O Assignee .

3. This Assignment is made subject to all terms,
o w conditions, covenants and obligations imposed
o on Assignor by the Lease(s) described herein ,
O and with respect to the leasehold interests
assigned hereby, the Assignee agrees to comply
W with , fulfill and satisfy all such terms,
fU conditions, covenants and obligations.

co U 5. Assignor hereby excepts and reserves unto
• z itself its successors and assigns an exclusive
W overriding royalty interest of five percent of
• H eight-eights (5% of 8/8ths) of all oil , gas,
a casinghead gas, condensate , distillate and
N other gaseous and vaporous hydrocarbon
Ch w substances produced, saved and marketed from
vo or attributable to the lands covered by the
• Z Lease(s) described herein . Said overriding
a royalty interest shall be in addition to all
o }, existing and outstanding royalties and shall
w c>~ be free and clear of all costs of exploration ,

ter , and marketing , but shall bear its
r- proportionate share of all production ,

ri severance , windfall profits or similar taxes
ca measured by production .
6. In the event the leasehold estate( s) assigned
hereby coverts) less than the full oil and gas
mineral rights in any portion of the assigned
lands, the overriding royalty interest
reserved herein , shall be reduced in the
proportion which the oil and gas mineral
estate so assigned bears to the full oil and
gas mineral estate .
7. The terms, covenants and conditions hereof
shall be binding upon and shall inure to the
benefit of the Assignor and the Assignee and
their respective successors or assigns; and
such terms, covenants, and conditions shall be
covenants running with the lands herein
described and the Lease(s) herein assigned and
with each transfer or assignment of said land
or Lease(s) .

Dear Ms. Altuna:
Enclosed you will find an assignment of all right title and interest of The
Oil Company, Lessee, under the above captioned lease to Texas American Oil
Corporation, executed by both Texas American Oil Corporation and The Oil Company.
Please submit the assignment of said lease to The Board of Commissioners of
Weld County for approval, and return the approved copy to Texas American Oil
Corporation at the above address for further handling and recording. Upon advise
of your office we have sent this assignment request without the fee referenced
in paragraph 9 of the lease form, with the understanding that your county attorney
or other staff will inform us of the amount of the fee so that we can submit
the proper amount under a separate transmittal. If I may be of any assistance
