RE: APPROVE ASSIGNMENT OF LEASE FROM NESSALK ENERGY, INC. , TO
FINA OIL AND CHEMICAL COMPANY
WHEREAS, the Board of County Commissioners of Weld County,
Colorado, pursuant to Colorado statute and the Weld County Home
Rule Charter, is vested with the authority of administering the
affairs of Weld County, Colorado, and
WHEREAS, Nessalk Energy, Inc. , 1615 California, Suite 702 ,
Denver, Colorado 80202 , has requested permission to assign all
right, title, and interest of an Oil and Gas Lease covering 326 .37
net mineral acres located in the E} of Section 2 , Township 8
North, Range 60 West of the 6th P.M. , Weld County, Colorado, to
Fina Oil and Chemical Company, 1601 NW Expressway, Suite 900 ,
Oklahoma City, Oklahoma 73118 , and
WHEREAS, said Oil and Gas Lease is recorded in Book 1215 ,
Reception #02161746 , in the records of the Weld County Clerk and
Recorder, and
WHEREAS, the required $25 . 00 fee has been submitted, and
WHEREAS , pursuant to Weld County' s Oil and Gas Lease, said
assignment must be approved by the Board of County Commissioners,
and
WHEREAS, after consideration, the Board deems it appropriate
to approve the hereinabove mentioned assignment.
NOW, THEREFORE, BE IT RESOLVED by the Board of County
Commissioners of Weld County, Colorado, that the assignment of
said lease from Nessalk Energy, Inc. , to Fina Oil and Chemical
Company be, and hereby is , approved.

hereinafter called Assignor (whether one or more) , for and in consideration of One
Dollar (S1 .00) the receiptwhereof is hereby acknowledged, does hereby sell, assign,
transfer and set over unto Fina Oil and Chemical Company
1601 NW Expressway, Suite 900, Oklahoma City, Oklahoma 73118
(hereinafter called Assignee) all our right, title and
interest in and to the oil and gas lease dated November 9 , 19 88 , from
WELD COUNTY, COLORADO, a political subdivision of the STATE OF COLORADO, acting by
and through the BOARD OF COUNTY COMMISSIONERS Of THE COUNTY OF WELD , lessor

described land in Weld County, State of Colorado

Pursuant to our phone conversation this afternoon, please allow this letter
to serve as our request of the Board's written approval of assignment of the
above referenced Oil and Gas Lease to FINA OIL AND CHEMICAL COMPANY,
1601 NW EXPRESSWAY, SUITE 900 , OKLAHOMA CITY, OKLAHOMA, 73118 .
As per County requirements, attached is our check in the amount of $25.00
to cover the assignment charge and a copy of our Assignment of Oil and
Gas Lease.
It is our request that this assignment not be recorded at this time.
