Notice is hereby given with respect to the above-
captioned Bonds (the "Bonds") by the undersigned as Trustee
under an Indenture of Trust dated as of December 15, 1984 ,
between United Bank of Denver National Association (the "Trus-
tee" ) and Weld County, Colorado (the "Issuer") of the follow-
ing:
1. An Event of Default, as defined in the Loan
Agreement, dated as of December 15 , 1984, between the Issuer
and August Perez III and Patrick Bajdek (the "Obligors") ,
has occurred and is continuing.
2. As a result of such Event of Default, an Event
of Default has occurred under the Indenture, in accordance
with Section 10-1 of the Indenture.
3. In accordance with Section 10-2 of the Indenture,
the Trustee hereby declares the principal of all Weld County,
Colorado, Industrial Development Revenue Bonds (Greeley, Ltd.
Project) , Series 1984 , to be immediately due and payable.

NOTICE OF ACCELERATION TO OBLIGORS

Notice is hereby given with respect to the above-
captioned Bonds (the "Bonds" ) by the undersigned as Trustee
under an Indenture of Trust dated as of December 15, 1984 ,
between United Bank of Denver National Association (the "Trus-
tee" ) and Weld County, Colorado (the "Issuer") of the follow-
ing:
1. August Perez III and Patrick Bajdek were re-
quired under Section 5. 03 of the Loan Agreement dated Decem-
ber 15, 1985 between August Perez III and Patrick Bajdek and
the Issuer (the "Loan Agreement" ) to deliver a Deed of Trust
on or prior to June 15, 1985, the failure of which resulted
in a breach of the Loan Agreement.
2 . On June 18 , 1985, August Perez III and Patrick
Bajdek, and Greeley, Ltd. , as assignee under the Loan Agree-
ment, waived the requirement for delivery of notice and oppor-
tunity to cure such breach; provided that, the Obligors re-
served the right to cure such breach prior to July 15 , 1985
by delivery of (1) the required Deed of Trust and (2) such
other documents as acceptable to First Interstate Bank of
Denver, N.A. , to appoint it as Remarketing Agent, which Deed
of Trust and such other documents have not, as of July 15,
1985, been delivered.
3. In accordance with Section 7 . 02 of the Loan
Agreement, the Trustee, as assignee of the Issuer, hereby
declares that an Event of Default, as defined in the Loan
Agreement has happened and is subsisting, and the Trustee
hereby further declares the Loan, as defined in the Loan Agree-
ment (being an amount equal to that necessary to pay in full
all outstanding Bonds, assuming acceleration of Bonds under
the Indenture, and to pay all other indebtedness under the
Indenture and the Loan Agreement) to be immediately due and
payable, and the same is immediately due and payable by the
Obligors.
