RE: APPROVE AGREEMENT FOR SALE AND PURCHASE OF REAL ESTATE. WITH
THE CITY OF THORNTON, COLORADO, AND AUTHORIZE CHAIRMAN TO
SIGN
WHEREAS, the Board of County Commissioners of Weld County,
Colorado, pursuant to Colorado statute and the Weld County Home
Rule Charter, is vested with the authority of administering the
affairs of Weld County, Colorado, and
WHEREAS, The City of Thornton, Colorado, has agreed to sell
the County a parcel which is located in the SWO of Section 11 ,
Township 7 North, Range 66 West of the 6th P .M. , Weld County,
Colorado, being more particularly described as follows:
Lot A of Recorded Exemption 0707-11-3-RE1181 ,
as more fully described in Exhibit "A" of the
Agreement attached hereto and incorporated
herein by reference .
WHEREAS , an Agreement for the purchase of the above-described
real estate has been presented to the Board , a copy of which is
attached hereto and incorporated herein by reference, and
WHEREAS , after study and review, the Board deems it advisable
to approve the Agreement for the purchase of said parcel from The
City of Thornton, Colorado, with the terms and conditions being as
stated in said Agreement.
NOW, THEREFORE , BE IT RESOLVED by the Board of County
Commissioners of Weld County, Colorado, that the Agreement For the
Sale and Purchase of Real Estate with The City of Thornton,
Colorado, concerning the hereinabove described parcel be , and
hereby is , approved .
BE IT FURTHER RESOLVED by the Board that the Chairman be, and
hereby is , authorized to sign said Agreement and other necessary
documents .

execute and deliver a good and sufficient special warranty deed
for said Parcel (s) to Purchaser on a date certain set by
Purchaser , conve?ing said property free and clear of all taxes ,
except general taxes for 1989 , payable January 1 , 1990 , and free
and clear of all liens for special improvements installed as of
the date of Purchaser' s signature hereon, whether assessed or not;
free and clear of all liens and encumbrances , and except the
recorded and/or apparent easements; subject to all applicable
building and zoning regulations; but reserving to the Seller all
minerals thereunder.
3 . General taxes for the year 1999 shall be apportioned to
date of delivery of deed based on the most recent levy and the
most recent assessment .

o J 4 . The date of closing shall be the date of delivery of
deed as provided in paragraph 2 . The hour and place of closing
N J shall be designated by Purchaser. Purchaser shall pay the sum of

a the time of the delivery of the warranty deed.

o x 5 . Except as stated in paragraphs 2 and 6 and this
paragraph, if title for said Parcel (s) is not merchantable and
written notice of defect (s) is given by Purchaser or Purchaser ' s

closing, Seller shall use reasonable efforts to correct said
o a defect (s) prior to the date of closing. If Seller is unable to
correct said defect (s) on or before the date of closing, at

x Seller' s option and upon written notice to Purchaser or
Purchaser ' s agent on or before the date of closing, the date of

M 6 . Any encumbrance required to he paid may be paid at the
time of settlement from the proceeds of this transaction or from
any other source; provided, however, at the option of either
W party, if the total indebtedness secured by the liens on the
property exceeds the purchase price, this contract shall be void
and of no effect, and each party hereto shall be released from all
obligations hereunder and all payments and things of value
received hereunder shall be returned to Purchaser.
7 . Time is of the essence hereof. If any note or check
received as earnest money hereunder or any other payment due
hereunder is not paid, honored, or tendered when due, or if any
other obligation hereunder is not performed as herein provided ,
there shall be the following remedies :
(a) IF SELLER IS IN DEFAULT, (1) Purchaser may elect to
treat this contract as terminated, in which case all payments
and things of value received hereunder shall be returned to

Purchaser, or (2) Purchaser may elect to treat this contract
as being in full force and effect and Purchaser shall have

value received hereunder shall be returned to Purchaser.
11 . Purchaser agrees to pay for any necessary survey.
12 . Seller agrees to apply to the Weld County Deaprtment of
Planning Services for a Recorded Exemption for Parcel prior to the
date of closing. Purchaser shall pay for all fees and prepare any
necessary application for said Recorded Exemption.
13 . Purchaser agrees to remunerate the individual who is
farming the property described above for the crop damages in the
year 1989 should Purchaser build upon said property prior to the
harvesting of any such crops . Said crop damages shall , in no
event, be more than $750 . 00 . In order to be remunerated for said

PE: Agreement for the Sale and
Purchase of Real Property
Dear Mr. Josephson:
Enclosed herein please find an altered original of the Agreement
for Sale and Purchase of Real Estate Including Land and Any and
All Improvements between Weld County, Colorado, and the City of
Thornton, Colorado. This Agreement is for the purchase of
property by Weld County for the purpose of constructing a grader
shed.
The alterations in the Agreement are found in paragraph 7 (a) and
7 (b) . Paragraphs 7 (c) and 11 have been deleted , pursuant to the
request by Mark Koleber, Water Resources Engineer. A copy of Mr.
Koleber' s June 13 , 1989 , letter is enclosed herein. The Agreement
has added a new paragraph 13 concerning crop damages . This
paragraph was added at the request of Jay Bailey. I have also
provided a better legal description.
It is my understanding that the City of Thornton has authorized
Margaret Carpenter' s signature on the Agreement. I therefore
respectfully request that you ask her to sign the Agreement
signature and send it to my office . I will then place the matter
on the agenda for the Board of County Commissioners of Weld County
and ask the Chairman to sign the same .

Dear Don:
I am working in cooperation with Jay Bailey on your offer to
purchase two acres of land from the City of Thornton. City of
Thornton staff have reviewed the documents that were sent
regarding this matter and have forwarded comments to me. The
following matters need to be addressed before the City of
Thornton can further address your offer.
1. A complete legal description, suitable for recording in
Thornton and Weld County records needs to be submitted to
the City for review. The legal description previously
submitted was not suitable for review by our survey
staff.
2 . The City of Thornton's City Attorney had the following
comments on the Agreement For Sale and Purchase of Real
Estate.
A. Paragraph 7 . (a) should read:
IF SELLER IS IN DEFAULT, (1) Purchaser may elect to
treat this contract as terminated, in which case all
payments and things of value received hereunder shall
be returned to Purchaser, or (2) Purchaser may elect
to treat this contract as being in full force and
