S cc, �!/ \ i cc cil I / I i )! k . tT .do,s _ . , 1, Q Ir m 1 I CC II a. ! �II C O C RESOLUTION RE: APPROVE AGREEMENT WITH ANDESITE ROCK COMPANY AND AUTHORIZE CHAIRMAN TO SIGN WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Agreement with Andesite Rock Company regarding material haulage from its Carr, Colorado, operation, and WHEREAS, the term of said Agreement is for one year, commencing March 1 , 1989 , and WHEREAS, the further terms and conditions are as stated in said Agreement, a copy being attached hereto and incorporated herein by reference, and WHEREAS, after review, the Board deems it advisable to approve said Agreement. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that said Agreement with Andesite Rock Company be, and hereby is , approved. BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is, authorized to sign said Agreement. Lacy W01316 `., 1 1 < _ 890209 THIS AGREEMENT is entered into by the WELD COUNTY, COLORADO BOARD OF COMMISSIONERS, ( "COUNTY") and ANDESITE ROCK COMPANY, ("ARC") , a Colorado corporation with its principal place of business in Sioux fills , South Dakota. In consideration of the mutual promises and Agreement of the parties end subject to the following terms and conditions, the parties agree s follows: 1. The term of this Agreement is for one (1) year commencing March 1 , 1989. The parties shall , prior to March 1 , 1990, agree to renew this Agreement and subsequently on a yearly basis, subject to both parties agreeing to any material changes that might occur from time to time. 2. ARC will provide for the duration of any material taulage from its Carr, Colorado operation: a. Adequate maintenance on the roadways noted as "west-bound haul route" on drawing #1 attached. b. Adequate dust suppression measures on the entire route. c. Application of an approved calcium-chloride solution 500 feet on either side of the residences noted on drawing #1. d. A one-time intersection improvement of roads #17 and #124 as detailed on drawing #2 attached. e. Stop signs also as noted on drawing #2. #. A "before" and "after" inspection of the roadways for the purpose of establishing actual conditions . 3. The COUNTY will provide: a. Full recommendation of the proposed plan to the Weld County Commissioners as outlined in Permit No. USR-840. b. All permits required for roadwork improvements and stop signs . c. A "before" and "after" inspection of the roadways for the purpose of establishing actual conditions. 4. ARC agrees to hold the COUNTY harmless from any damage which may occur as a result of the operation which is the subject of this Agreement. 5. 3y entering into this AGREEMENT, the parties do not intend, either expressly or implicitly, to create a joint venture or partner- ship. Except as provided herein, neither party shall have the right 89)209 or authority to act for or on behalf of or to enter into any obliga- tions binding on the other -party to this AGREEMENT. 6. NOTICES: All notices to be given under this Agreement shall be in writing and delivered in person or mailed by certified or registered U.S. mail to the _party to receive such notice at the following addresses: Weld County Board of Commissioners ( "COUNTY") P.O. -Box 758 Greeley, CO M631-0758 Andesite Rock T,ompany ( "ARC") 313 S. Phillips P.O. Box 829 Sioux Falls, SD 37117 All notices shall be effective upon receipt. 7. FORCE MAJEURE. The failure of any _party to perform any of its respective obligations hereunder by reason of acts of God, strike, or acts of -any -governmental agency or authority having jurisdiction over matters set forth herein shall excuse timely performance of such obligations but shall not excuse the performance of such obligations as soon as reasonable practicable. The parties may, towever, mutually consent to excuse a party from performing any obligation, in whole or in Tart, upon a showing that performance has teen rendered impractic- able ty reason of force majeure. 8. ASSIGNMENT. This Agreement may not be assigned in whole or in part ty any party hereto with the prior written consent of the other. 9. INVALIDITY. If any clause or provision of this Agreement is illegal , invalid, or unenforceable, then it is the intention of the parties that the remainder of this Agreement shall not to affected. 10. TERMINATION. Should either ARE or COUNTY determine that -the Agreement as set forth herein should be terminated, notice shall to given a minimum of ninety (90) -days before the expiration of the current term to the address listed above. h the event that ARC should sell its operation, cease operating or file tankruptcy, the COUNTY shall have the option of immediately -terminating this Agree- ment.
