Subect. Purchase of Services Agreement with Centennial Developmental
Services, Inc.
Enclosed for Board approval is a Purchase of Services Agreement between
the Weld County Division of Human Resources and Centennial Developmental
Services, Inc.
Centennial Developmental Services Inc. , is desirous of entering into an
agreement to purchase all of their program' s transportation requirements
from Human Resources.
Human Resources and Centennial Developmental Services Inc. , agree to
enter into a short term "transfer of titles" arrangement on three vans
owned/leased by Centennial Developmental Services, Inc. , in order to
temporarily supply Human Resources with the number of buses required
to fulfill the Centennial Developmental Services, Inc. , transportation
request.
Human Resources agrees that mileage reimbursement rates will be determined
from actual per mile costs for administrative overhead, gas and oil , repair
and maintenance, salaries, and vehicle replacement.
Human Resources and Centennial Developmental Services, Inc. , agree to
review quarterly actual transportation costs, reimbursement rates and
total mile of transportation, and make appropriate adjustments.

PURCHASE OF SERVICES AGREEMENT
THIS AGREEMENT, made and entered into this 25th day of August, 1986, by and
between the Weld County Division of Human Resources, Veld County Government,
hereinafter referred to as "HRD" and Centennial Developmental Services, Inc. ,
hereinafter referred to as "CDSI".
WITNESSETH
WHEREAS, HRD administers a door to door transportation system for the low
income, elderly, and handicapped, and
WHEREAS, CDSI is a non-profit community incorporated Board which provides
services for the developmentally disabled, and
WHEREAS, CDSI is desirous of entering into an agreement to purchase all of their
program's transportation requirements from HRD
NOW THEREFORE, it is mutually agreed as follows:
1. HRD agrees to maintain a flexible transportation system with the capacity to
meet the transportation requirements of the CDSI Program.
2. HRD and CDSI agree to enter into a short term "transfer of titles" arrangement on
three vans owned/leased by CDSI in order to temporarily supply HRD with the
number of buses required to fulfill the CDSI transportation request. (See
Attachment 1 )
3. HRD agrees that mileage reimbursement rates will be determined from actual per
mile costs for administrative overhead, gas and oil , repair and maintenance,
salaries, and vehicle replacement. (See Attachment 1)
4. Human Resources and CDSI agree to review quarterly actual transportation costs,
reimbursement rates and total miles of transportation, and make appropriate
adjustments.
5. Human Resources agrees to bill CDSI within 10 days of the closing date for each
quarterly financial period.
6. CDSI agrees to reimburse HRD quarterly and within 30 days of the receipt of each
billing.
7. It is agreed between the parties that either party hereto has the right to
terminate this Agreement within thirty (30) days after service is instituted
upon thirty (30) days written notice given to the other party.
8. This Agreement may be amended with the written consent of both parties.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the
date first written above.

Attachment I
VAN TRANSFERS
Phase I:
A. CDSI agrees to transfer title to HRD the following vans:
1. Blue, 1980, Ford Van, 15 passenger , ID# S21ZHGN6009
2. Yellow I . 1982, Dodge, 19 passenger, ID# 1FDJS34L9CHA25727
3. Yellow II, 1982 Dodge, 19 passenger, ID# 1FDHS34LXCHB352784
B. HRD agrees to assume all responsibility for maintenance and liability insurance
while in possession of the vans and to credit CDSI a five (5) cents per mile
depreciation fee during the time the CDSI vans are in HRD's possession.
C. CDSI agrees to reimburse HRD a seventy-one (71) cents per mile rate, less the
five (5) cents per mile depreciation credit, for all transportation services
requested of HRD.
Phase II:
A. HRD agrees to transfer back to CDSI titles to the three vans at such time that
HRD has acquired new replacement vans through the Weld County Purchasing Process.
B. CDSI agrees that immediately following the transfer of the van titles back to
CDSI that the per mile depreciation credit will cease and that the per mile
reimbursement rate to HRD will increase to ninety (90) cents per mile to cover
administrative overhead, gas and oil , repair and maintenance, salaries and
vehicle replacement costs.
