HomeMy WebLinkAbout890149.tiff RESOLUTION RE: APPROVE AMENDED BYLAWS OF THE AREA AGENCY ON AGING ADVISORY BOARD WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with amended bylaws of the Area Agency on Aging Advisory Board, and WHEREAS, after review, the Board deems it advisable to approve said amended bylaws, with a copy being attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the amended bylaws of the Area Agency on Aging Advisory Board be, and hereby are, approved. Brantner ,_- = 0 George Kenn dy ounty Attorney / Go on .may 890149 BYLAWS Weld County Area Agency on Aging Advisory Board ARTICLE I NAME The name of this Weld County Government Advisory Board shall be the "Weld County Area Agency on Aging Advisory Board." ARTICLE II PURPOSE The Weld County Area Agency on Aging Advisory Board organized pursuant to resolution by the Board of Weld County Commissioners, October 1, 1980, shall assist the Weld County Board of Commissioners in all matters of planning for older persons as provided by these Bylaws and shall carry out the objectives and intent of the Older Americans Act of 1965, as amended. ARTICLE III ADVISORY BOARD MEMBERSHIP Section 1 The Weld County Area Agency on Aging Advisory Board shall have not less than fourteen (14) nor more than eighteen (18) voting members. Section 2 The membership on the Weld County Area Agency on Aging Advisory Board shall be appointed by the Weld County Board of Commissioners, subject to the following requirements: a. Members of the Advisory Board shall be comprised fifty percent (50%) of persons age 60 and older. b. Other members may include but not be limited to representation of colleges and universities, elected or public officials, health care providers, senior centers, County Council on Aging, clergy, local business and service clubs, the media, and Nutrition Advisory Council members. 890149 c. Providers of services, employees, and members of the Boards of Directors receiving Title III funds under the Older Americans Act or planning to receive Title III funds shall not serve as Advisory Board members to the Area Agency. Section 3 Advisory Board members appointed in accordance with Section 2 shall generally be representative in terms of ethnic origin, sex, income level , geographic areas and population centers of Weld County. Section 4 Advisory Board members shall be appointed in January and shall simultaneously serve three (3) year terms with eligibility for reappointment permitted. No person shall serve more than two (2) terms. Section 5 In the event of a vacancy or the failure of a member to attend three (3) consecutive regular meetings of the Advisory Board, the Board of County Commissioners shall reappoint a qualified individual pursuant to the requirements set forth in Article III , Section 2. Section 6 Each member shall be entitled to one (1) vote. ARTICLE IV The Advisory Board Section 1 The Advisory Board shall elect from its members a Chairperson and Vice-Chairperson. The elected officers shall serve one (1) year terms beginning in February. No officer shall serve more than two (2) consecutive terms. Section 2 The time and place of the Advisory Board meetings shall be determined by the Weld County Area Agency on Aging. Section 3 The Advisory Board shall meet monthly unless there is no other business to transact. 890149 Section 4 Except as provided herein, a quorum shall be deemed formed when there are present fifty-one percent (51%) of the then presently constituted voting membership. However, in no case shall less than five (5) voting members present constitute a quorum. Section 5 A majority vote of the members present shall be considered a favorable vote upon all motions or resolutions considered by the Advisory Board. Section 6 The Advisory Board will appoint standing subcommittees to function for the duration of each planning and budgeting year of the Area Agency on Aging. Such subcommittees will be established to provide advice and assistance to the Advisory Board and staff in carrying out the goals and objectives of the planning and budgeting year for which they are established. Each subcommittee shall elect from its members a Chairperson. The Chairperson will also be a member of the Executive Committee and will serve for the duration of the planning and budgeting year. Subcommittees will meet at the discretion of the Board. Section 7 Robert's Rules of Order as revised, shall govern the conduct of the Advisory Board meetings, unless otherwise specified by the Bylaws. ARTICLE V DUTIES OF THE OFFICERS Section 1 The Chairperson shall preside at all meetings of the Area Agency Advisory Board and may call special meetings when needed. Notice to the members of special meetings shall be no sooner than 48 hours. Section 2 The Vice-Chairperson shall preside and perform the duties of the Chairperson in the Chairperson's absence and shall perform all other duties that may be assigned by the Chairperson. Section 3 An Executive Committee shall be comprised of the Chairperson, Vice Chairperson, and subcommittee chairpersons. The Chairperson shall 890149 appoint any other member(s) from the general membership to serve on the Executive Committee. This Committee shall have the authority to act on those matters requiring immediate decision and action prior to regular Area Agency on Aging Advisory Board meetings. However, the continuing effect of such interim action requires ratification by the Area Agency Advisory Board at the next regular Board meeting. ARTICLE VI ADVISORY BOARD FUNCTIONS Section 1 The Area Agency Advisory Board shall perform the following functions in an advisory capacity to the Weld County Commissioners: a. Develop and submit annually, to the state agency responsible for approval , an Area Plan on Aging which conforms to federal requirements. b. In addition to the development and administration of an Area Plan, the Advisory Board shall carry out directly, to the maximum extent feasible, the following functions: (1) Provide leadership and advocacy on behalf of all older persons within the county. (2) Determine the need for social services in the region, with special attention being given to the needs of low-income and minority elderly. (3) Inventory the resources available within the region to meet the needs of the elderly and perform an evaluation of the effectiveness of the services provided by the public and private agencies within the county in meeting such needs. (4) Establish measurable program objectives and priorities for implementation of the Area Plan in keeping with the objectives established by the State Division of Services for the Aging. (5) Plan with existing agencies and providers of services in the county who are concerned with the needs of the elderly. (6) Either directly or through contract or grant, provide for an action program designed to: . Coordinate the delivery of existing services for the elderly. 10149 . Pool untapped resources of public and private agencies in order to strengthen or initiate new services for older persons. (7) Make periodic evaluation of activities carried out pursuant to the Area Plan, including the views of older persons participating in such activities. (8) Conduct periodic public hearings concerning the needs of the elderly. (9) Collect and disseminate information concerning the needs of the elderly. (10) Make provision for technical assistance to providers of social services in the county. (11) Where necessary and feasible, enter into arrangements consistent with the provisions of the Area Plan under which funds of Title III of the Older Americans Act, as amended, may be used to provide legal services to older persons in the region, carried out through federally-assisted programs or other public or non-profit agencies. (12) Where possible, enter into arrangements with organizations providing day care services for children so as to provide opportunities for older persons to aid or assist on a voluntary or paid basis in the delivery of such services to children. (13) Take into account, matters of general policy arising in the development and administration of the Area Plan, and the views of recipients of services under the Area Plan. c. Develop a comprehensive and coordinated system for the delivery of social services to the elderly in the county. d. Review and comment on all A-95 type applications forwarded to the Advisory Board by the Regional Clearinghouse, which pertain to programs and planning for the elderly. ARTICLE VII AMENDMENT OF BYLAWS Section 1 These Bylaws may be amended at any regular meeting of the Weld County Area Agency Advisory Board with subsequent approval of the Weld County Board of Commissioners. 890149 Section 2 At least twenty-five (25) days notice in writing shall be given of any proposed amendments of these Bylaws.
