RE: AUTHORIZATION FOR THE CHAIRMAN TO SIGN OIL AND GAS
DIVISION ORDER REGARDING MGF OIL CORPORATION, 475
SEVENTEENTH STREET, SUITE 900, DENVER, COLORADO 80202
WHEREAS, the Board of County Commissioners of Weld County,
Colorado, pursuant to Colorado statute and the Weld County Home
Rule Charter, is vested with the authority of administering the
affairs of Weld County, Colorado, and
WHEREAS, Weld County, Colorado is the holder of a certain
lease with MGF Oil Corporation. Said lease covers land more
particularly described as follows, to-wit:
Township 5 North, Range 61 West of the 6th P.M.
Section 22 : E'SE a
WHEREAS, MGF Oil Corporation has submitted and Oil and
Gas Division order on the subject property.
NOW, THEREFORE, BE IT RESOLVED by the Board of County
Commissioners of Weld County, Colorado, that the Oil and Gas
Division Order as submitted by MGV Oil Corporation, be and
hereby is, approved.
BE IT FURTHER RESOLVED by the Board of County Commissioners
of Weld County, Colorado that the Chairman of the Board be, and
hereby is, authorized to sign said agreement.
The above and foregoing Resolution was, on motion duly
made and seconded, adopted by the following vote on the 17th
day of June, A.D. , 1981.

THE UNDERSIGNED, and each of us, certify and guarantee that we are the legal
owners of and hereby warrant. the title to our respective interests as set out
below of all oil, gas, casinghead gas, and any and all liquid hydrocarbons
produced from farm or lease in Weld County, Colorado
described as follows BUT INSOFAR AND ONLY INSOFAR AS THE PRODUCING HORIZON
COMMONLY REFERRED TO AS THE "D" Sand FORMATION IS CONCERNED:
TOWNSHIP 5 NORTH, RANGE 61 WEST, 6th P.M.

and commencing at 7:00 a.m. the first day of first runs , and until
futher written notice either from you or us, you are authorized to receive oil,
gas, casinghead gas, and any and all liquid hydrocarbons therefrom, purchase it,
and pay for it as follows:

The following covenants are part of this Division Order and shall be binding
on the undersigned, their successors, legal representatives and assigns.
FIRST: The oil, gas, condensate and/or other hydrocarbons received
hereunder shall be delivered F.O.B. to any pipeline or carrier
designated by MGF OIL CORPORATION which gathers and receives said
oil, gas, condensate or other hydrocarbons, and-the said MGF OIL CORP-
ORATION shall pay for such oil, gas, condensate and/or other hydro- --
carbons to the respective owners according to the division of interest
above set forth at the price received.
SECOND: Quality and quantity shall be determined in accordance with
the conditions specified in the purchase agreement with purchaser
designated by MGF OIL CORPORATION.
THIRD: Payments may be made monthly by your checks delivered or
mailed to the parties thereto entitled at the address given; however,
if the average payment to any party hereunder shall be less than Five
Dollars, you may defer payment, without interest, and make payments at
semi-annual intervals to such party.
FOURTH: The undersigned and each of us, in consideration of payments
by MGF OIL CORPORATION to them as above provided agree to hold MGF OIL
CORPORATION harmless from all loss, cost, expense or damage MGF OIL
CORPORATION may incur by reason of MGF OIL CORPORATION making payment
as herein provided against any parties asserting any interest or claim
thereto.
FIFTH: In the event of any dispute or question at any time concerning
title to the above lands, or the oil, gas, casinghead gas and any and
- all liquid hydrocarbons produced therefrom, you may hold the proceeds
-
without interest until such dispute or question of title is corrected '
or removed to your satisfaction. .
IN ACCORDANCE WITH FEDERAL LAW, PLEASE INDICATE YOUR SOCIAL SECURITY
OR TAX IDENTIFICATION NUMBER BELOW AND BE SURE YOUR SIGNATURE IS
WITNESSED AND YOUR CORRECT ADDRESS IS SHOWN TO PREVENT DELAY IN RECEIVING
CHECKS.

extra copy for your personal files. Upon receipt of the executed Division
