WHEREAS, Weld County, Colorado (the "Issuer") , a body
politic and corporate and a political subdivision of the State
of Colorado, is authorized and empowered by the provisions of
the County and Municipality Development Revenue Bond Act,
article 3 , title 29 , C .R.S . 1973 , as amended (the "Act" ) , to
finance a project, as that term is defined in the Act, and to
issue its industrial development revenue bonds for the purpose
of paying the cost of financing a project; and
WHEREAS , Platte River Steel Co. , Inc. , a Colorado corpora-
tion (the "Corporation" ) , which Corporation is the wholly-owned
subsidiary of Arkansas Foundry Company, an Arkansas corporation
( "Arkansas Foundry" ) , has requested the Issuer to issue, subject
to the unqualified approving opinion of Kutak Rock & Huie ( "Bond
Counsel" ) , its industrial development revenue bonds pursuant to
provisions of the Act for the purpose of financing the acquisi-
tion of land and the construction of a steel fabricating facility
(and the purchase of related equipment) constituting a project,
as that term is defined in the Act (the "Project" ) , for the
Corporation to be located within the boundaries of Weld County;
and
WHEREAS, the Issuer wishes to declare its intention to
authorize an issue of its industrial development revenue bonds
for the purpose of paying the cost of financing the Project,
when so requested by the Corporation, upon such terms and condi-
tions as may then be agreed upon by the Issuer, the Corporation
and the Purchaser.
NOW, THEREFORE, be it resolved by the Board of County
Commissioners of the Issuer that it does hereby declare its
intention to authorize the issuance and sale of industrial
development revenue bonds of the Issuer, subject to the un-
qualified approving opinion of Bond Counsel , under and in
accordance with the Act, in an amount necessary to pay the cost
of the Project, presently estimated to be not greater than
$2 , 500 , 000 , and upon such terms and conditions as may be
mutually agreed upon by the Issuer and the Corporation, the
issuance and sale of such bonds to be authorized by the govern-
ing body of the Issuer at a meeting to be held for such purpose.

Such bonds will be guaranteed as to payment of principal and
interest by Arkansas Foundry. Such bonds and the interest
coupons , if any, appurtenant thereto shall never constitute
the debt or indebtedness of the Issuer within the meaning of
any provision or limitation of the Colorado constitution or
statutes, and shall not constitute nor give rise to a pecuniary
liability of the Issuer or a charge against its general credit
or taxing power.

The following business was transacted:
I hereby certify that pursuant to a notice dated December 11 , 1981
and duly published December 17 , 1981 in the Johnstown Breeze a public
hearing was held on the request of PLATTE RIVER STEEL COMPANY, INC.
FOR INDUSTRIAL DEVELOPMENT REVENUE BONDS.
The Assistant County Attorney reviewed the notice.
Mr. Warden stated that the application has been reviewed and found to
be in order.
Mr. Bernard Houtchens was present on behalf of his son, John Houtchens.
Mr. Houtchens is the attorney for the applicant. Mr. Houtchens urged
the Board to consider this issue favorable.
A representative of the Chamber of Commerce EDAB committee was present
and stated that the committee had tried hard to attract this company
to the Greeley area and urged the Board to approve the Bonds .
Others present commented in favor of the application.
Mr. Warden stated that the applicant has requested a waiver of the
requirement for prior financial information. This is a new
company and no such information exists.
Commissioner Carlson made a motion to waive the requirement for
prior financial information. Commissioner Kirby seconded the motion
and it carried unanimously.
Commissioner Steinmark made a motion to approve the resolution stating the
Commissioner' s intent to issue IRB' s for Platte River Steel Co. , Inc.
Commissioner Carlson seconded the motion and it carried unanimously.

NOTICE IS HEREBY GIVEN of a hearing before the Board of County Commissioners
of Weld County, Colorado, on the 28th day of December, 1981, at the hour of
10:00 a.m. in the Weld County Commissioners hearing room, first floor, Weld
County Centennial Center, 915 10th Street, Greeley, Colorado for the purpose
of considering the application from Platte River Steel Co. , Inc. for Weld
County to issue $2,500,000 in Industrial Development Revenue Bonds. The
proposed bond issue is for the acquisition of land and the construction of
a steel fabricating facility. This procedure is in accordance with the 1967
County and Municipality Development Revenue Bond Act, Section 29-3-101, et.
seq. , C.R.S. 1973, as amended.
Copies of the application for Industrial Development Revenue Bonds are on
file in the Office of the Clerk to the Board of County Commissioners located
on the 3rd floor, Weld County Centennial Center, 915 10th Street, Greeley,
Colorado and may be inspected during regular business hours.
Following the close of the public hearing, the Board of County Commissioners
will consider whether or not to proceed with the issuance of Industrial
Development Revenue Bonds.
All interested parties under the law will be afforded an opportunity to be
heard at said hearing.
