Approve Intergovernmental Agreement for Generation Wild Greeley Coalition and
Authorize Chair to Sign — City of Greeley
Whereas, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
Whereas, the Board has been presented with an Intergovernmental Agreement for
Generation Wild Greeley Coalition between the County of Weld, State of Colorado, by
and through the Board of County Commissioners of Weld County, on behalf of the
Department of Public Health and Environment, and the City of Greeley, commencing
upon full execution of signatures, and ending March 30, 2031, with further terms and
conditions being as stated in said agreement, and
Whereas, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
Now, therefore, be it resolved by the Board of County Commissioners of Weld County,
Colorado, that the Intergovernmental Agreement for Generation Wild Greeley Coalition
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Public Health and
Environment, and the City of Greeley, be, and hereby is, approved.
Be it further resolved by the Board that the Chair be, and hereby is, authorized to sign
said agreement.
The Board of County Commissioners of Weld County, Colorado, approved the above
and foregoing Resolution, on motion duly made and seconded, by the following vote on

Brief description of the problem/issue:
WCDPHE supported the City of Greeley's Generation Wild grant application which was funded. The aim of the
Generation Wild Coalition is to connect youth in East Greeley to nature through free/low-cost outdoor
programming. WCDPHE promotes spending time in nature and increasing physical activity to promote physical
and mental health. As such WCDPHE would like to participate as a Coalition Program Provider to receive
funding from City of Greeley to implement activities outlined in the Intergovernmental Agreement for
Generation Wild Greeley Coalition. Funding from City of Greeley will allow WCDPHE to expand programming
into the East Greeley area where Generation Wild activities are to occur. City of Greeley will provide WCDPHE
with $13,740 over 5 years to implement activities. Although programming may target Greeley residents
through Generation Wild, activities are open to all Weld County residents.
What options exist for the Board?
The Board can choose to approve or not approve the request.
Consequences: Approval of this request will permit WCDPHE to participate in the implementation of
Generation Wild programming and receive funding from City of Greeley. Without funding, WCDPHE will
not be able participate in the Coalition as a program provider.
Impacts: Without funding, WCDPHE will not be able to provide programming in East Greeley, an area
that lacks outdoor opportunities.
Costs (Current Fiscal Year / Ongoing or Subsequent Fiscal Years): All activities will be
implemented by current WCDPHE staff. No county funding or additional FTEs are requested.
Recommendation: I recommend approval to place this item on a future BOCC agenda for formal
consideration.

INTERGOVERNMENTAL AGREEMENT
FOR GENERATION WILD GREELEY COALITION
This Agreement is made this day of ,2026,between the City of Greeley,
Colorado,a Colorado home rule municipality, ("Greeley"),and Weld County,a political
subdivision of the State of Colorado,("County"). The parties identified above may be collectively
referred to as("Parties").
RECITALS
WHEREAS,pursuant to Colorado Revised Statute §29-1-203, governments may cooperate or
contract with one another to provide function,service or facility lawfully authorized to each of the
cooperating or contracting units of government; and
WHEREAS,the vision of Generation Wild Greeley is that"All people in Greeley benefit from
connection to nature,their neighborhood, and each other"; and
WHEREAS,the parties hereby create Generation Wild Greeley Coalition(hereafter referred to
as"Coalition"); and
NOW,THEREFORE, in consideration and mutual cooperation and good faith, Greeley,
County, agree as follows:
1. Roles and Responsibilities
The City of Greeley shall act as the fiscal agent and is committed to and agrees to:
A. Assume financial tracking responsibilities for Coalition funds distributed to Coalition
Program Providers.
B. Submit Coalition-related fmancial records and reports to GOCO and other fenders as
required.
C. Distribute Coalition-related funds from fenders(GOCO and others)to Coalition Program
Providers in a timely manner.
Coalition Program Providers:
A. Entities signing the MOU agree to become part of Generation Wild Greeley Coalition
and work to fulfill the vision of the Coalition. Participation in the Coalition does not
require representation at the Core Team level,but does ask Providers to commit to the
following Program Provider Responsibilities.
a. Program Providers and their Principal Contacts, are committed and agree to:
b. Support the Generation Wild Greeley shared vision.
c. Contribute time,resources, and/or funding in support of the Generation Wild
Greeley shared vision.

d. Fully and honestly engage in the collaborative process.
e. Participate in monthly Coalition meetings.
f. Provide photos,writings, and other updates of programs to the Generation Wild
Greeley Coordinator and fellow Coalition-members for promotion and cross-
promotion of Generation Wild Greeley through communications outlets.
g. Serve as an effective ambassador of Generation Wild Greeley in the community.
h. Contribute to external outreach and communications(i.e., community events,
board presentations, state conferences, etc. at the request of the Generation Wild
Greeley Coordinator).
i. Help obtain financial support for match as necessary for Coalition funding.
j. Provide the City of Greeley(aka"backbone organization")with information as
needed for grant reporting.
k. Meet established deadlines and comply with reporting requirements.
1. Participate in data collection and evaluation efforts.
m. Work in collaboration with Generation Wild Greeley Coordinator including
informing Coordinator of Coalition-related staffing changes and capacity shifts
impacting program provision.
n. Complete a cultural competency training led by Lutheran Family Services Rocky
Mountains.
o. Participate in annual workplan drafting between October and December annually.
p. Provide services in alignment with Coalition values, strategies, and tactics.
Specific services for this Agreement include:

Year 1
- Host monthly community walks with WCDPHE's community health
workers.Purchase incentives such as water bottles and pedometers.
- Utilize WCDHPE's Community Advisory Committee(CAC)as needed

- Continue utilizing the CAC as needed.
- Conduct at least one walk or park audit to assess barriers to outdoor
activities in East Greeley.
Year 3
- Continue monthly community walks.Add additional walks as needed.
- Continue utilizing the CAC as needed.
- Purchase resources to address barriers to outdoor recreation(sunscreen
water bottles,activity guides,etc.).
Years 4&5
- Continue monthly community walks.Add additional walks as needed.
- Continue utilizing the CAC as needed.
- Purchase resources to address barriers to outdoor recreation(sunscreen
water bottles, activity guides, etc.).
Core Team Members:
A. The purpose of the Core Team is to act as the overarching governance structure and
decision-making body of the Coalition. Organizations signing the Agreement may
designate representatives from their organization who can fulfill the obligations outlined
below. This person(s)may be the same or different than the Principal Contact and must
have decision-making authority for the organization they represent.
B. In addition to the requirements set forth above,by serving on the Core Team
representatives are committed and agree to the following responsibilities:
a. Participate in the governance structure of Generation Wild Greeley Coalition,
including decision making and fundraising for coalition programs.
b. Problem solve and make decisions in adherence with the Operations Plan.
c. Participate in Core Team meetings and, if unavailable, inform the Generation
Wild Greeley Coordinator in advance of intended absence.
d. Provide input for planning and design of monthly Coalition meetings.
2. Term of Agreement.
This MOU shall take effect on the date of the final signature and shall be in full force and effect,
until terminated by that party or the Core Team, for five years.
3. Renewal.
This Agreement shall be renewed annually for up to five years,with any modifications being
mutually agreed upon and supported by the parties.
4.Representatives.
Each party shall designate the following representatives,who shall be responsible for managing the
performance of this Agreement. A list of Principal Contacts representing each Program Provider is
to be maintained by the Coalition Coordinator and the Core Team. This list will be annually updated
and/or revised as necessary to keep the contact list current. Principal Contacts will be the primary
representatives and point of contact of involved providers for implementation of this Agreement.

A. Each party to this Agreement agrees to maintain insurance or self-insurance throughout
the term of this Agreement and to assume the risk of involvement with the Coalition for
their services and the employees under their supervision.
5.Liability.
Liability of the Parties shall be apportioned as follows:
A. Greeley shall be responsible for all claims,damages,liability and court awards,including
costs,expenses,and attorney fees incurred,as a result of any action or omission of Greeley
or its officers,employees,and agents,in connection with the performance of this
Agreement. Greeley shall give County immediate notice of any suit or action filed or prompt
notice of any claim made against Greeley arising out of the performance of this Agreement.
Greeley shall furnish immediately to County copies of all pertinent papers received by
Greeley.
B. County shall be responsible for all claims,damages, liability and court awards, including
costs,expenses,and attorney fees incurred,as a result of any action or omission of County
or its officers,employees,and agents, in connection with the performance of this
Agreement.
C. Nothing in this Paragraph or any other provision of this Agreement shall be construed as a
waiver of the notice requirements, defenses, immunities, and limitations the Parties may
have under the Colorado Governmental Immunity Act(C.R.S. § 24-10-101, et seq.)or any
other defenses, immunities, or limitations of liability available to any Party by law.
6. Law.
This Agreement is subject to and shall be interpreted under the law of the State of Colorado Court
jurisdiction and venue shall exclusively be in the Colorado District Court for Weld County,
Colorado.
A. If any provision is rendered invalid by law, the remainder of the agreement shall remain
in effect.
7.Additional Terms
A. This Agreement embodies the entire agreement of the Parties. The Parties shall not be bound
by or be liable for any statement, representation,promise, inducement or understanding of
any kind or nature not set forth herein.
B. Each party will utilize their own resources, which may include expenditures of their own
funds, in pursuing activities in support of the Generation Wild Greeley's shared vision.
C. This agreement is subject to adequate appropriation by the parties to participate in the
agreement. If adequate funds are not appropriated, the agreement shall terminate
immediately.
D. Any Program Provider, in writing with 30 days notice, may terminate participation in this
Coalition with or without cause. Termination of a Program Provider can be recommended
by any Core Team member or the Generation Wild Greeley Coordinator and shall be
voted on by the Core Team. Core Team will be kept informed of Program Provider
departures.
B. No term or condition of this Agreement shall be construed or interpreted as a waiver,
either express or implied, of any of the immunities, rights, benefits, or protections
available to the Parties under the Colorado Governmental Immunity Act as now in effect
or hereafter amended.
E. Either Party's failure to enforce any provision of this Agreement shall not in any way be
construed as a waiver of any such provision or prevent that Party thereafter from enforcing
each and every other provision of this Agreement.
F. This Agreement does not and is not intended to confer any rights or remedies upon any
person other than the Parties.
G. This agreement represents the entire understanding between the parties and supersedes
prior discussions.
H. This Agreement may be amended provided such amendment is in writing and signed by
each Party.
I. Each party to this Agreement agrees to maintain insurance or self-insurance throughout
the term of this Agreement and to assume the risk of involvement with the Coalition for
their services and the employees under their supervision.
J. The Parties acknowledge and agree that this is a negotiated Agreement,and that as such no
term shall be construed against any Party as the author thereof.This Agreement embodies
the entire agreement of the Parties.
K. The Parties shall not be bound by or be liable for any statement,representation,promise,
inducement or understanding of any kind or nature not set forth herein.
L. This Agreement may be executed by electronic signature in accordance with C.R.S.24-
71.3-101 et seq. and all Parties consent to the use of electronic signatures.
M. This Agreement may be executed in two or more counterparts,each of which shall be
deemed an original but all of which together shall constitute one and the same document.
N. The parties hereto recognize that there are legal constraints imposed upon them by the
constitution,statutes,and rules and regulations of the State of Colorado and of the United
States,and their respective governing statutes,charters,ordinances,rules and regulations,
and that, subject to such constraints,the parties intend to carry out the terms and conditions
of this Agreement.Notwithstanding any other provision of this Agreement to the contrary,
in no event shall either of the parties be obligated hereunder to exercise any power or take
any action that is be prohibited by the above applicable law.Whenever possible, each
provision of this Agreement shall be interpreted in such a manner so as to be effective and
valid under applicable law.
