Dear Don: As you know, John Houtchens of Houtchens, Houtchens and Daniel in Greeley, Colorado has been retained to act as local counsel, and Kutak Rock & Huie has been requested to serve as Bond Counsel, in connection with a proposed issuance of indus- trial development revenue bonds by Weld County. If approved by the County, proceeds of the bonds will be applied to the acquisition of approximately 20 acres of real estate located within the County and the construction thereon of a steel fab- ricating facility to be owned and operated by Platte River Steel Co. , Inc. Platte River Steel Co. , Inc. is a newly-formed Colorado corporation and is the wholly-owned subsidiary of Arkansas Foundry Company, an Arkansas corporation. Arkansas Foundry Company, of course, would guaranty full payment of principal of and interest on the bonds. 810391 KUTAK ROCK L HUIE Donald Warden December 9, 1981 Page Two On behalf of the above-named corporations, we have been asked to submit a formal Application to the County to consider the issuance of industrial development revenue bonds for the purpose referred to above. We would request the County to con- sider the issuance of bonds in a principal amount not to exceed $2 , 500 , 000. In support of such application, the following documents are hereby enclosed: 1. A "Response to Guidelines" setting forth certain information regarding the application which is responsive to the Resolution heretofore adopted by the governing body of Weld County relating to the issuance by the County of industrial development revenue bonds. 2. Attached to the document referred to in 1 above are (a) Exhibit 1 consisting of a letter from Commercial National Bank, Little Rock, Arkansas, containing certain information regarding the Company' s financial position, (b) Exhibit 2 con- sisting of a summary of the history and operations of Arkansas Foundry Company, (c) Exhibit 3 consisting of a Dunn & Bradstreet report on Arkansas Foundry, (d) Exhibit 4 consisting of a resume of the principals and key employees of both corporations, (e) Exhibit 5 consisting of a schedule showing the anticipated use of bond proceeds, and (f) Exhibit 6 consisting of an anticipated debt service schedule. 3. A check in the amount of $500 . 00 to defray the costs of analysis by the County of this Application. It is anticipated that the bonds will not be underwritten or publicly sold but will, instead, be purchased by Commercial National Bank on a private placement basis upon completion of required legal procedures. Commercial National Bank has agreed on a preliminary basis to execute an appropriate investment letter indicating its accessibility to financial information regarding the respective corporations and further indicating its intent to purchase such bonds for its own portfolio and not with any view of a secondary market resale of the bonds. KUTAK ROCK S HUIE Donald Warden December 9 , 1981 Page Three As indicated in the Response to Guidelines, certain informa- tion regarding the business and operations and certain financial information relating to Arkansas Foundry Company has been made available for inspection by appropriate representatives of Weld County at the law offices of Houtchens , Houtchens and Daniel in Greeley, Colorado. The financial information consists of audited financial statements for the five-year period ended October 31, 1980 and interim unaudited financial statements for the twelve- month period ended October 31, 1981. Audited financial statements for the year ended October 31, 1981 will be similarly available for inspection. As further indicated in the Response to Guidelines , our firm is of the opinion that the proposed project falls within the intent and meaning of the County and Municipality Development Revenue Bond Act, Article 3 , Title 29 , C.R.S . 1973 , as amended. In the event the County determines to proceed toward the issuance of the bonds, a formal bond opinion from this firm in customary form will be provided to all parties at the closing of the trans- action. The parties to the transaction are hopeful that the County would be able to analyze the accompanying Application prior to the meeting of the County ' s governing body on December 28 , 1981. If possible, the Company would also request the County to consider adoption of an applicable intent resolution at such meeting. I am enclosing herewith a form of intent resolution which the governing body of the County could consider, either at such meeting or at any subsequent meeting as may be deemed appropriate by the County. Both John Houtchens and the undersigned are prepared to assist representatives of the County in any way in connection with this Application. No direct response is required by Section 1 of the guidelines , since the guidelines provide that only the County Commissioners can make the necessary determinations of the desirability of projects . As background , however , the project to be financed (the "Project") will be for the benefit of Platte River Steel Co. , Inc . , a corporation organized under the laws of the State of Colorado (the "Company") and a wholly- owned subsidiary corporation of Arkansas Foundry Corporation , a corporation organized under the laws of the State of Arkansas ("Arkansas Foundry" ) . The Project will have the effect of creating sixty new jobs . In addition , it will have the effect of inducing the Company to begin its operations in Weld County . Neither the Company nor Arkansas Foundry have existing operations in the State of Colorado . 1 . 2 . Financing of the Project , while inducing the Company to begin its operations in Weld County , will not have the effect of inducing the Company not to leave operations in any other parts of the State of Colorado , since the Company (in- cluding its parent corporation) has no other operations in the State of Colorado . 2 1 . 3 . The Project will be owned by the Company and the Company will pay all real estate taxes on the Project . 1 .4 . The Company will be happy to provide any and all information desired by the County Commissioners or their staff ; however , certain financial information will be filed at the offices of Houtchens , Houtchens and Daniel as hereinafter pro- vided . 1 . 5 . The financial condition of the Company is addressed in other portions of this application . 1 .6 . See 1. 4 . above . Section 2 . County Planning Criteria 2.1 . The Project will be located in Weld County and will be located between the Cities of Greeley and Eaton . We believe that the Project, at its anticipated location, will meet the goals , concepts and objectives for development as set forth in any Comprehensive Master Plan of Weld County . 2 . 2 . The Project facility consists of a building and related equipment purchases located on 20 acres of real estate . The land will have a zoning district classification which permits the Project ' s operations . 2. 3 . The Project will be in full compliance with appro- priate zoning and subdivision regulations of Weld County . The property is in the process of being rezoned , which rezoning is anticipated to be acted upon by the governing body of Weld County on December 16 , 1981 . 3 2 . 4 . All water and sewer improvements are to be installed by the Company and all necessary permits therefor have been or will be obtained prior to purchase of the site , which is now under option . 2 . 5 . The Company believes that it has or will obtain all necessary permits for off-site improvements . Section 3 . Application Requirements 3.1 . In the opinion of Kutak Rock & Huie , qualified municipal bond counsel , Denver , Colorado , the Company' s propo- sal falls within the intent and meaning of the County and Municipality Development Revenue Bond Act, article 3 , title 29 , C .R.S . 1973 , as amended . A formal bond opinion will be pro- vided to all parties upon the closing of the transaction. 3 . 2 . Attached as Exhibit 1 is a copy of the letter of Commercial National Bank , Little Rock , Arkansas . Commercial National Bank is Arkansas Foundry' s primary commercial bank and , in such capacity , is familiar with the operations and financial position of Arkansas Foundry and the Company . The letter contains certain comments regarding the integrity of the financial position of Arkansas Foundry . Commercial National Bank has represented that it will purchase the Bonds upon completion of required action and delivery of the aforementioned bond opinion of Kutak Rock & Huie . 4 3 . 3 . The Company was recently incorporated and has no previous operating history. (a) A history of Arkansas Foundry, including a descrip- tion of its operations , is included as Exhibit 2 to this Appli- cation . (b) The Company will operate on a fiscal year ending October 31 . Arkansas Foundry operates on a fiscal _year ending October 31 . The Bonds will be guaranteed by Arkansas Foundry, the Company' s parent corporation . Financial statements for Arkansas Foundry for the past five years are available for inspection by officials of Weld County at the law offices of Houtchens , Houtchens and Daniel , 1007 Ninth Avenue , Greeley , Colorado 80631 (303-353-9195) . (c) As noted in 3 . 3 (b) above , Exhibit 1 contains a letter from Commercial National Bank with respect to the financial position of Arkansas Foundry . Attached as Exhibit 3 is a Dunn & Bradstreet report on Arkansas Foundry . (d) Arkansas Foundry has over 200 accounts , and is not dependent on any one large customer for a significant percent- age of its sales . Certain sales information for 1979 and 1980 with respect to Arkansas Foundry, and certain other condensed data regarding Arkansas Foundry' s operations , is available for 5 inspection by officials of Weld County at the law offices referred to in 3 . 3 (b) above . (e) A resume of the principals and key employees of the Company and Arkansas Foundry is included as Exhibit 4 to this Application . (f) Since a commitment for the purchase of the bonds has been made by Commercial National Bank as indicated above , the Company requests that Weld County waive inclusion of pro forma financial information for the next five years reflecting the proposed bond issue . (g) As noted in 3 . 3 (b) above , historical financial state- ments for the previous five years with respect to Arkansas Foundry are available for inspection by officials of Weld County . Audited financial statements for the year ended October 31 , 1981 , when completed , will be similarly available . Interim unaudited financial statements as of October 31 , 1981 are available for inspection by officials of Weld County at the law offices referred to in 3 . 3 (b) above . (h) See 3 . 3 (c) above . (i) The Project will consist of a plant for the fabrica- tion of structural steel . It is anticipated that proceeds of the Bonds would be used to purchase 20 acres of land , to pay for construction of the facility , to purchase related equipment and to pay costs of issuance . Prior to closing of the bond 6 issue , it is anticipated that a construction contract will be signed . See Exhibit 5 for a schedule showing anticipated use of bond proceeds . (j ) An anticipated debt service schedule is included as Exhibit 6 hereto. Such debt service schedule reflects what Commercial National Bank and Arkansas Foundry believe the market to be today , and may change over the course of the next several months . The Company will agree in the bond documents to pay all taxes with respect to the Project, and the entire cost of maintaining the Project in good repair , and all applicable insurance premiums . 3 . 4 . An application fee of $500 to defray the costs of analysis by Weld County of this Application has been included herewith . The Company will pay such additional fees as may be required by Weld County subsequent to adoption of its resolu- tion of intent to issue the bonds as set forth in Section 5 of Ordinance No. 69 of the Board of County Commissioners of Weld County . 3 . 5 . Sincerely yours , Wallace B. unningham xecutive- Committee { WBC:mh EXHIBIT 2 HISTORY OF ARKANSAS FOUNDRY CORPORATION In June of 1909, Mr. Fred Brown and four partners incorporated the Arkansas Foundry Company as a grey iron foundry. In 1912, the Thomas Fordyce Machinery Co. was leased. Industrial customers during this period were saw mills, oil companies, and agricultural compresses. The Fordyce plant was purchased in 1918 and structural and reinforcing steel were added to the product mix. In 1920, AFCO became the first Arkansas company to warehouse a wide variety of metals. This portion of the business is now operated as AFCO Metals, Inc. with plant locations in Little Rock, West Memphis, Fort Smith, Shreveport, and Oklahoma City. By 1940, Mr. Brown had bought out all other interests and retired all long-term indebtedness. The building materials division was added; pressure vessels were put on a production line basis; and structural fabrication capabil- ities were expanded to service the aluminum, petroleum, and power industries. In the 1950' s, highway bridge fabrication was begun on a continuous basis, and in the 1960' s was moved to a separate shop. The South Shop is today the major structural fabrication plant for the company. The principle products of AFCO Steel as it exists today are fabricated structural steel, pressure vessels and tanks, weldments, liner plates, bridge beams, and girders. The engineering department employs over 40 people, and the shop personnel employs in excess of 350. The production facilities have a capacity for fabricated sturctural steel of 2500 tons per month with tank and plate work at a capacity of 400 per month. The AFCO Steel plants have approximately 900,000 square feet under crane. The company has remained a family-owned and managed business; the third generation of the Brown family is now active in the business. 2 The Platte River Steel Co. , Inc. is a recently organized corporation, incorporated under the Colorado Corporation Code with no previous operating history. Platte River Steel is a wholly-owned subsidiary of AFCO Steel, Inc. The intended future operation of Platte River Steel is to engage in the business of buying, selling, leasing, fabricating, and erecting steel and other metal products. Construction of the facility in Greeley, Colorado is to begin in April, 1982, with initial plant size of approximately 90, 000 square feet.
