ARTICLE VII TAX MATTERS 7.1 Tax Classification.The Company shall be treated as a disregarded entity for federal and Colorado income tax purposes unless the Member elects otherwise. 7.2 Tax Representative.The Member(s) shall designate a Partnership Representative,if required,for federal tax purposes. 7.3 Books and Records.The Company shall maintain complete and accurate books and records at its principal office. ARTICLE X COMPLIANCE,LICENSING,AND REGULATORY MATTERS 10.1 Alcohol Manufacturing Compliance.The Company shall comply with all applicable federal, state,and local laws,rules,and regulations relating to the manufacture,production, storage,bottling,distribution,marketing,and sale of alcoholic beverages,including but not limited to regulations enforced by: • The Alcohol and Tobacco Tax and Trade Bureau ("TTB") • The Colorado Department of Revenue,Liquor Enforcement Division ("LED") • Applicable county and municipal authorities 10.2 Licenses and Permits.The Member is authorized,on behalf of the Company,to apply for, obtain,maintain,renew,modify, and surrender all licenses,permits,bonds,and approvals required for winery operations,including federal basic permits,state manufacturer licenses,and local approvals. 10.3 Records and Inspections.The Company shall maintain all books,production records, excise tax records,and reports required by applicable alcohol regulatory authorities and shall permit lawful inspections as required by law. ARTICLE XI LIMITATION OF LIABILITY; RISK ALLOCATION 11.1 Separation of Personal and Business Liability.The Company is a separate legal entity distinct from its Member.All alcohol manufacturing,storage,distribution,and sales activities shall be conducted solely in the name of the Company.No personal assets of the Member shall be used for Company operations except as properly contributed or documented. 11.2 Alcohol-Related Risks.The Member shall not be personally liable for claims,damages, penalties,fines,or liabilities arising from the lawful manufacture,handling,distribution,or sale of alcoholic beverages by the Company,except to the extent required by non-waivable law. ARTICLE XII INDEMNIFICATION 12.1 Indemnification.To the fullest extent permitted by Colorado law,the Company shall indemnify and hold harmless the Member from and against any claims,losses,liabilities, damages,or expenses incurred by reason of actions taken in good faith on behalf of the Company. ARTICLE XI MISCELLANEOUS 11.1 Governing Law.This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado. 11.2 Amendments.This Agreement may be amended only by written agreement of the Member(s). 11.3 Severability.If any provision of this Agreement is held unenforceable,the remaining provisions shall remain in full force and effect. 11.4 Entire Agreement.This Agreement constitutes the entire agreement among the Member(s) regarding the Company.
