MEYERS , ROGER W. MEYERS, JEFFREY R. MEYERS AND VALORI D. MEYERS, all of Weld County, Colorado. • • 1. Name and business. The parties do hereby form a partnership under the name of FARAMIR FARMS, to own, build upon, alter, repair, rent, lease and otherwise deal with real and personal property of any kind or description, and to own, manage, , lease and otherwise operate any form of business venture. • 2. Term. The partnership business shall begin on April 1, 1982, and shall continue until terminated as herein provided. 3. Capital. The capital of the partnership shall consist initially of Registered Black Angus Cattle which the partners have agreed to purchase. . The partners agree to contri- bute cash or his or her individual credit necessarily required to pay the purchase price together with the registration costs in the same proportion that each shares in. the profits and losses. Title to the property will be taken in the name of the partnership. If at any time hereafter the partners should determine that further capital is required by the partnership, the additional capital required shall be contributed by the partners in the proportion that they share in the profits and losses. A separate capital account shall be maintained for each partner. No partner shall withdraw any part of his capital account. If the capital account of a partner becomes impaired, his share of subsequent partnership profits shall be first credited to his capital account until that account has been restored, before such profits are credited to his income account. • • -2- • 4. If a partner has no credit balance in his income account, losses. shall be charged to his capital account. 5. Salaries and drawings. A partner shall receive a . salary for services rendered to the partnership if that partner is assigned, and does perform, the duties of a managing partner, as requested by the other partners. Such salary shall be as agreed upon by all partners. Each partner may, from time to time, withdraw the credit balance in his income account. No additional share of profits shall incure to any partner by reason of his capital or income account being in excess of the capital or income account of the others. 6 . Interest. No interest shall be paid on the initial contributions to the capital of the partnership or on any subse- quent contributions of capital. Nothing in this agreement shall be construed so as to prohibit a partner from making an interest bearing loan to the partnership. 7. Management, duties and restrictions. (a) The consent of all partners shall be required with respect to decisions concerning the management, conduct and operation of the partnership business in all respects and' in all matters, including, but not limited to, the sale and conveyance of the property on such terms -3• as they may determine, to construct improvements on the property, to lease the property or any part thereof on such terms and for such periods as they may determine, to mortgage the property, whether such mortgage be a first or second mortgage lien, and to the borrowing or lending of money on behalf of the partnership. The day-to-day decisions required for the management of ,the part- nership business shall be made by the managing partner without the consent of the other partners. But such decisions shall be discussed to and reviewed by the other partners on the monthly or 7 more frequent basis. (b) Any one or more of the partners may be designated to manage the affairs of the partnership and to bind the partnership by his or her signature to any deed, deed of trust, mortgage, contract or other similar document, provided the transactions as to which such Managing Partner acts has been' previously approved - by all partners, (c) Each partner may have other business interests and may engage in any other business or trade, profession or employment whatsoever, on his own account, or in partnership with or as an employee of or as an officer, director or shareholder of any other person, firm or corporation, and he shall not be required to devote any particular amount of his time or attention to the business of the partnership. No partner shall be obligated to devote store time and attention to the conduct of the business of the partnership than shall be required for the supervision of the ownership, . operation, and management of the property, unless that partner has . been designated as a -managing partner, • 8. ' Banking. All funds of the partnership shall be deposited in its name in such bank account or accounts as shall be -4- designated by 'the partners. All withdrawals therefore are to be made upon checks signed by a partner or partners designated by the partnership from time to time. 9 . Books--Fiscal Year. The partnership books shall be maintained at the principal office of the partnership, and each partner shall at all times have access thereto. The fiscal year of the partnership shall be the calendar year. The books shall be closed and balanced at the end of each such fiscal year. An audit shall be made as of the date of closing of the books. 10. Voluntary Termination. The partnership may be , dissolved at any by agreement of the partners , in which event the partners shall proceed with reasonable promptness to sell the real and personal property owned by the partnership and to liquidate the business of the partnership. The partnership shall be dissolved also by the sale of all real property owned by the partnership. Upon dissolution the assets of the partnership business shall be used and distributed in the following order: (a) to pay or provide for payment of all partnership liabilities and liquidating expenses and obligations; (b) to equalize the income accounts of the partners; (c) to equalize the capital accounts of the partners in accordance with ownership percentages, (d) to discharge the balance of• the capital accounts of the partners; and (e) distribute any balance according to ownership percentages. 11. Retirement. (a) Any partner shall have the right to retire from the partnership at the end of any fiscal year. Written notice of intention to retire shall be served upon the other partners at least three months before the end of such fiscal year. The retirement of a partner shall have no effect upon the continu- ance of the partnership business. The• remaining partners shall have the right either to purchase the retiring partner 's interest -5- � in the partnership or to terminate and liquidate the partnership business. If the remaining partners elect to purchase the interest • of the retiring partner, they shall serve notice in writing of such election upon the retiring partner at the address of .the retiring partner as shown on this agreement or at such other address . • as shall be furnished to the remaining partners inwriting, within one month after receipt of his notice of intention to retire. (b) If the remaining partners elect to purchase the • interest of a retiring partner, the purchase price and method of payment shall be the same as stated in paragraph 12 with reference to the purchase of a decedent's interest in the partnership. (c) If the remaining partners do not elect to purchase . . the interest of the retiring partner in the partnership, the partners shall proceed with reasonable promptness to sell the assets of the partnership and to liquidate the business of the partnership. The procedure as to liquidation and distribution of the assets of the partnership business shall be the same as stated • in paragraph 10 with reference to voluntary termination. 12 . ' Death. (al Upon the death of a partner, the surviving partners shall have the right to either purchase the interest of the decedent in the partnership or to terminate and liquidate the partnership business. If the surviving partners elect to purchase the decedent's interest they shall serve notice in writing of such election within one month after the death of the decedent, upon the personal representative of the decedent, or if at the time ' . of such election no personal representative has been appointed, upon • any one of the known legal heirs of the decedent at the last known address of such heir. - (b). This subparagraph (b) of paragraph 12 shall apply to the case of a retiring partner as well as to the case of a deceased partner. If the surviving partners elect to purchase the interest of the decdent or retiring partner in the partnership, the purchase price shall be determined as follows: After making appropriate adjustment for any imbalance in the capital and income accounts of the partners, the accountant for • the partnership shall prepare financial statements froth the books and records of the partnership as of the date of death (or retire- ment, as the case may be) , which statement shall be consistent with the last preceding statements prepared for income tax purposes.. • From such statements shall be determined the net value of :the; partnership assets as shown by the books of the partnership. Such book value shall then be adjusted by valuing all assets at fair market value as of the date of death (or retirement) . The value of the interest of the deceased or withdrawing partner shall be determined by dividing the total adjusted book value by the • number of partners then comprising the partnership and the result shall be the .purchase price of the deceased or retiring partner's interest in the partnership. • In the event the partners cannot agree as to the fair market value of the real and personal property of the partnership they shall have the same appraised by an appraiser mutually agree- able to all partners who shall proceed to appraise the property and submit his appraisal to the partners as promptly as possible. The fair market value established by the appraiser shall be binding and final. CO_ If the surviving partners do not elect to purchase the interest of the decedent in the partnership, they shall proceed with reasonable promptness to sell the assets of the partnership and to liquidate the partnership. - The surviving partners and the estate of the deceased partner shall share equally- in, :the profits • -7- • and losses of the business during the period of liquidation, except that the decedent's estate shall not be liable for losses.in excess of the decedent's interest in the partnership at the time of his ' death. No compensation shall be paid to the surviving partners for their services in liquidation. Except as herein otherwise stated, the procedure as to liquidation and distribution of the assets of the partnership shall be the same as stated.in paragraph 10 with • reference to voluntary termination. 13. Arbitration. Any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be settled by arbitration in accordance with the rules then obtaining ' of the American Arbitration Association, and judgment upon the award rendered may be entered in any court having jurisdiction. thereof. 14. In the event of the retirement or death of a partner giving rise to the right of the remaining or surviving partners to purchase the interest of such partner, if less than all of the remaining or surviving partners elect to purchase, those who do elect to purchase shall have the right to purchase in proportion to their respective interests in the partnership, 15. The residence, along with other existing and planned out-buildings and facilities, will serve as a ranch headquarters . Existing facilities now located on the proposed exemption site include a calving shed with corrals, and a domestic well and pumphouse with underground electric service, all constructed in the fall of 1982. Future facilities include the residence (a 2600-square foot ranch-style home), barn, machine shop and expanded corrals. This proposal would separate 12.02 acres from a larger tract of approximately 300 acres. Approximately 20 acres were previously exempted from the larger tract in 1980. The applicants have a well on the proposed 12.02 acre tract. This well (No. 127101) was permitted on the basis that it would be the only well on the NE1/4 of the NW1/4 of Section 6. The permit restricts the well to serving one single-family dwelling. The exemption is sought to improve the financing of improvements on the 12.02 acres. Since there is a well on the proposed 12.02 acre tract, we can recommend approval. We must point out that a portion of the large tract would be prohi- bited from having any more exempt domestic wells. Also, we would have to look at any future exemption proposal quite critically.
