The parties to this License Agreement ("Agreement") are Allan Richard Carlson ("Carlson"), Mark L. Getman and Linda L. Getman, (the "Getmans," and Carlson and the Getmans, collectively, the "Lateral Owners"), and the County of Weld, a body corporate and political subdivision of the State of Colorado ("Licensee"). The Lateral Owners own, operate, and use a private lateral ditch (the "Ditch")and a prescriptive easement for the operation, maintenance, repair, and replacement of the Ditch (the "Easement"). Licensee desires the Lateral Owners' permission to construct two new crossings of the Ditch—each consisting of a road crossing and a 15 inch round culvert beneath the road crossing (each road crossing and round culvert, a "Crossing," and the two Crossings, collectively, the"Crossings") in the southeast 1/a of Section 14,Township 3 North, Range 68 West of the 6th P.M., Weld County, Colorado (the installation and construction of the Crossings, the "Licensed Activity"). The Crossings consist, specifically, of one (1) Crossing at the location that Weld County Road 9.5 will cross the Ditch (the "WCR 9.5 Crossing") and one (1) Crossing at the location that an access road that Licensee plans to construct in connection with the construction of Weld Country Road 9.5 will cross the Ditch (the "Access Road Crossing"). The Crossings are identified and depicted on EXHIBIT A. The plans and specifications for the Licensed Activity are included as EXHIBIT B (the "Plans"). The Lateral Owners agree to license the Licensed Activity, subject to the terms, conditions, covenants, and agreements set forth in this Agreement. 3. LICENSED ACTIVITY. 3.1 Licensee is granted a license for the Licensed Activity, as the Licensed Activity is described in the Plans. The Lateral Owners' review of the Plans is solely for their own benefit and creates no obligation on the Lateral Owners. If Licensee proposes any change to the means or method set forth in the Plans, Licensee shall notify the Lateral Owners immediately. Licensee must receive approval of the altered Plans in writing prior to continuing the Licensed Activity. 3.2 Any portion of the Ditch and all affected portions of the Easement that are disturbed by the Licensed Activity shall be restored to their original condition so the flow of water in the Ditch runs at the original amount and velocity. Any and all fencing and other facilities appurtenant to the Easement that are disturbed shall be replaced in a condition at least equal to the condition of such facilities and appurtenances prior to the Licensed Activity. 3.3 Licensee shall proceed expeditiously and with reasonable diligence from the commencement of the Licensed Activity to its completion. The Licensed Activity will commence on or after mutual execution of this Agreement and payment of the License Fee, identified in paragraph 5 below, and will be completed by April 15, 2026 (the "Installation Deadline"). If either of the Crossings is not installed, constructed, and completed by the Installation Deadline (as may be extended by written agreement), this Agreement shall be null and void and of no force or effect as to that Crossing. 5 of 18 030 20862/2026 10:18 A 1ages:M R Fee:$0.00 Carly Koppes, Clerk and Recorder, Weld County , CO 1111 1GthiAIINI+11111h1' C1111 1hWIC 11111 3.4 If, on any day, either of the Lateral Owners has a valid request for water and the applicable Lateral Owner cannot take delivery of water as a result of the Licensed Activity or Licensee's maintenance, repair,or replacement of either Crossing(an "Interruption"),the applicable Lateral Owner shall provide Licensee with notice per paragraph 8.1. To the extent permitted by law, Licensee shall pay, as liquidated damages, $500.00 per day for each day following the applicable Lateral Owner's notice of the Interruption that the noticed Interruption persists. Nothing in this paragraph 3.4 shall affect either of the Lateral Owner's right to bring an action against Licensee for damages and other relief resulting from the Interruption. 3.5 The Licensed Activity or the Crossings may require local, state, or federal permits or approvals. It is Licensee's obligation to investigate and determine the need for any such permits or approvals. Licensee is responsible, at its own expense, for obtaining all applicable local, state, and federal permits or approvals and for compliance with all local, state, and federal laws and regulations, including but not limited to land use and environmental laws and regulations, and specifically including the Endangered Species Act, prior to beginning the Licensed Activity. To the extent permitted by law, Licensee shall indemnify the Lateral Owners for any and all costs, damages, fines, and fees, including reasonable attorney fees that the Lateral Owners incur as a result of Licensee's failure to obtain such permits or approvals or failure to comply with all applicable laws and regulations. 4. Upon completion of each Crossing, the Lateral Owners may inspect the Crossing. 6.2 The Lateral Owners' right to inspect the Licensed Activity and the Crossings in no way relieves Licensee of its liability for improper construction. The Lateral Owners' inspection is solely for the benefit of the Lateral Owners and creates no obligation on the Lateral Owners. 2 5089862 Pages: 2 of 18 03/20/2026 10:18 AM R Fee:$0.00 Carly Koppes, Clerk and Recorder, Weld County , CO IlIMANVI r'r 'VN OH riii,P1011,4 III II 6.3 Licensee shall provide the Lateral Owners with a set of "as-built" plans within thirty (30) days of completion of each Crossing at the address listed in paragraph 14, below. 7. If payment has not been received by the Lateral Owners within forty-five (45)days, Licensee shall have breached this Agreement and the Lateral Owners may institute legal proceedings to collect the amount due and owing. In such proceeding, the Lateral Owners shall be entitled to their costs and reasonable attorney fees from Licensee. 8. MAINTENANCE. 8.1 Licensee specifically agrees and pledges to maintain, repair, and replace the WCR 9.5 Crossing, so as not to require the Lateral Owners to maintain, repair, or replace the Crossing unless damage is caused by the Lateral Owners. The Parties to this Agreement understand the County is not responsible for and will not maintain the Access Road Crossing. If Licensee fails to properly maintain, repair, or replace any portion of the WCR 9.5 Crossing for which it is responsible after thirty(30)days'written notice to Licensee of the need for the same, the Lateral Owners may, at their option, conduct their own maintenance, repair, or replacement, and Licensee shall reimburse the Lateral Owners for the reasonable cost of the work within thirty(30) days. In the event Licensee fails to maintain, repair, or replace the WCR 9.5 Crossing, it shall be held liable for any loss, damage, or injury to the Lateral Owners, except to the extent the Lateral Owners cause the damage. If the Lateral Owners conduct their own maintenance, repair, or replacement, they do not waive the right to hold Licensee liable for damages caused by Licensee's failure to maintain, repair, or replace the WCR 9.5 Crossing. 8.2 In the event of an emergency, the Lateral Owners or the Licensee may conduct maintenance or repair of the WCR 9.5 Crossing immediately, giving notice to the other Party as soon as possible to the operational and emergency contacts identified below. If the Lateral Owners conduct emergency work on the WCR 9.5 Crossing, the Lateral Owners shall provide notice to Licensee in advance to the extent possible or reasonably soon after the Lateral Owners' emergency work and Licensee shall reimburse the Lateral Owners for the reasonable cost of the work. 8.3 Under no circumstance shall the Lateral Owners be responsible or held liable for damages to the WCR 9.5 Crossing resulting from maintenance or repair to the Ditch except to the extent caused by the Lateral Owners' or their employees', contractors', or agents', negligence or willful misconduct. 5089862 Pages: 3 of 18 03/20/2026 10:18 AM R Fee:$0.00 Carly Koppes, Clerk and Recorder, Weld County , CO 1111 killAralrifiN111105 141,1 11lh'i0!r 'hill 11611i 111111 OPERATIONAL AND EMERGENCY CONTACTS: Carlson: Michelle (Shelly)and Allan Carlson (720) 313-2012 sacarlsonl@live.com The Getmans: Mark Getman (720) 989-9740 mllgetman@gmail.com Copy to: Tara Schutter (303) 710-9108 tara@tessarawater.com Licensee: Ryan Trujillo (303) 419-8042 rtrujillo@kraemerna.com 9. ASSIGNMENT. 12.1 Generally. Licensee may not assign its rights and obligations under this Agreement without prior written consent of the Lateral Owners, which will not be unreasonably withheld. 12.2 To the Town. This Agreement contemplates that Licensee will assign certain responsibilities and obligations associated with the WCR 9.5 Crossing to the Town of Mead, a municipal corporation of the State of Colorado (the "Town"), following the date that the Town has annexed Weld County Road 9.5 improvements, including some or all of the WCR 9.5 Crossing,as memorialized in an ordinance of the Town Board of Trustees, and Licensee has conveyed all or some of the WCR 9.5 Crossing to the Town by deed, in accordance with and as contemplated in that certain Improvement Agreement for Construction of High Plains Boulevard (A.K.A. - Weld County Road 9.5) between Weld County Road 32 and Weld County Road 36, dated August 7, 2024, between the Town and Licensee. Assignment to the Town shall be via amendment of this Agreement ("Amendment"), which amendment shall reflect that consideration has been paid by the original Licensee and shall incorporate into the Agreement the following provisions: 12.2.1.Governmental Immunity. The Town, its officers, and its employees are relying on and do not waive or intend to waive by any provision of the Amendment the monetary limitations or any other rights, immunities, and protections provided by the Colorado Governmental Immunity Act, C.R.S. §24-10-101,et.seq.,as amended,or otherwise available to the Town and its officers or employees. 12.2.2.Annual Appropriation. Consistent with Article X, § 20 of the Colorado Constitution, any financial obligation of the Town not performed during the current fiscal year is subject to annual appropriation, and thus any obligations of the Town hereunder shall extend only to monies currently appropriated and shall not constitute a mandatory charge, requirement, debt, or liability beyond the current fiscal year. 13. TERMINATION. Licensee's abandonment of the WCR 9.5 Crossing shall terminate the license granted in this Agreement as to the abandoned WCR 9.5 Crossing. Abandonment shall be deemed to have occurred when the WCR 9.5 Crossing has not been used for a period of five (5) consecutive years, or when Licensee gives written notice of abandonment as of a specified date. However, Licensee may avoid having the WCR 9.5 Crossing deemed abandoned if, within five (5)years of when the WCR 9.5 Crossing was last used, Licensee sends written notice to the Lateral Owners, pursuant to paragraph 14 below, that it is not abandoning the WCR 9.5 Crossing. In that event, the license shall continue for one (1) additional year. Thereafter, Licensee shall either put the WCR 9.5 Crossing to use or the WCR 9.5 Crossing shall conclusively be deemed abandoned.
