Resolution Approve Memorandum of Understanding for Co-Location and Collaboration of Coordinated Services and Authorize Chair to Sign - Volunteers of America, Colorado Branch Whereas, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and Whereas, the Board has been presented with a Memorandum of Understanding for Co-Location and Collaboration of Coordinated Services between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Human Services, and Volunteers of America, Colorado Branch, commencing January 15, 2026, and ending January 14, 2029, with further terms and conditions being as stated in said memorandum of agreement, and Whereas, after review, the Board deems it advisable to approve said memorandum of agreement, a copy of which is attached hereto and incorporated herein by reference. Now, therefore, be it resolved by the Board of County Commissioners of Weld County, Colorado, that the Memorandum of Understanding for Co-Location and Collaboration of Coordinated Services between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Human Services, and Volunteers of America, Colorado Branch, be, and hereby is, approved. Be it further resolved by the Board that the Chair be, and hereby is, authorized to sign said memorandum of agreement. Services will include outreach, case management, benefits navigation, and access to emergency financial resources. This collaboration is intended to strengthen coordinated service delivery for veteran clients in Weld County. By co-locating services, both organizations will streamline referrals, reduce barriers to access, and ensure veterans receive comprehensive employment and readjustment counseling support in a single location. Under this agreement, Volunteers of America Colorado Branch will be granted the use of one (1) office space, Room 2B-233, at the Weld County Workforce Center, located at 315 North 11th Avenue, Greeley, Colorado 80631, each Friday, from 8:00 a.m. to 5:00 p.m. The term of this agreement is January 15, 2026 through January 14, 2029 and may be extended upon mutual agreement. What options exist for the Board? • Approval of the Volunteers of America Colorado Branch MOU. • Deny approval of the Volunteers of America Colorado Branch MOU. Consequences: A Memorandum of Understanding with the Volunteers of America Colorado Branch will not be executed. Impacts: Volunteers of America Colorado Branch will not have designated office space at the Weld County Workforce Center. As a result, access to outreach services, case management, benefits navigation, and emergency financial resources for Veterans in Weld County may be limited. COUNTY,CO 1 MEMORANDUM OF UNDERSTANDING BETWEEN THE WELD COUNTY WORKFORCE CENTER AND VOLUNTEERS OF AMERICA COLORADO BRANCH THIS MEMORANDUM OF UNDERSTANDING is entered into this day of MOy(10 , 2026, by and between the Board of County Commissioners, on behalf of the Weld County Workforce Center, hereinafter referred to as "Department," and the Volunteers of America Colorado Branch, hereinafter referred to as "Contractor". Purpose The purpose of this Memorandum of Understanding (MOU) is to establish an agreement between the Weld County Workforce Center (WCWC) and Volunteers of America Colorado Branch (SVVF) to define the roles and responsibilities associated with co-locating within the WCWC. This collaboration is intended to enhance coordinated services for un-housed clients in Weld County. Term of this Memorandum of Understanding This Memorandum of Understanding ("MOU" or "Agreement") shall be effective beginning January 15, 2026 through January 14, 2029 and may be extended upon mutual agreement. Department Roles and Responsibilities • Collaborate with Contractor to enhance coordinated services for un-housed clients in Weld County. • Coordinate efforts with Contractor to streamline referrals, reduce access barriers, and ensure clients receive holistic employment and readjustment counseling support in one location. • Provide Contractor with office space for up to one (1) full day per week at the following location: Weld County Workforce Center 315 North 11th Street Building B Office 2B-233 Greeley, Colorado 80631 Contractor Roles and Responsibilities • Collaborate with Department to enhance coordinated services for un-housed clients. • Coordinate services for veteran clients in Weld County. • Provide outreach, case management, benefits navigation, and emergency financial assistance to veterans who are at risk of or experiencing homelessness. • One (1) Volunteers of America Colorado Branch staff member shall provide services on Fridays from 8:00 a.m. to 5:00 p.m. at above-mentioned co-location site. Modifications. This Agreement may be modified in writing, in whole or in part, upon approval of the signers. Termination. This Agreement may be terminated at any time by either party giving thirty (30) days written notice to the signers. No portion of this MOU shall be deemed to create an obligation on the part of the County of Weld, State of Colorado, to expend funds not otherwise appropriated, as this MOU is subject to the availability of funding. Therefore, the Department may terminate this MOU at any time if the source of funding for the services made available to Contractor is no longer available to the Department, or for any other reason. Contractor reserves the right to suspend services to clients if funding is no longer available. Entire Agreement. This MOU contains the entire agreement and understanding between the parties with respect to the subject matter hereof and may not be changed or modified except as stated herein. This MOU shall be binding upon the parties hereto, their successors, heirs, legal representatives, and assigns. Contractor and the Department may not assign any of its rights or obligations hereunder without the prior consent of both parties. No Third-Party Beneficiary. It is expressly understood and agreed that the enforcement of the terms and conditions of this MOU, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in this MOU shall give or allow any claim or right of action whatsoever by any other person not included in this MOU. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this MOU shall be an incidental beneficiary only. Governmental Immunity. No term or condition of this contract shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections or other provisions, of the Colorado Governmental Immunity Act §§24-10-101 et seq., as applicable now or hereafter amended. Independent Contractor. Contractor agrees that it is an Independent Contractor and that the Contractor's officers, agents or employees will not become employees of the Department, nor entitled to any employee benefits from the Department as a result of the execution of this MOU. Contractor shall perform its duties hereunder as an Independent Contractor. Contractor shall be solely responsible for its acts and those of its agents and employees for all acts performed pursuant to this MOU. Contractor, its employees and agents are not entitled to unemployment insurance or workers' compensation benefits through the Department and the Department shall not pay for or otherwise provide such coverage for Contractor or any of its agents or employees. Unemployment insurance benefits will be available to Contractor and its employees and agents only if such coverage is made available by Contractor or a third party. Contractor shall pay when due all applicable employment taxes and income taxes and local head taxes (if applicable) incurred pursuant to this MOU. Severability. If any term or condition of this MOU shall be held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, this MOU shall be construed and enforced without such provision, to the extent that this MOU is then capable of execution within the original intent of the parties.
