Approve License Agreement for Private Lateral Ditch Crossing for High Plains
Boulevard (aka County Road 9.5) Improvements Project, Between County Roads 32
and 34, and Authorize Chair to Sign —Allan Carlson
Whereas, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
Whereas, the Board has been presented with a License Agreement for a Private Lateral
Ditch Crossing for the High Plains Boulevard (aka County Road 9.5) Improvements
Project, between County Roads 32 and 34, between the County of Weld, State of
Colorado, by and through the Board of County Commissioners of Weld County, on behalf
of the Department of Public Works, and Allan Carlson, commencing upon full execution
of signatures, and ending April 15, 2026, with further terms and conditions being as stated
in said agreement, and
Whereas, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
Now, therefore, be it resolved by the Board of County Commissioners of Weld County,
Colorado, that the License Agreement for a Private Lateral Ditch Crossing for the High
Plains Boulevard (aka County Road 9.5) Improvements Project, between County
Roads 32 and 34, between the County of Weld, State of Colorado, by and through the
Board of County Commissioners of Weld County, on behalf of the Department of Public
Works, and Allan Carlson, be, and hereby is, approved.
Be it further resolved by the Board that the Chair be, and hereby is, authorized to sign
said agreement.
The Board of County Commissioners of Weld County, Colorado, approved the above
and foregoing Resolution, on motion duly made and seconded, by the following vote on
the 2nd day of March, A.D., 2026:

SUBJECT: BOCC Agenda Item-WCR Crossing Agreement with Carlson Private
Lateral
The BOCC is being asked to approve a private lateral ditch crossing agreement
with Allan Carlson. This ditch crossing is part of the High Plains Blvd. project
between WCR 32 and WCR 34. This ditch crossing is located on the property
owned by Mark and Linda Getman and is used to fill Holt Reservoir for irrigation
purposes. This agreement has been reviewed and approved by the County
Attorney's office. A ditch crossing fee of$10,000 will be paid as part of this
agreement which is already accounted for in the project budget. Public Works
will have a representative available at the meeting to answer any questions.

LICENSE AGREEMENT
(Weld County Road 91h Crossing)
1. PARTIES. The parties to this License Agreement ("Agreement") are Allan Richard Carlson
("Carlson") and the County of Weld, a body corporate and political subdivision of the State of
Colorado ("Licensee"). This Agreement refers to Carlson and Licensee, each individually, as a
"Party" and,jointly, as the "Parties."
2. RECITALS. Carlson owns, operates, and uses a private lateral ditch (the "Ditch") and a
prescriptive easement for the operation, maintenance, repair, and replacement of the Ditch (the
"Easement"). Licensee desires Carlson's permission to construct a new road crossing(the"Road
Crossing") and 24 inch round culvert beneath the Road Crossing (the "Round Culvert" and the
Road Crossing and Round Culvert, collectively,the "Crossing") in the southeast 1/4 of Section 14,
Township 3 North, Range 68 West of the 6th P.M.,Weld County, Colorado,as depicted on EXHIBIT
A (the installation and construction of the Crossing, the "Licensed Activity"). The plans and
specifications for the Licensed Activity are included as EXHIBIT B (the "Plans"). Carlson agrees
to license the Licensed Activity,subject to the terms, conditions, covenants, and agreements set
forth in this Agreement.
3. LICENSED ACTIVITY.
3.1 Licensee is granted a license for the Licensed Activity, as the Licensed Activity is
described in the Plans. Carlson's review of the Plans is solely for his own benefit and
creates no obligation on Carlson. If Licensee proposes any change to the means or
method set forth in the Plans, Licensee shall notify Carlson immediately. Licensee must
receive approval of the altered Plans in writing prior to continuing the Licensed Activity.
3.2 Any portion of the Ditch and all affected portions of the Easement that are disturbed by
the Licensed Activity shall be restored to their original condition so the flow of water in
the Ditch runs at the original amount and velocity. Any and all fencing and other facilities
appurtenant to the Easement that are disturbed shall be replaced in a condition at least
equal to the condition of such facilities and appurtenances prior to the Licensed Activity.
3.3 Licensee shall proceed expeditiously and with reasonable diligence from the
commencement of the Licensed Activity to its completion. The Licensed Activity will
commence on or after mutual execution of this Agreement and payment of the License
Fee, identified in paragraph 5 below, and will be completed by April 15, 2026 (the
"Installation Deadline"). If the Crossing is not installed, constructed, and completed by
the Installation Deadline(as may be extended by written agreement),this Agreement shall
be null and void and of no force or effect.
3.4 If, on any day, Carlson has a valid request for water and Carlson cannot take delivery of
water as a result of the Licensed Activity or Licensee's maintenance, repair, or
replacement of the Crossing (an "Interruption"), Carlson shall provide Licensee with
notice per paragraph 8.1.To the extent permitted by law, Licensee shall pay,as liquidated
damages, $500.00 per day for each day following Carlson's notice of the Interruption that
the noticed Interruption persists. Nothing in this paragraph 3.4 shall affect Carlson's right

to bring an action against Licensee for damages and other relief resulting from the
Interruption.
3.5 The Licensed Activity or the Crossing may require local, state, or federal permits or
approvals. It is Licensee's obligation to investigate and determine the need for any such
permits or approvals. Licensee is responsible, at its own expense, for obtaining all
applicable local,state,and federal permits or approvals and for compliance with all local,
state, and federal laws and regulations, including but not limited to land use and
environmental laws and regulations, and specifically including the Endangered Species
Act, prior to beginning the Licensed Activity.To the extent permitted by law, Licensee shall
indemnify Carlson for any and all costs, damages, fines, and fees, including reasonable
attorney fees that Carlson incurs as a result of Licensee's failure to obtain such permits
or approvals or failure to comply with all applicable laws and regulations.
4. PERMISSION OF LAND OWNERS. Licensee is responsible, at its own expense, for obtaining
the permission of any other land owners or any other person or entity who may claim an interest
in and to the land shown on EXHIBIT A, for the purposes stated in this Agreement.
5. LICENSE FEE. Licensee shall pay to Carlson a license fee of$10,000. The license fee shall
be paid upon execution of this Agreement and prior to the commencement of the Licensed
Activity. This license fee shall be in addition to any other costs for which Licensee is responsible
pursuant to this Agreement.
6. INSPECTION AND"AS-BUILT" PLANS
6.1 Licensee shall notify the Operational Contact for Carlson, identified in paragraph 8.3, at
least three (3)days prior to commencement of the Licensed Activity and any replacement
or repair of the Crossing, except for emergency repairs for which paragraph 8 of this
Agreement provides. Carlson is permitted to inspect the Licensed Activity and any
replacements and repairs of the Crossing during construction. Upon completion of the
Crossing, Carlson may inspect the Crossing.
6.2 Carlson's right to inspect the Licensed Activity and the Crossing in no way relieves
Licensee of its liability for improper construction. Carlson's inspection is solely for the
benefit of Carlson and creates no obligation on Carlson.
6.3 Licensee shall provide Carlson with a set of "as-built" plans within thirty (30) days of
completion of the Crossing at the address listed in paragraph 14, below.
7. REIMBURSEMENT OF EXPENSES.
7.1 Licensee shall reimburse Carlson for all reasonable and actual engineering and legal
costs that Carlson incurs in preparing and approving this Agreement and the costs of
inspection as described in paragraph 6.
7.2 Statements for the costs chargeable to Licensee under this Agreement will be forwarded
to Licensee and the same shall be paid to Carlson within forty-five (45) days after the

billing is received. If payment has not been received by Carlson within forty-five(45)days,
Licensee shall have breached this Agreement and Carlson may institute legal proceedings
to collect the amount due and owing. In such proceeding, Carlson shall be entitled to his
costs and reasonable attorney fees from Licensee.
8. MAINTENANCE.
8.1 Licensee specifically agrees and pledges to maintain, repair, and replace the Crossing so
as not to require Carlson to maintain, repair, or replace the Crossing unless damage is
caused by Carlson. If Licensee fails to properly maintain, repair, or replace any portion of
the Crossing for which it is responsible after thirty(30) days'written notice to Licensee of
the need for the same, Carlson may, at his option, conduct his own maintenance, repair,
or replacement,and Licensee shall reimburse Carlson for the reasonable cost of the work
within thirty (30) days. In the event Licensee fails to maintain, repair, or replace the
Crossing, it shall be held liable for any loss, damage, or injury to Carlson, except to the
extent Carlson cause the damage. If Carlson conducts his own maintenance, repair, or
replacement, they do not waive the right to hold Licensee liable for damages caused by
Licensee's failure to maintain, repair, or replace the Crossing.
8.2 In the event of an emergency,Carlson or the Licensee may conduct maintenance or repair
immediately, giving notice to the other Party as soon as possible to the operational and
emergency contacts identified below. If Carlson conducts emergency work on the
Crossing, Carlson shall provide notice to Licensee in advance to the extent possible or
reasonably soon after Carlson's emergency work and Licensee shall imburse Carlson for
the reasonable cost of the work.
8.3 Under no circumstance shall Carlson be responsible or held liable for damages to the
Crossing resulting from maintenance or repair to the Ditch except to the extent caused by
Carlson's or his employees', contractors', or agents', negligence or willful misconduct.

9. WATER LOSS. Licensee agrees that the Licensed Activity will not increase carriage or transit
loss over the loss which has occurred historically. Licensee agrees to compact any disturbed

earth materials, so that such additional water losses will not occur. If the Licensed Activity
increases carriage or transit loss in the Ditch, Licensee agrees to repair the construction to
prevent the additional loss.
10. LIABILITY AND INDEMNIFICATION.
10.1 By virtue of entering into this Agreement, Carlson: (1) assumes no liability for use,
operation, or existence of the Crossing except to the extent caused by Carlson's, or his
employees', contractors', or agents', negligence or willful misconduct; and (2) assumes
no additional responsibilities or obligations related to the Licensed Activity.
10.2 To the extent permitted by law, Licensee agrees to indemnify and hold harmless Carlson
from all claims and liability for damage or injury to property or persons arising or caused
directly or indirectly by Licensee's, or its employees', contractors', or agents', negligence
or willful misconduct in carrying out the Licensed Activity, restoration, maintenance of, or
failure to maintain,the Crossing, and Licensee's occupancy and use of the areas located
as shown in the Plans, except to the extent caused by Carlson's, or his employees',
contractors' or agents', negligence or willful misconduct.
11. EASEMENT RIGHTS. The license granted to Licensee in this Agreement in no way restricts
Carlson's right to the use of the Easement to construct, operate, or maintain all existing
structures and facilities of the Ditch.
12. ASSIGNMENT.
12.1 Generally. Licensee may not assign its rights and obligations under this Agreement
without prior written consent of the Ditch Owners, which will not be unreasonably
withheld.
12.2 To the Town. This Agreement contemplates that Licensee will assign certain
responsibilities and obligations associated with the Crossing to the Town of Mead, a
municipal corporation of the State of Colorado (the "Town"), following the date that the
Town has annexed Weld County Road 9.5 improvements, including some or all of the
Crossing, as memorialized in an ordinance of the Town Board of Trustees, and Licensee
has conveyed all or some of the Crossing to the Town by deed, in accordance with and as
contemplated in that certain Improvement Agreement for Construction of High Plains
Boulevard (A.K.A. - Weld County Road 9.5) between Weld County Road 32 and Weld
County Road 36, dated August 7, 2024, between the Town and Licensee. Assignment to
the Town shall be via amendment of this Agreement ("Amendment"), which amendment
shall reflect that consideration has been paid by the original Licensee and shall
incorporate into the Agreement the following provisions:
12.2.1.Governmental Immunity. The Town, its officers, and its employees are
relying on and do not waive or intend to waive by any provision of the
Amendment the monetary limitations or any other rights, immunities, and
protections provided by the Colorado Governmental Immunity Act, C.R.S.

§24-10-101,et.seq.,as amended,or otherwise available to the Town and
its officers or employees.
12.2.2.Annual Appropriation. Consistent with Article X, § 20 of the Colorado
Constitution, any financial obligation of the Town not performed during the
current fiscal year is subject to annual appropriation, and thus any
obligations of the Town hereunder shall extend only to monies currently
appropriated and shall not constitute a mandatory charge, requirement,
debt, or liability beyond the current fiscal year.
13. TERMINATION. Licensee's abandonment of the Crossing shall terminate the license granted
in this Agreement.Abandonment shall be deemed to have occurred when the Road Crossing has
not been used for a period of five (5)consecutive years, or when Licensee gives written notice of
abandonment as of a specified date. However, Licensee may avoid having the Crossing deemed
abandoned if, within five (5) years of when the Road Crossing was last used, Licensee sends
written notice to Carlson, pursuant to paragraph 14 below,that it is not abandoning the Crossing.
In that event, the license shall continue for one (1) additional year. Thereafter, Licensee shall
either put the Road Crossing to use or the Crossing shall conclusively be deemed abandoned.
Upon abandonment, Licensee shall, upon the request of Carlson and at the Carlson's sole
discretion, remove the Crossing and restore Carlson's Easement to its original condition.
14. NOTICES. Any written notice required or permitted by this Agreement shall be deemed to
have been sufficiently given for all purposes if sent by certified or registered mail, postage and
fees prepaid, hand delivered, or sent via email, and addressed to the Party to whom such notice
is intended to be given at the address set forth below.Such notice shall be deemed to have been
given when deposited in the U.S. mail.

Any person or Party may change their addresses for the purpose of receiving written notice or
may change the Operational or Emergency Contacts in paragraph 8 by notice given as set forth
in this paragraph.
15. WAIVER OF BREACH. The waiver by either Party to this Agreement or a breach of any term
or provision of this Agreement shall not operate or be construed as a waiver of any subsequent
breach by either Party.
16. INTEGRATION AND AMENDMENT. This Agreement represents the entire Agreement
between the Parties and there are no oral or collateral agreements or understandings. This
Agreement may be amended only by an instrument in writing signed by both Parties.
17. BINDING EFFECT. This Agreement inures to the benefit of and is binding upon the Parties
and their successors and assigns.
18. RECORDATION. This Agreement shall be recorded at the cost of Licensee and shall be
binding on any successors of the Parties. The failure to record all or portions of exhibits because
of the size of the documents shall not affect this Agreement.
19. EXHIBITS. All exhibits referred to in this Agreement are, by reference, incorporated in this
Agreement for all purposes.
20. COUNTERPARTS. This Agreement may be executed in multiple counterparts and, as so
executed, shall constitute one Agreement, binding on the Parties even though the Parties have
not signed the same counterpart. Any counterpart of this Agreement which has attached to it
separate signature pages, which altogether contain the signatures of all the Parties, shall be
deemed a fully executed instrument for all purposes. Any signature relayed by electronic means,
including facsimile or email, shall be considered to be originals for the purposes of this
agreement.

I am still waiting for Allan Carlson to show up in OnBase as a new vendor. Once that happens, I will toad it in and
send it through the FastTrack process. I have not created a new vendor since we moved financials to Workday, but
so far it appears to take a little longer that it used to.

Please find the executed copy of License Agreement for Private Lateral Ditch Crossing for High Plains Boulevard
(aka County Road 9.5) Improvements Project, Between County Roads 32 and 34.The resolution has been rushed
for final reviews, but CTB has not yet received it back from Bruce. Once that happens,we will pair it with the
agreement and there are instructions to rush the recording of the agreement and exhibits. Mariah will distribute
that version when she has the recording process completed,which will probably be tomorrow.
Cameron, in the meantime, can you please update as to the Workday/Onbase timeline?
