Approve Memorandum of Understanding for Community Support of Maternal and
Child Health, and Authorize Chair Pro-Tern to Sign — Community Cradle
Whereas, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
Whereas, the Board has been presented with a Memorandum of Understanding for
Community Support of Maternal and Child Health between the County of Weld, State of
Colorado, by and through the Board of County Commissioners of Weld County, on behalf
of the Department of Public Health and Environment, and Community Cradle,
commencing upon full execution of signatures, with further terms and conditions being as
stated in said memorandum of understanding, and
Whereas, after review, the Board deems it advisable to approve said memorandum of
understanding, a copy of which is attached hereto and incorporated herein by reference.
Now, therefore, be it resolved by the Board of County Commissioners of Weld County,
Colorado, that the Memorandum of Understanding for Community Support of Maternal
and Child Health between the County of Weld, State of Colorado, by and through the
Board of County Commissioners of Weld County, on behalf of the Department of Public
Health and Environment, and Community Cradle, be, and hereby is, approved.
Be it further resolved by the Board that the Chair Pro-Tem be, and hereby is, authorized
to sign said memorandum of understanding.
The Board of County Commissioners of Weld County, Colorado, approved the above
and foregoing Resolution, on motion duly made and seconded, by the following vote on
the 25th day of February, A.D., 2026:

Brief description of the problem/issue:
Weld County Department of Public Health and Environment (WCDPHE) seeks approval to execute a
Memorandum of Understanding (MOU) with the Community Cradle. The Community Cradle is a non-profit
that will provide new or gently used items for families at no cost to WCDPHE or the community member.
WCDPHE's role will be to store and distribute supplies to clients and community members in need. Items
may consist of high-chairs, car seats, bassinets, infant formula and more. This partnership supports
WCDPHE's mission without requiring direct financial expenditure.
What options exist for the Board?
• Approve the Memorandum of Understanding (MOU) as presented.
• Decline to approve the MOU.
Consequences: Approval will allow WCDPHE to help distribute free items that support maternal and
child health.
Impacts: This MOU ensures that WCDPHE is able to assist with distribution of goods through established
connections in the community.
Costs (Current Fiscal Year / Ongoing or Subsequent Fiscal Years): There is no direct County
expenditure under this MOU. No new FTEs are requested; existing staff will support this work.
Recommendation:
I recommend approval to place this item on a future BOCC agenda for formal consideration.

Memorandum of Understanding Between the Weld County Department of Public
Health and Environment and Community Cradle
THIS MEMORANDUM OF UNDERSTANDING is entered into this ZS�day of
QIOVUA , 2026, by and between the Board of County Commissioners, on behalf of
the Weld unty Department of Public Health and Environment (WCDPHE), hereinafter
referred to as "Department," and Community Cradle, hereinafter referred to as
"Contractor".
Parties
• Weld County Department of Public Health and Environment, located at 1555
North 17th Avenue, Greeley, CO 80631 ("County")
• Community Cradle, located at 131 N 35th Ave, Greeley, CO 80634
I. Purpose
This Memorandum of Understanding (MOU) establishes a mutual
understanding between the County and the Community Cradle allowing
the Weld County Department of Public Health and Environment (WCDPHE)
to store and distribute donated items from the Community Cradle to
clients or community members free of charge. This is a cooperative
agreement between Parties to carry out Roles and Responsibilities without
financial exchange.
II. Background
The Community Cradle is a new non-profit agency that is seeking
community partners that can distribute new or gently used items that
support maternal and child health for free to community members.
III. Roles and Responsibilities Community Cradle agrees to:
1. Item Procurement and Safety Assurance:
o Serve as the sole procurer and donator of all items distributed under this

o Procure all funds necessary to support the operations of the Community
Cradle.
o Make a good faith effort to screen and ensure that all donated items (e.g.,
car seats, high chairs, bassinets), comply with current safety standards and
guidelines (including checking for recalls and expiration dates).
2. Item Provision and Access:
o Provide designated County staff with access to free items for distribution to
community members, as inventory allows.
o Provide access to designated County staff to the Community Cradle's facility
to obtain items during agreed-upon business hours.
o Provide the inventory tracking method (e.g., electronic or physical log)for
use by the County staff.
o Allow designated County staff to store items for community members at the
Weld County Department of Public Health and Environment (WCDPHE).
3. Indemnification:
o Indemnify and hold the County harmless against any and all claims, damages,
liabilities, losses, and costs arising from the condition, quality, safety, or use
of any donated items.
Weld County Government agrees to:
1. Storage and Distribution:
o Maintain a designated, secure storage area for the items at WCDPHE
facilities.
o Distribute items to clients and community members free of charge on an as-
needed basis.
2. Documentation and Compliance:
o Ensure that staff accessing the Community Cradle facility abide by the
facility's business hours and sign-in procedures.
o Ensure that staff record all items taken from the Community Cradle on the
provided inventory tracking sheet.
o Obtain a signed Donated Item Waiver and Agreement form from all clients
receiving high-liability items, including but not limited to car seats, high
chairs, pack-and-plays, and bassinets.
3. Reporting:
o Provide the Community Cradle with electronic monthly reports detailing the
type and quantity of inventory distributed to community members.
IV. Term and Termination
This MOU shall remain in effect from the Effective Date until terminated by either
Party.The Effective Date is the date of signature of the last Party to execute this MOU.
Either Party may terminate this MOU by providing 30 days written notice to the other
Party by email,first class postage prepaid mail, express delivery,or personal delivery.
Termination can be made by either Party with or without cause. Upon termination,each
Party will cooperate in disposing of any remaining items.
V. Amendments
Any changes to this MOU must be made in writing and signed by
authorized representatives of both parties.
VI.Survival of Termination.The obligations of the parties under this Agreement that by
their nature would continue beyond expiration or termination of this Agreement
(including,without limitation, any warranties, indemnification obligations,
confidentiality and record keeping requirements)shall survive any such expiration or
termination.
VIi. Independent Contractor, Contractor agrees that it is an Independent Contractor
and that the Contractor's officers,agents or employees will not become employees of
the Department, nor entitled to any employee benefits from the Department as a result
of the execution of this MOU. Contractor shall perform its duties hereunder as an
Independent Contractor.Contractor shall be solely responsible for its acts and those of
its agents and employees for all acts performed pursuant to this MOU. Contractor,its
employees and agents are not entitled to unemployment insurance or workers'
compensation benefits through the Department and the Department shall not pay for
or otherwise provide such coverage for Contractor or any of its agents or employees.
Unemployment insurance benefits will be available to Contractor and its employees
and agents only if such coverage is made available by Contractor or a third party.
Contractor shall pay when due all applicable employment taxes and income taxes and
local head taxes (if applicable) incurred pursuant to this MOU.
VIII. Entire Agreement. This MOU contains the entire agreement and understanding
between the Parties with respect to the subject matter hereof and may not be changed
or modified except as stated herein. Contractor and the Department may not assign any
of its roles or responsibilities hereunder without the prior consent of both Parties.
IX. No Third-Party Beneficiaries. It is the express intention of the undersigned Parties
that any entity other than the undersigned Parties receiving services or benefits under
this MOU shall be an incidental beneficiary only.
X.Non-Waiver. No term or condition of this contract shall be construed or interpreted
as a waiver, express or implied,of any of the immunities,rights,benefits, protections or
other provisions,of the Colorado Governmental Immunity Act§§24-10-101 et seq.,as
applicable now or hereafter amended.
Xl. Dispute Resolution. Parties agree that any disputes that may arise out of this MOU
shall be informally discussed for resolution. if not resolved, Parties may then take the
dispute to supervisors or respective Parties for further resolution efforts. If no
resolution is reached,and Parties have irreconcilable differences,either Party may
terminate this agreement pursuant to provisions under Part IV above.
