THIS AGREEMENT is made by and between the County of Weld, State of Colorado, whose address is 1150 0 Street,Greeley, Colorado, 80631 ("County"), and Boulder Environmental Inc.,whose address is 5 Deer Trail Road,Boulder, CO 80302 ("Contractor"). WHEREAS, County desires to retain Contractor as an independent contractor to perform services as more particularly set forth in the attached Exhibits"A,"and WHEREAS,Contractor has the time available to timely perform the services and is willing to perform the services according to the terms of this Agreement. NOW THEREFORE, in consideration of the mutual promises and covenants contained herein,the parties hereto agree as follows: 1. Engagement of Contractor. County hereby retains Contractor, and Contractor hereby accepts engagement by County upon the terms and conditions set forth in this Agreement. 2. Term. The term of this Agreement shall be from February 1, 2026, through and until the date upon which the tasks set forth in Exhibit"A"have been completed, or December 31, 2026, whichever date is earlier, and the term may be extended by mutual written consent of the parties. 3. Services to be Performed. Contractor agrees to perform the Services listed or referred to in Exhibit"A." 4. Compensation. County agrees to pay Contractor$30 for each sample analysis performed and the base fee in and for the buildings located at the addresses listed in Exhibits A, not to exceed a total of$35,000. 5. Additional Work. The parties do not anticipate any additional work other than the tasks set forth in Exhibit A. 6. Independent Contractor. Contractor agrees that Contractor is an independent contractor and that neither Contractor nor Contractor's agents or employees are, or shall be deemed to be, agents or employees of the County for any purpose. Contractor shall have no authorization, express or implied, to bind the County to any agreement, liability, or understanding. The parties agree that Contractor will not become an employee of County, nor is Contractor entitled to any employee benefits from County as a result of the execution of this Agreement. Page 1 of 4 Pages 7. Warranty. Contractor warrants that services performed under this Agreement will be performed in a manner consistent with the professional standards governing such services and the provisions of this Agreement. 8. Written Reports County Property. All written reports produced in connection with the performance of this Agreement, whether or not such reports are in completed form, shall at all times be considered the property of the County. Contractor shall not make use of such material for purposes other than in connection with this Agreement without prior written approval of County. 9. Insurance and Indemnification. Contractor shall maintain adequate liability insurance covering the negligent acts of Contractor during its performance of the services contracted for in this Agreement. Contractor shall provide necessary workers' compensation insurance at Contractor's own cost and expense. 10. Termination. Either party may terminate this Agreement at any time by providing the other party with a ten (10) day written notice thereof. Furthermore, this Agreement may be terminated at any time without notice upon a material breach of the terms of the Agreement. In the event of an early termination, Contractor shall be paid for work performed up to the time of notice and County shall be entitled the use of all material generated pursuant to this Agreement. 11. Non-Assignment. Contractor may not assign or transfer this Agreement, any interest therein or claim thereunder,without the prior written approval of County. 12. Access to Records. County shall have access to Contractor's financial records as they relate to this Agreement for purposes of audit. Such records shall be complete and available for audit 90 days after final payment hereunder and shall be retained and available for audit purposes for at least five years after final payment hereunder. 13. T ime of Essence. Time is of the essence in each and every provision of this Agreement. 14. Interruptions. Neither party to this Agreement shall be liable to the other for delays in delivery or failure to deliver or otherwise to perform any obligation under this Agreement, where such failure is due to any cause beyond its reasonable control, including but not limited to Acts of God, fires, strikes,war, flood,earthquakes or Governmental actions. 15. Notices. Any notice required to be given under this Agreement shall be in writing and shall be mailed or delivered to the other party at that parry's address as stated above. 16. Compliance. This Agreement and the provision of services hereunder shall be subject to the laws of Colorado and be in accordance with the policies, procedures, and practices of County. Page 2 of 4 Pages 17. Entire Agreement/Modifications. This Agreement contains the entire agreement between the parties with respect to the subject matter contained in this Agreement. This instrument supersedes all prior negotiation, representation, and understanding or agreements with respect to the subject matter contained in this Agreement. This Agreement may be changed or supplemented only by a written instrument signed by both parties. 18. Funding Contingency. No portion of this Agreement shall be deemed to create an obligation on the part of County to expend funds not otherwise appropriated or budgeted for. 19. No Conflict. No employee of Contractor nor any member of Contractor's family shall serve on a County Board, committee or hold any such position which either by rule, practice or action nominates, recommends, supervises Contractor's operations, or authorizes funding to Contractor. 20.Severability. If any term or condition of this Agreement shall be held to be invalid,illegal, or unenforceable, this Agreement shall be construed and enforced without such provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. 21. Governmental Immunity. No portion of this Agreement shall be deemed to constitute a waiver of any immunities the parties or their officers or employees may possess. 22. No Third Party Beneficiary. It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be an incidental beneficiary only. Before any demolition is permitted, a"Demolition Application Notification Form"must be submitted to and approved by CDPHE. To be considered for demolition,an EPA/CDPHE accredited inspector must certify that the building or portion thereof is free regulated asbestos containing materials by signing the form in blue ink. The inspector also certifies building materials suspected by the EPA of containing asbestos have been sampled and analyzed in accordance with the EPA's Asbestos Hazard Emergency Reauthorization Act(AHERA) protocol. EPA AHERA SAMPLING GUIDELINES 2-3 samples for 0-1000 ft2 of surfacing/miscellaneous/thermal system insulation material 5 samples for 1000 ft2-5000 ft2 of surfacing material 7 samples for 5000 ft2+of surfacing material Per AHERA, samples are collected for each material type and analyzed by Polarized Light Microscopy(PLM). Each sample set is systematically analyzed. Upon determination that a sample in a set contains asbestos,analysis of the remaining samples in the set is discontinued. If no asbestos is detected during the analysis,the suspect material is determined to be negative for asbestos content. Sampling guidelines published by the EPA in October of 1985, "Asbestos in Buildings: Simplified Sampling Scheme for Friable Surfacing Materials prohibited us from selecting sample locations that are intended to hide the cosmetic impact of our study. Boulder Environmental Inc.'s inspector will diligently collect spoon sized samples in a manner which minimizes any potential release of airborne asbestos. By agreeing to this proposal,you must agree not to hold Boulder Environmental Inc. liable for any costs associated with restoring building materials disturbed by a pre-demolition asbestos inspection. SERVICES TO BE PROVIDED Boulder Environmental Inc. proposes to furnish all labor,professional licenses, professional liability insurance coverage, laboratory fees, and written report necessary to identify all foreseeable suspect asbestos containing building materials as required prior to building demolition of at 901 10"'Avenue, Greeley, Colorado (Justice Center). SAMPLE ANALYSES Samples will be analyzed using Polarized Light Microscopy(PLM)by a laboratory accredited by the American Industrial Hygiene Association's (AIHA)National Voluntary Laboratory Accreditation Program for asbestos analysis in accordance with applicable environmental regulations. If the material is confirmed to contain one percent or less,state regulation is diminished,and compliance with the pertaining OSHA regulations is not as cost prohibitive.) The accuracy or reliability of any quantitative chemical analysis performed by any person or entity other than Boulder Environmental Inc... d.Information or statements regarding the presence of compounds,constituents,or materials not visually observed or tested for in accordance with the Agreement. Customer acknowledges that,because of the nature of both the substances to be tested for and the environment from which samples are to be collected,Boulder Environmental does not guarantee that its collection and testing process will reveal all harmful or hazardous substances present,or the extent to which they are present. Arbitration Any controversy or claim arising out of or relating to the Agreement shall be settled by arbitration in accordance with the then prevailing Commercial Arbitration Rules of the American Arbitration Association and judgment upon the award rendered by the arbitrator may be entered in any court having authority thereof.The venue for the arbitration shall be in Denver,Colorado. Applicable Law The Agreement shall be construed and interpreted according to the laws of the State of Colorado. Entire Agreement The Agreement(including the Proposal)contains all the terms of any agreement relating to the subject matter between Boulder Environmental Inc.and Customer and may not be changed in any way except in a writing signed by both parties.The Agreement supersedes and cancels any previous understanding or agreement,written or implied,between the parties relating to the services covered hereby. Subcontract Boulder Environmental Inc.may,at its sole option,subcontract any portion of the Services to another entity.
