Approve Master Service Agreement for Ride United Transportation Program and
Authorize Chair to Sign — Mile High United Way, Inc.
Whereas, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
Whereas, the Board has been presented with a Master Service Agreement for the Ride
United Transportation Program between the County of Weld, State of Colorado, by and
through the Board of County Commissioners of Weld County, on behalf of the Department
of Human Services, and Mile High United Way, Inc., commencing upon full execution of
signatures, with further terms and conditions being as stated in said agreement, and
Whereas, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
Now, therefore, be it resolved by the Board of County Commissioners of Weld County,
Colorado, that the Master Service Agreement for the Ride United Transportation Program
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Human Services, and
Mile High United Way, Inc., be, and hereby is, approved.
Be it further resolved by the Board that the Chair be, and hereby is, authorized to sign
said agreement.
The Board of County Commissioners of Weld County, Colorado, approved the above
and foregoing Resolution, on motion duly made and seconded, by the following vote on
the 28th day of January, A.D., 2026:

Brief description of the problem/issue: The Department is requesting approval to enter into a
Master Services Agreement with Mile High United Way to facilitate the Ride United transportation
program for Weld County residents age 60 and older. Mile High United Way manages a partnership
with Lyft to provide non-emergency transportation services and will coordinate Lyft ride scheduling
and dispatch for eligible Weld County residents referred by the Department.
The term of this Agreement will begin January 1, 2026, and will remain in effect until the total funding
is exhausted.
What options exist for the Board?
• Approval of the Master Services Agreement with Mile High United Way.
• Deny approval of Master Services Agreement with Mile High United Way.
Consequences: The Department will not have an agreement in place with Mile High United
Way for the Ride United transportation program.
Impacts: The Department will not be able to offer non-emergency transportation services to
eligible clients in Weld County for essential needs such as medical appointments,
access to groceries, etc.
Costs (Current Fiscal Year/Ongoing or Subsequent Fiscal Years):
• Cost: $50,000.00
• Funded through ADRC FFP (Aging and Disability Resource Centers claiming Federal Financial
Participation).
Recommendation:
• Approval of the Master Services Agreement and authorize the Chair to sign.

This Master Services Agreement("Agreement") is entered into as of January 1, 2026(the"Effective
Date")by and between Mile High United Way, a Colorado non-profit corporation("Service Provider"),
and Weld County Area Agency on Aging(AAA),a government agency("Client"). Collectively referred
to as the "Parties."
1. BACKGROUND
Client desires to engage Service Provider to facilitate the "Ride United"transportation program for Weld
County residents over the age of 60. Service Provider manages a partnership with Lyft to provide non-
emergency transportation services and is willing to provide such services subject to the terms and
conditions set forth in this Agreement.
2. SCOPE OF SERVICES
2.1 Services
Service Provider agrees to provide Lyft ride scheduling and dispatch services for eligible Weld County
residents referred by the Client,as specified in Exhibit A(the"Services"). See Exhibit A attached and
incorporated herein.
2.2 Eligibility& Referral
Client is solely responsible for vetting and approving all constituents before submitting a referral. All
referrals must be submitted by the Client via the customized 211 Ride United External Partnership
Referral Form,made available and provided by the Service Provider to Client.
3. TERM
This Agreement shall commence on the Effective Date and shall continue until the total funding of
$50,000 allocation by Client to Service Provider is exhausted. Because these are unrestricted funds,there
is no set expiration date unless terminated earlier by either Party as provided herein.
4. PAYMENT TERMS
4.1 Total Allocation
Client agrees to allocate a total of$50,000.00 toward Lyft ride costs.

4.2 Invoicing/Payment
• Monthly invoice by Service Provider to Client based on actual usage until the$50,000.00 cap is
reached.
5. REPORTING REQUIREMENTS
5.1 Monthly Reporting Requirement
Service Provider shall provide a comprehensive monthly report to the Client(AAA)and United Way of
Weld County no later than the 15th day of the following month.
5.2 Data Metrics
The monthly report shall include aggregated,de-identified data including, but not limited to:
• Total Rides Requested: Number of referrals received via the custom form.
• Successful Completions:Number of rides successfully scheduled by 211 and completed by Lyft,
through the Ride United Program.
• Cancellations/No-Shows: Number of rides cancelled by the driver,the client,or tracked as a no-
show.
• Ride Reason: Categorized breakdown of the eligible reasons for transportation as defined by
AAA through the Ride Request Form.
5.3 Financial Tracking(Spend Down)The report will include a financial summary outlining:
• Total funds utilized during the reporting month.
• Cumulative funds utilized to date.
• Current balance of remaining funds for the partnership.
• Average amount of ride and funds are utilized per month for specific population.
6. MANDATORY LYFT PROGRAM PARAMETERS
Both Parties acknowledge and agree to the following non-negotiable parameters:
a. Resource of Last Resort: Ride United is not an ongoing transportation service, clients referred
will receive a resource referral list via email of long-term transportation resource to access.
b. Scheduling Hours: Rides are scheduled Monday—Friday, 8:00 a.m.—4:30 p.m.
c. Client Communication: The constituent must have a working phone with active service to
receive Lyft text updates.
d. No Modifications: Neither the Client nor the constituent may modify a ride once the form has
been submitted, and the ride has been scheduled by the Service Provider.
e. Vehicle Limitations: Lyft drivers do not provide car seats. Lyft rides are not wheelchair
accessible.

f. Availability: Driver availability is not guaranteed,particularly in rural or less populated areas.
g. Cancellations/No-Shows:
o A$5.00 fee will be billed to the Client if the referral is a no-show.
7.CONFIDENTIALITY& DATA PRIVACY
Both Parties agree to protect the Confidential Information of constituents. Service Provider will maintain
secure records of ridership data in compliance with relevant privacy regulations.
8.LIMITATION OF LIABILITY
Service Provider acts as a third-party scheduler and is not liable for the conduct of Lyft drivers,vehicle
safety,or delays in Lyft service. Client is solely responsible for vetting and approving all constituents
before submitting a referral and is not liable for the conduct of Lyft drivers,vehicle safety,or delays in
Lyft services.No term or condition of this contract shall be construed as a waiver of the Colorado
Governmental Immunity Act.
9. MUTUAL TERMINATION
This Agreement may be terminated by either party, for any reason, upon thirty(30) days' written notice to
the other party.

Exhibit A: Operations& Service Level Agreement(SLA)
Target Population: Residents of Weld County,aged 60+, vetted by Weld County AAA.
Service Delivery:
• Submission: Client submits requests via the "AAA-211 Custom Referral Form."
• SLA: Service Provider requires form submissions by Client,at minimum, one full (1)business
day in advance for scheduling/dispatch. Service Provider can schedule a Lyft Ride up to(7)days
in advance.
• Approval: All referrals submitted via the authorized form are considered pre-approved by AAA.
MHUW 211 Help Center is not responsible for vetting eligibility of referred clients and will
assume all form submissions are approved for Ride United, Lyft rides.
• Emergency Dispatch: For same-day or real-time emergency needs,the Client or constituent
must call 211 directly or contact the Lyft, Ride United 211 Supervisor directly for immediate
support rather than using the form.
